  3.                   JOINT BBS OPERATION AGREEMENT

  6. @001 and @002, agree:

  9. @001 and @002 desire to associate to jointly operate a computer 
  10. telecommunications service (BBS) as a non-profit venture, to be 
  11. named the @003 BBS. The purposes of the joint operation is the 
  12. provision of computer telecommunications services to the public.

  15. A. FORMATION

  18. @001 shall contribute the following:

  25. B. BANKING

  28. The parties shall open a banking account at the @004 bank, and 
  29. deposit any donations or other receipts related to or arising 
  30. from the operation of the BBS in said account. One signature 
  31. shall be required for checks below $ 100 (one hundred dollars) 
  32. and two signatures shall be required for checks above $ 100.

  35. C. ACCESS AND OPERATION

  38. The BBS shall be located at @005, and all parties hereto shall 
  39. reasonable access to the site. No rental shall be charged for use 
  40. of the location.

  47. It is the intention of the parties to this agreement that the

  57. New parties may be admitted to this operation agreement provided 
  58. that all previous parties concur. New parties shall be required

  67. TERMINATION OF THE AGREEMENT

  70. Any party hereto may request termination of the agreement by 
  71. written notice to all other parties hereto. This shall initiate
