  15.                     NON-DISCLOSURE AGREEMENT

  18. @001, and @002, agree:
  19.  
  20.  
  21. @001 and @002 may from time to time disclose to one another
  22. certain confidential information or trade secrets generally
  23. regarding @100.
  24.  
  25.  
  26. @001 and @002 agrees that they shall not disclose the information
  27. so conveyed, unless in conformity with this agreement. Both
  28. parties shall limit disclosure to their officers and employees
  29. with a reasonable "need to know" the information, and shall
  30. protect the same from disclosure with reasonable diligence.

  33. As to all information which each party claims is confidential,
  34. they shall reduce the same to writing prior to disclosure and
  35. shall conspicuously mark the same as "confidential," "not to be
  36. disclosed" or with other clear indication of its status. If the
  37. confidential information which is disclosed is not in written
  38. form, for example, a machine or device, the parties shall be
  39. required prior to or at the same time that the disclosure is made
  40. to provide written notice of the secrecy claimed by the party.
  41. The parties agree upon reasonable notice to return the
  42. confidential tangible material provided by the other party upon
  43. reasonable request.

  46. The obligation of non-disclosure shall terminate when if any of
  47. the following occurs:
  48.  
  49.  
  50. (a) The confidential information becomes known to the public
  51. without the fault of the party receiving disclosure, or;
  52.  
  53.  
  54. (b) The information is disclosed publicly by the party
  55. disclosing, or ;
  56.  
  57.  
  58. (c) a period of @200 months passes from the disclosure, or;
  59.  
  60.  
  61. (d) the information loses its status as confidential through no
  62. fault of the party receiving disclosure.

  65. In any event, the obligation of non-disclosure shall not apply to
  66. information which was known to a party prior to the execution of
  67. this agreement.
