  15.                     NON-DISCLOSURE AGREEMENT

  18. @001, and @002, agree:
  19.  
  20.  
  21. @001 may from time to time disclose to @002 certain confidential
  22. information or trade secrets generally regarding @100.
  23.  
  24.  
  25. @002 agrees that it shall not disclose the information so
  26. conveyed, unless in conformity with this agreement. @002 shall
  27. limit disclosure to the officers and employees of @002 with a
  28. reasonable "need to know" the information, and shall protect the
  29. same from disclosure with reasonable diligence.

  32. As to all information which @001 claims is confidential, @001
  33. shall reduce the same to writing prior to disclosure and shall
  34. conspicuously mark the same as "confidential," "not to be
  35. disclosed" or with other clear indication of its status. If the
  36. information which @001 is disclosing is not in written form, for
  37. example, a machine or device, @001 shall be required prior to or
  38. at the same time that the disclosure is made to provide written
  39. notice of the secrecy claimed by @001. @002 agrees upon
  40. reasonable notice to return the confidential tangible material
  41. provided by it by @001 upon reasonable request.

  44. The obligation of non-disclosure shall terminate when if any of
  45. the following occurs:
  46.  
  47.  
  48. (a) The confidential information becomes known to the public
  49. without the fault of @002, or;
  50.  
  51.  
  52. (b) The information is disclosed publicly by @001, or ;
  53.  
  54.  
  55. (c) a period of @200 months passes from the disclosure, or;
  56.  
  57.  
  58. (d) the information loses its status as confidential through no
  59. fault of @002.
  60.  
  61.  
  62. In any event, the obligation of non-disclosure shall not apply to
  63. information which was known to @002 prior to the execution of
  64. this agreement.
