  3.                                              SOFTWARE LICENSE TERMS 
  4.                                                     End User Agreement
  5.  
  6. BEFORE YOU CLICK ON THE "YES" BUTTON AT THE END OF THIS DOCUMENT, 
  7. CAREFULLY READ ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT.  
  8. BY CLICKING ON THE "YES" BUTTON, YOU ARE CONSENTING TO BE BOUND BY 
  9. AND ARE BECOMING A PARTY TO THIS AGREEMENT.  IF YOU DO NOT AGREE 
  10. TO ALL OF THE TERMS OF THIS AGREEMENT, CLICK THE "NO" 
  11. BUTTON AND DO NOT USE THIS SOFTWARE.
  12.  
  13.     This Softscape, Inc. End User Agreement (the "Agreement") is a legal 
  14. agreement between you and Softscape, Inc., a Massachusetts corporation 
  15. ("Softscape") for the Softscape DiffXChange Product.  In this Agreement, 
  16. the term  "Software"  means Softscape DiffXChange, including computer 
  17. software and associated media and printed materials, and may include 
  18. "online" or electronic documentation.  The term "You" or "you" means the 
  19. company, entity or individual who is evaluating the Software.  The term 
  20. "Use" means storing, loading, installing, executing or displaying the 
  21. Software.
  22.  
  23.     Thirty-day Money-back Guarantee.  Softscape will refund your 
  24. original purchase price if you are dissatisfied for any reason with the 
  25. Software, provided that you purchased the Software directly from an 
  26. authorized dealer or from Softscape, and you destroy all copies of the 
  27. Software and provide the dealer from whom it was acquired (or Softscape, 
  28. if acquired directly) with certification of such destruction and proof of 
  29. purchase, within thirty days of purchase.
  30.  
  31.     License Grant -  Softscape grants you and you accept the non-
  32. exclusive, non-transferable right to Use one copy of the Software in object 
  33. code form.  You may Use the Software on any single computer (provided 
  34. that if you are the primary user of that computer, you may also make a 
  35. second copy of the Software for your exclusive use on either a home or 
  36. portable computer).  You may not modify the Software or disable any 
  37. licensing or control features of the Software except as an intended part of 
  38. the Software's programming features.
  39.  
  40.     To the extent that the Software enables you to access (on-line or 
  41. otherwise) materials not supplied by Softscape ("Content"), you should be 
  42. aware that such Content is the property of the applicable Content owner 
  43. and may be protected by applicable copyright law.  This License grants 
  44. you no rights to Content.
  45.  
  46.     Ownership - You acknowledge and agree that the Software is owned 
  47. and copyrighted by Softscape or its third party suppliers.  Your license 
  48. confers no title or ownership in the Software and is not a sale of any rights 
  49. in the Software.  All ownership rights remain in Softscape or its third party 
  50. suppliers, as the case may be. 
  51.  
  52.     Copies - You may only make one copy of the object code of the 
  53. Software solely for backup or archival purposes or when copying is an 
  54. essential step in the authorized Use of the Software.  You must reproduce 
  55. all copyright and other proprietary or restricted rights notices in the 
  56. original Software on all authorized copies. You may not copy any of the 
  57. enclosed books or printed materials which are part of the Software.

  59.     Additional Restrictions - You may not: permit other individuals to 
  60. use the Software except under the terms listed above; permit concurrent 
  61. use of the Software; modify, translate, reverse engineer, decompile, 
  62. disassemble (except to the extent applicable laws specifically prohibit such 
  63. restriction), or create derivative works based on the Software; copy 
  64. (including copying onto a bulletin board or similar system) the Software 
  65. other than as specified above; rent, lease, grant a security interest in, or 
  66. otherwise transfer rights to the Software except as set forth in "Transfer" 
  67. below; or remove any proprietary notices or labels on the Software.

  69.     Transfer - You may transfer your license to the Software only upon 
  70. the terms of this section.  You must deliver the original and all complete, 
  71. partial or electronically stored copies of the Software and related 
  72. documentation to the transferee.  You may not retain any copies of the 
  73. Software or related documentation, and any copies you have made which 
  74. you have not transferred to the transferee you must destroy.  The transferee 
  75. must complete and return to Softscape a Product Registration Card 
  76. available from Softscape. The transferee must accept these Terms as a 
  77. condition of the transfer.  Your license will automatically terminate upon 
  78. any transfer of the Software. You have no right to sublicense, loan, rent or 
  79. lease the Software.

  81.     Dual-Media Software - You may receive the Software in more than 
  82. one medium, for example CD-ROM or magnetic disks.  You may use only 
  83. one medium that is appropriate for your single hardware product. You may 
  84. not use or install the other medium on another hardware product.  You 
  85. may not loan, rent, lease, or otherwise transfer the other medium to 
  86. another user, except as part of the permanent transfer (as provided above 
  87. in "Transfer") of the Software.

  89.     Upgrades -  If the Software is an upgrade of a Softscape  product, you 
  90. now may use that upgraded product only in accordance with this License 
  91. Agreement.  If the Software is an upgrade of a component of a package of 
  92. software programs that you licensed as a single product, the Software may 
  93. be used and transferred only as part of that single product package and 
  94. may not be separated for use on more than one computer. You may not 
  95. loan, rent, lease, or otherwise transfer the original non-upgraded product to 
  96. another user, except as part of the permanent transfer (as provided above 
  97. in "Transfer") of the Software.
  98.  
  99.     Term - This license is effective until terminated.  Softscape may 
  100. terminate this Agreement immediately if you breach any of the provisions 
  101. of this Agreement.  You may terminate this license at any time.  Upon any 
  102. such termination or expiration, you must discontinue all use of the 
  103. Software, and immediately destroy the Software together with all copies.  
  104. The provisions below under "LIMITATIONS ON LIABILITY" of this 
  105. Agreement shall survive the termination or expiration of this Agreement.

  107.     TO THE MAXIMUM EXTENT PERMITTED BY LAW, 
  108. SOFTSCAPE DISCLAIMS ALL WARRANTIES, EXPRESS OR 
  109. IMPLIED.  IN PARTICULAR, THE SOFTWARE IS PROVIDED 
  110. "AS IS", WITHOUT WARRANTY OF ANY KIND, INCLUDING 
  111. WITHOUT LIMITATION THE WARRANTIES OF 
  112. MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE 
  113. AND NON-INFRINGEMENT. The entire risk as to the quality and 
  114. performance of the Software is borne by you. Should the Software prove 
  115. defective, you and not Softscape assume the entire cost of any service and 
  116. repair.  This disclaimer of warranty constitutes an essential part of this 
  117. Agreement. SOME JURISDICTIONS DO NOT ALLOW 
  118. EXCLUSIONS OF AN IMPLIED WARRANTY, SO THIS 
  119. DISCLAIMER MAY NOT APPLY TO YOU AND YOU MAY HAVE 
  120. OTHER LEGAL RIGHTS THAT VARY BY JURISDICTION.
  121.  
  122.     LIMITATIONS ON LIABILITY.  TO THE MAXIMUM 
  123. EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCES 
  124. AND UNDER NO LEGAL THEORY, TORT, CONTRACT, OR 
  125. OTHERWISE, SHALL SOFTSCAPE BE LIABLE TO YOU OR 
  126. ANY OTHER PERSON FOR ANY MONEY DAMAGES, 
  127. WHETHER DIRECT, INDIRECT, SPECIAL, INCIDENTAL, 
  128. COVER, RELIANCE OR CONSEQUENTIAL DAMAGES, EVEN 
  129. IF SOFTSCAPE SHALL HAVE BEEN INFORMED OF THE 
  130. POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY 
  131. ANY OTHER PARTY.  IN THE EVENT THAT 
  132. NOTWITHSTANDING THE FOREGOING, SOFTSCAPE IS 
  133. FOUND LIABLE TO YOU FOR DAMAGES FROM ANY CAUSE 
  134. WHATSOEVER, AND REGARDLESS OF THE FORM OF THE 
  135. ACTION (WHETHER IN CONTRACT, TORT (INCLUDING 
  136. NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE), 
  137. SOFTSCAPE'S LIABILITY TO YOU WILL BE LIMITED TO THE 
  138. GREATER OF $25 OR THE AMOUNT YOU PAID FOR THE 
  139. SOFTWARE.  SOME JURISDICTIONS DO NOT ALLOW THE 
  140. EXCLUSION OR LIMITATION OF INCIDENTAL OR 
  141. CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND 
  142. EXCLUSION MAY NOT APPLY TO YOU.
  143.  
  144.     Export Law Assurances -  You acknowledge and agree that the 
  145. Software is subject to restrictions and controls imposed by the United 
  146. Stated Export Administration Act (the "Act") and the regulations 
  147. thereunder.  You agree and certify that neither the Software nor any direct 
  148. product thereof nor any underlying information or technology is being or 
  149. will be acquired, shipped, transferred or re-exported directly or indirectly 
  150. into any country prohibited by the Act and the regulations thereunder or 
  151. will be used for any purpose prohibited by the same.

  153.     US Government Restricted Rights - The Software and 
  154. documentation have been developed entirely at private expense and are 
  155. provided as "Commercial Computer Software" or "Restricted Computer 
  156. Software".  Use, duplication or disclosure by the U.S. Government 
  157. subcontractor is subject to the restrictions set forth in subparagraph (c) (1) 
  158. (ii) of The Rights in Technical Data and Computer Software Clause  at 
  159. DFARS 252.227-7013 or in subparagraph (c)(1) and (2) of the 
  160. Commercial Computer Software - Restricted Rights clauses at 48-C.F.R. 
  161. 52.227-19 or as specified in 48 C.F.R. 227-7202-2 of the DoD F.A.R. 
  162. Supplement and its successors, or as specified in 48 C.F.R. 12.212 of the 
  163. Federal Acquisition Regulations and its successors, as applicable.  The 
  164. manufacturer is Softscape, Inc., 4 Minot Avenue, Acton, MA 01720, 508-
  165. 266-1921.

  167.     Controlling Law and Severability - This Agreement constitutes the 
  168. entire agreement between you and Softscape with reference to this 
  169. transaction.  This Agreement shall be governed by the laws of the 
  170. Commonwealth of Massachusetts, United States of America.  The 
  171. application to this Agreement of the United Nations Convention on 
  172. Contracts for the International Sale of Goods is hereby expressly excluded.  
  173. In the event of any dispute involving this Agreement, Softscape and you 
  174. each consent to exclusive jurisdiction and venue in either the state or 
  175. federal courts in the Commonwealth of Massachusetts and agrees that the 
  176. prevailing party shall be entitled to its reasonable attorney fees and costs.  
  177. In the event any provision of this Agreement shall be deemed 
  178. unenforceable, void or invalid, such provision shall be modified so as to 
  179. make it valid and enforceable, and as so modified the entire Agreement 
  180. shall remain in full force and effect.  No decision, action or inaction by 
  181. Softscape shall be construed to be a waiver of any rights or remedies 
  182. available to it.
