  3.                                              SOFTWARE LICENSE TERMS    
  4.                                              End User Evaluation Agreement
  5.  
  6. BEFORE YOU CLICK ON THE "YES" BUTTON AT THE END OF THIS DOCUMENT, 
  7. CAREFULLY READ ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT.  
  8. BY CLICKING ON THE "YES" BUTTON, YOU ARE CONSENTING TO BE BOUND BY 
  9. AND ARE BECOMING A PARTY TO THIS AGREEMENT.  IF YOU DO NOT AGREE TO 
  10. ALL OF THE TERMS OF THIS AGREEMENT, CLICK THE "NO" BUTTON AND 
  11. DO NOT USE THIS SOFTWARE.

  13.     This Softscape, Inc. End User Evaluation Agreement (the 
  14. "Agreement") is a legal agreement between you and Softscape, Inc., a 
  15. Massachusetts corporation ("Softscape") for the Softscape DiffXChange 
  16. Product.  In this Agreement, the term  "Software"  means Softscape 
  17. DiffXChange, including computer software and associated media and 
  18. printed materials, and may include "online" or electronic documentation.  
  19. The term "You" or "you" means the company, entity or individual who is 
  20. evaluating the Software.  The term "Use" means storing, loading, 
  21. installing, executing or displaying the Software.
  22.  
  23.     License Grant -  Softscape grants you and you accept the temporary, 
  24. non-exclusive, non- transferable right to Use one copy of the Software in 
  25. object form only, solely for evaluation purposes, but not for general 
  26. production use, during an evaluation period of ten (10) days from the 
  27. date the Software is first Used by You.  This period is referred to in this 
  28. Agreement as the "Evaluation Period." THE SOFTWARE CONTAINS 
  29. CODE THAT DISABLES ALL OF ITS FEATURES AT THE END OF 
  30. THE EVALUATION PERIOD. You may Use the Software on any single 
  31. computer (provided that if you are the primary user of that computer, you 
  32. may also make a second copy of the Software for your exclusive use on 
  33. either a home or portable computer).  You may not modify the Software or 
  34. disable any licensing or control features of the Software except as an 
  35. intended part of the Software's programming features.
  36.  
  37.     To the extent that the Software enables you to access (on-line or 
  38. otherwise) materials not supplied by Softscape ("Content"), you should be 
  39. aware that such Content is the property of the applicable Content owner 
  40. and may be protected by applicable copyright law.  This License grants 
  41. you no rights to Content.
  42.  
  43.     Ownership - You acknowledge and agree that the Software is owned 
  44. and copyrighted by Softscape or its third party suppliers.  Your license 
  45. confers no title or ownership in the Software and is not a sale of any rights 
  46. in the Software.  All ownership rights remain in Softscape or its third party 
  47. suppliers, as the case may be. 
  48.  
  49.     Copies - You may only make one copy of the object code of the 
  50. Software solely for backup or archival purposes or when copying is an 
  51. essential step in the authorized Use of the Software.  You must reproduce 
  52. all copyright and other proprietary or restricted rights notices in the 
  53. original Software on all authorized copies. You may not copy any of the 
  54. enclosed books or printed materials which are part of the Software.
  55.  
  56.     Additional Restrictions - You may not: permit other individuals to 
  57. use the Software except under the terms listed above; permit concurrent 
  58. use of the Software; modify, translate, reverse engineer, decompile, 
  59. disassemble (except to the extent applicable laws specifically prohibit such 
  60. restriction), or create derivative works based on the Software; copy 
  61. (including copying onto a bulletin board or similar system) the Software 
  62. other than as specified above; rent, lease, grant a security interest in, or 
  63. otherwise transfer rights to the Software; or remove any proprietary 
  64. notices or labels on the Software.
  65.  
  66.     Transfer - You have no right to assign, transfer, sublicense, loan, rent 
  67. or lease the Software, and any attempt by you to do so will result in 
  68. automatic termination of your License the Software. 
  69.  
  70.     Term - The term of this Agreement commences on the date you first 
  71. use the Software and expires at the end of the Evaluation Period, unless 
  72. earlier terminated.  Softscape may terminate this Agreement immediately 
  73. if you breach any of the provisions of this Agreement.  You may terminate 
  74. this license at any time.  Upon any such termination or expiration, you 
  75. must discontinue all use of the Software, and immediately destroy the 
  76. Software together with all copies. The provisions below under 
  77. "LIMITATIONS ON LIABILITY" of this Agreement shall survive the 
  78. termination or expiration of this Agreement.

  80.     Exclusion of Warranty.  The Software is provided to you for 
  81. evaluation purposes only.  EVALUATION COPIES OF SOFTWARE 
  82. ARE PROVIDED FREE OF CHARGE OR AT A NOMINAL COST, 
  83. AND ACCORDINGLY ARE PROVIDED ON AN "AS IS" BASIS, 
  84. WITHOUT WARRANTY OF ANY KIND, INCLUDING WITHOUT 
  85. LIMITATION THE WARRANTIES OF MERCHANTABILITY, 
  86. FITNESS FOR A PARTICULAR PURPOSE AND NON-
  87. INFRINGEMENT. The entire risk as to the quality and performance of 
  88. the Software is borne by you. Should the Software prove defective, you 
  89. and not Softscape assume the entire cost of any service and repair.  This 
  90. disclaimer of warranty constitutes an essential part of this Agreement. 
  91. SOME JURISDICTIONS DO NOT ALLOW EXCLUSIONS OF AN 
  92. IMPLIED WARRANTY, SO THIS DISCLAIMER MAY NOT 
  93. APPLY TO YOU AND YOU MAY HAVE OTHER LEGAL RIGHTS 
  94. THAT VARY BY JURISDICTION.
  95.  
  96.     If  you are using the Software free of charge, you are not entitled to 
  97. hard-copy documentation, support or telephone assistance. 
  98.  
  99.     LIMITATIONS ON LIABILITY. TO THE MAXIMUM EXTENT 
  100. PERMITTED BY LAW, UNDER NO CIRCUMSTANCES AND 
  101. UNDER NO LEGAL THEORY, TORT, CONTRACT, OR 
  102. OTHERWISE, SHALL SOFTSCAPE BE LIABLE TO YOU OR 
  103. ANY OTHER PERSON FOR ANY MONEY DAMAGES, 
  104. WHETHER DIRECT, INDIRECT, SPECIAL, INCIDENTAL, 
  105. COVER, RELIANCE OR CONSEQUENTIAL DAMAGES, EVEN 
  106. IF SOFTSCAPE SHALL HAVE BEEN INFORMED OF THE 
  107. POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY 
  108. ANY OTHER PARTY. IN THE EVENT THAT 
  109. NOTWITHSTANDING THE FOREGOING, SOFTSCAPE IS 
  110. FOUND LIABLE TO YOU FOR ACTUAL DAMAGES FROM ANY 
  111. CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF 
  112. THE ACTION (WHETHER IN CONTRACT, TORT (INCLUDING 
  113. NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE), 
  114. SOFTSCAPE'S LIABILITY TO YOU WILL BE LIMITED TO $25.  
  115. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR 
  116. LIMITATION OF INCIDENTAL OR CONSEQUENTIAL 
  117. DAMAGES, SO THIS LIMITATION AND EXCLUSION MAY NOT 
  118. APPLY TO YOU.
  119.  
  120.     Export Law Assurances -  You acknowledge and agree that the 
  121. Software is subject to restrictions and controls imposed by the United 
  122. Stated Export Administration Act (the "Act") and the regulations 
  123. thereunder.  You agree and certify that neither the Software nor any direct 
  124. product thereof nor any underlying information or technology is being or 
  125. will be acquired, shipped, transferred or re-exported directly or indirectly 
  126. into any country prohibited by the Act and the regulations thereunder or 
  127. will be used for any purpose prohibited by the same.
  128.  
  129.     US Government Restricted Rights - The Software and 
  130. documentation have been developed entirely at private expense and are 
  131. provided as "Commercial Computer Software" or "Restricted Computer 
  132. Software".  Use, duplication or disclosure by the U.S. Government 
  133. subcontractor is subject to the restrictions set forth in subparagraph (c) (1) 
  134. (ii) of The Rights in Technical Data and Computer Software Clause  at 
  135. DFARS 252.227-7013 or in subparagraph (c)(1) and (2) of the 
  136. Commercial Computer Software - Restricted Rights clauses at 48-C.F.R. 
  137. 52.227-19 or as specified in 48 C.F.R. 227-7202-2 of the DoD F.A.R. 
  138. Supplement and its successors, or as specified in 48 C.F.R. 12.212 of the 
  139. Federal Acquisition Regulations and its successors, as applicable.  The 
  140. manufacturer is Softscape, Inc., 4 Minot Avenue, Acton, MA 01720, 508-
  141. 266-1921.

  143.     Controlling Law and Severability -  This Agreement constitutes the 
  144. entire agreement between you and Softscape with reference to this 
  145. transaction.  This Agreement shall be governed by the laws of the 
  146. Commonwealth of Massachusetts, United States of America.  The 
  147. application to this Agreement of the United Nations Convention on 
  148. Contracts for the International Sale of Goods is hereby expressly excluded.  
  149. In the event of any dispute involving this Agreement, Softscape and you 
  150. each consent to exclusive jurisdiction and venue in either the state or 
  151. federal courts in the Commonwealth of Massachusetts and agrees that the 
  152. prevailing party shall be entitled to its reasonable attorney fees and costs.  
  153. In the event any provision of this Agreement shall be deemed 
  154. unenforceable, void or invalid, such provision shall be modified so as to 
  155. make it valid and enforceable, and as so modified the entire Agreement 
  156. shall remain in full force and effect.  No decision, action or inaction by 
  157. Softscape shall be construed to be a waiver of any rights or remedies 
  158. available to it.
