  10.      Chicago, Nov. 27 (Bloomberg) -- Visual Information Services
  11. Corp.'s contract to acquire the assets of Germany's Amiga
  12. Technologies GmbH from bankrupt personal computer maker Escom AG
  13. was canceled after Viscorp failed to pay the agreed $20 million,
  14. a lawyer for Escom's bankruptcy trustee said.

  16.      ``They didn't pay the money they were supposed to pay and as
  17. a result the contract was canceled in early October,'' said David
  18. Robinson, the lawyer.
  19.      The Chicago-based interactive television development company
  20. was banking on Amiga's technology to give it an edge in the race
  21. to develop the first interactive set-top box for consumers.

  23.       Without the technology, a ``significant'' portion of 6-year-
  24. old Viscorp's business could be damaged, the company's chief
  25. operating officer, Hugh Jencks, said last week.

  27.      Right now, Viscorp has access to Amiga's operating system
  28. through a licensing agreement signed in January. If it fails to
  29. acquire Amiga's assets, that license will be canceled, Robinson
  30. said.

  32.      That would put further pressure on Viscorp, which is already
  33. struggling. In an Oct. 29 filing with the Securities and Exchange
  34. Commission, Viscorp conceded that it ``cannot currently generate
  35. sufficient revenues and cash flow from operations to meet its
  36. business obligations.''

  38.      Viscorp Chairman Jerome Greenberg declined to say how much
  39. money the company needs or how urgently.
  40.       ``We have funding in process but I can't tell you any more
  41. than that,'' he said.

  43.      Greenberg said the contract for Amiga ``expired'' because
  44. Viscorp did not believe the assets justified the price.

  46.      Meanwhile, Hembach has re-opened bidding for Amiga with
  47. ``several'' un-named companies and expects to sign with one of
  48. them within a few weeks, Robinson said.

  50.      Last week, Jencks, without revealing that the original
  51. contract had fallen apart, said Viscorp was still a front-runner
  52. in the negotiations.

  54.      Robinson said Viscorp is not the leading candidate, though
  55. it's not necessarily out of running.
  56.      ``If they came in here tomorrow with a check in the right
  57. amount they'd be in the running,'' he said.

  59.      Viscorp maintains that even if it doesn't acquire Amiga's
  60. assets, the new owners would probably re-license the technology
  61. to Viscorp.<BR>

  63.      The company hopes to introduce its ED box by the end of the
  64. year. The box connects to a television and telephone line and
  65. enables consumers to receive fax and phone calls, play video
  66. games, rent movies, receive electronic mail and access online
  67. services, including the Internet, using a TV remote control.

  69.      Viscorp had originally offered $40 million to acquire the
  70. whole of Amiga. When Escom declared bankruptcy July 15, Viscorp
  71. agreed to pay $20 million for certain key assets instead.
