  29. FOR A FULL REFUND.  THIS LICENSE AGREEMENT IS YOUR PROOF
  30. OF LICENSE.  PLEASE TREAT IT AS VALUABLE PROPERTY.

  32. A. LICENSE:
  33.  
  34. MERCO ELECTRONICS ("we" or "us") provides you with storage media
  35. containing a computer program (the "Program") which may also include
  36. "online" or electronic documentation,  License (the "License"), and other
  37. printed materials (together called the "Product") and grants you a license
  38. to use the Product in accordance with the terms of this License.
  39. The copyright and all other rights to the Product shall remain
  40. with us or our suppliers.  You must reproduce any copyright or other
  41. notice marked on the Product on all copies you make.
  42.  
  43. B. YOU MAY:
  44.  
  45. 1. Install and use one copy of the Product only on a
  46.    single computer or network.  This copy is to be used by only a single
  47.    user at a time  If you wish to use the Product for more users,
  48.    you will need an additional license for each user.
  49. 2. Make one copy of the Product for archive or backup purposes.
  50. 3. Use a copy of the Product on a home or portable computer
  51.    if that copy is never loaded at the same time it is
  52.    loaded on your primary computer.
  53. 4. Transfer the Product to someone else only if you assign all
  54.    of your rights under this License, cease all use of the Product,
  55.    erase or destroy any copy (including the hard disk copy) made in
  56.    support of your use of the Product, and ensure that the
  57.    other person agrees to the terms of this License.
  58. 5. If you have purchased this Product as an upgrade of either a
  59.    Corel product or another supplier's product, you may continue
  60.    to use your upgraded product with this Product.
  61.    If you transfer this Product, you must either transfer the
  62.    upgraded product or destroy the upgraded product.
  63.    If the Product you have purchased is an upgrade of a Corel product,
  64.    you now may use that upgraded product only in accordance
  65.    with this License.

  67. C. YOU MAY NOT:

  69. 1. Use the Product or make copies of it except as permitted in this License.
  70. 2. Translate, reverse engineer, decompile, or disassemble the Product except
  71.    to the extent the foregoing restriction is expressly prohibited by
  72.    applicable law.
  73. 3. Rent, lease, assign, or transfer the Product except as set out in
  74.    paragraph B above.
  75. 4. Modify the Product or merge all or any part of the Product
  76.    with another program.

  78. D. TERM:

  80. This License shall continue for as long as you use the Product.
  81. However, it will terminate if you fail to comply with any of its
  82. terms or conditions.  You must agree, upon termination, to destroy
  83. all copies of the Product.  The Limitations of Warranties and Liability
  84. set out below shall continue in force even after any termination.

  86. E. WARRANTY:
  87.  
  88. WE WARRANT THAT THE STORAGE MEDIA IN THIS PRODUCT WILL BE FREE FROM
  89. DEFECT IN MATERIALS AND WORKMANSHIP FOR 90 DAYS FROM THE DATE YOU
  90. ACQUIRE IT.  IF SUCH A DEFECT OCCURS, RETURN THE MEDIA TO US AT,
  91. MERCO ELECTRONICS HENGELOSESTRAAT 705, 7521 PA ENSCHEDE
  92. THE NETHERLANDS, AND WE WILL REPLACE IT FREE OF CHARGE.
  93. THIS REMEDY IS YOUR EXCLUSIVE REMEDY FOR BREACH OF THIS WARRANTY.
  94. IT GIVES YOU CERTAIN RIGHTS AND YOU MAY HAVE OTHER LEGISLATED RIGHTS
  95. WHICH MAY VARY FROM JURISDICTION TO JURISDICTION.

  97. F. LIMITATION OF WARRANTIES AND LIABILITY:

  99. EXCEPT FOR THE EXPRESS WARRANTY ABOVE, THE PRODUCT IS PROVIDED ON
  100. AN "AS IS" BASIS, WITHOUT ANY OTHER WARRANTIES OR CONDITIONS,
  101. EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF
  102. MERCHANTABLE QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR
  103. PURPOSE, OR THOSE ARISING BY LAW, STATUTE, USAGE OF TRADE, OR COURSE
  104. OF DEALING.  THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF
  105. THE PRODUCT IS ASSUMED BY YOU.  NEITHER WE NOR OUR DEALERS OR
  106. SUPPLIERS SHALL HAVE ANY LIABILITY TO YOU OR ANY OTHER PERSON
  107. OR ENTITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL
  108. DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, LOSS OF REVENUE
  109. OR PROFIT, LOST OR DAMAGED DATA OR OTHER COMMERCIAL OR ECONOMIC LOSS,
  110. EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES,
  111. OR THEY ARE FORESEEABLE.  WE ARE ALSO NOT RESPONSIBLE FOR CLAIMS
  112. BY A THIRD PARTY.  OUR MAXIMUM AGGREGATE LIABILITY TO YOU AND THAT
  113. OF OUR DEALERS AND SUPPLIERS SHALL NOT EXCEED THE AMOUNT PAID BY YOU
  114. FOR THE PRODUCT.  THE LIMITATIONS IN THIS SECTION SHALL APPLY WHETHER
  115. OR NOT THE ALLEGED BREACH OR DEFAULT IS A BREACH OF A FUNDAMENTAL
  116. CONDITION OR TERM OR A FUNDAMENTAL BREACH.  SOME STATES/COUNTRIES DO
  117. NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL
  118. OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

  120. G. RESTRICTED RIGHTS:
  121.  
  122. If this Product is acquired by or for the U.S. Government,
  123. then it is provided with Restricted Rights.  Use, duplication,
  124. or disclosure by the U.S. Government is subject to restrictions
  125. as set forth in subparagraph (c)(1)(ii) of The Rights in
  126. Technical Data and Computer Software clause at DFARS 252.227-7013,
  127. or  subparagraphs (c)(1) and (2) of the Commercial Computer
  128. Software - Restricted Rights at 48 CFR 52.227-19,
  129. or clause 18-52.227-86(d) of the NASA Supplement to the FAR, as applicable.

  131. H. GENERAL:
  132.  
  133. This License is the entire agreement between us,
  134. superseding any other agreement or discussions, oral or written,
  135. and may not be changed except by a signed agreement.
  136. This License shall be governed by and construed in accordance with
  137. the laws of the Province of Ontario, Canada for product purchased
  138. in Canada and by the laws of the Republic of Ireland for product
  139. purchased outside of Canada. If any provision of this License is
  140. declared by a Court of competent jurisdiction to be invalid,
  141. illegal, or unenforceable, such a provision shall be severed from
  142. the License and the other provisions shall remain in full force and effect.
  143. The parties have requested that this Agreement and all documents
  144. contemplated hereby be drawn up in English.
