  1. WEBFLIX PRO(TM) END USER LICENSE AGREEMENT
  2. REDISTRIBUTION NOT PERMITTED
  3.  
  4. This Agreement has three parts. Part I applies if you have not purchased a license
  5. to the accompanying software (the "Software"). Part II applies if you have
  6. purchased a license to use the Software. Part III applies to all license grants.
  7. If you initially acquired a copy of the Software without purchasing a license
  8. and you wish to purchase a license, contact MediaWare Solutions Pty Ltd on the
  9. Internet at http://www.mediaware.com.au.

  11. PART I -- TERMS APPLICABLE WHEN LICENSE FEES NOT (YET) PAID
  12.  (LIMITED TO EVALUATION USE)
  13.  
  14. GRANT. MediaWare Solutions grants you a non-exclusive license to use the
  15. Software free of charge if your use of the Software is for the purpose of
  16. evaluating whether to purchase an ongoing license to the Software. The
  17. evaluation period for use by or on behalf of a commercial entity is limited to
  18. a period at the discretion of MediaWare Solutions Pty Ltd. If you are using the
  19. Software free of charge, you are not entitled to hard-copy documentation,
  20. support or telephone assistance. If your use fits within the description above, you
  21. may use the Software in the manner described in Part III below under "Scope of
  22. Grant."
  23.  
  24. DISCLAIMER OF WARRANTY. Free of charge Software is provided on an 
  25. "AS IS" basis, without warranty of any kind, including without limitation the
  26. warranties of merchantability, fitness for a particular purpose and
  27. non-infringement. The entire risk as to the quality and performance of the
  28. Software is borne by you. Should the Software prove defective, you and not
  29. MediaWare Solutions Pty Ltd assume the entire cost of any service and
  30. repair. This disclaimer of warranty constitutes an essential part of the
  31. agreement.  SOME JURISDICTIONS DO NOT ALLOW EXCLUSIONS OF 
  32. AN IMPLIED WARRANTY, SO THIS DISCLAIMER MAY NOT APPLY TO 
  33. YOU AND YOU MAY HAVE OTHER LEGAL RIGHTS THAT VARY BY 
  34. JURISDICTION. 
  35.  
  36. PART II -- TERMS APPLICABLE WHEN LICENSE FEES PAID
  37.  
  38. GRANT. Subject to payment of applicable license fees, MediaWare Solutions
  39. grants to you a non-exclusive license to use the Software and accompanying
  40. documentation ("Documentation") and MPEG video data in the manner described in
  41. Part III below under "Scope of Grant."
  42.  
  43. LIMITED WARRANTY: MediaWare Solutions warrants that the media on which the 
  44. Software is furnished will be free of defects in materials and workmanship under 
  45. normal use for a period of ninety (90) days from the date of purchase, as evidenced 
  46. by a copy of the receipt.  Otherwise, the Software is provided "AS IS," without a 
  47. warranty of any kind.  This warranty extends to you only if you are the original 
  48. Licensee.  Your exclusive remedy, and MediaWare Solutions's sole liability under 
  49. this warranty, will be the correction of defects in media or replacement of the media, 
  50. or, if correction or replacement is not reasonably achievable by MediaWare Solutions, 
  51. the refund you of the license fee you paid, upon return of  the Software.  Such a 
  52. refund by the MediaWare Solutions will cause immediate termination of this Agreement.  
  53. If the media is subjected to accident, abuse, or improper use; or if you violate the terms 
  54. of this Agreement, then this warranty shall be terminated immediately.
  55.  
  56. MEDIAWARE SOLUTIONS AND ITS SUPPLIERS MAKE NO REPRESENTATIONS 
  57. OR WARRANTIES, EXPRESS OR IMPLIED, RELATING TO ANY ASPECT OF ANY 
  58. THE LICENSED SOFTWARE OR RELATED SERVICE, INCLUDING WITHOUT 
  59. LIMITATION ANY REPRESENTATION OR WARRANTY OF MERCHANTABILITY, 
  60. FITNESS FOR ANY PARTICULAR PURPOSE, OR QUALITY OR THAT THE USE 
  61. OF THE LICENSED SOFTWARE WILL NOT INFRINGE ANY PATENT, COPYRIGHT
  62. OR TRADEMARK. MEDIAWARE SOLUTIONS AND ITS SUPPLIERS WILL NOT BE 
  63. HELD TO ANY LIABILITY WITH RESPECT TO ANY CLAIM BY YOU OR THIRD 
  64. PARTY ON ACCOUNT OF, OR ARISING FROM, THE USE OF THE LICENSED 
  65. SOFTWARE. MEDIAWARE SOLUTIONS AND ITS SUPPLIERS DO NOT WARRANT 
  66. THAT ANY THE LICENSED SOFTWARE WILL MEET YOUR REQUIREMENTS OR 
  67. THAT ITS OPERATION OR USE WILL BE ERROR-FREE.  NO DEALER, AGENT, OR 
  68. EMPLOYEE OF MEDIAWARE SOLUTIONS IS AUTHORIZED TO MAKE ANY 
  69. MODIFICATIONS, EXTENSIONS, OR ADDITIONS TO THIS WARRANTY.

  71. You agree not to attempt to modify, reverse engineer, reverse compile or disassemble 
  72. any portion of the Software. If any modifications are made to the Software by you 
  73. during the warranty period; if the media is subjected to accident, abuse, or improper use; 
  74. or if you violate the terms of this Agreement, then this warranty shall immediately be 
  75. terminated.  This warranty shall not apply if the Software is used on or in conjunction 
  76. with hardware or software other than the unmodified version of hardware and software 
  77. with which the software was designed to be used as described in the Documentation.  
  78. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY 
  79. HAVE OTHER LEGAL RIGHTS THAT VARY BY JURISDICTION.
  80.  
  81. PART III -- TERMS APPLICABLE TO ALL LICENSE GRANTS 
  82.  
  83. SCOPE OF GRANT. 
  84. This license grants you (an individual or single entity) the following rights:
  85. -   you, as an individual, may install and use the Software on any computer 
  86.     provided you are the only individual using the Software. If you are an 
  87.     entity, you must designate one individual within your organisation
  88.     to have the right to use the Software in the manner provided above.
  89. -   you may also store or install a copy of the Software on an internal 
  90.     multi-user or networked system; however you must obtain a dedicated
  91.     licence for each computer on which the Software is installed or run.
  92. -   you may copy the Software for archival purposes, provided any copy must 
  93.     contain all of the original Software's proprietary notices.
  94.  
  95. You may not: 
  96. -   permit other individuals to use the Software; 
  97. -   permit concurrent use of the Software or share the license;
  98. -   modify, translate, reverse engineer, decompile, disassemble (except to
  99.     the extent applicable law specifically prohibit such restriction), or create
  100.     derivative works based on the Software; 
  101. -   copy the Software other than as specified above; 
  102. -   rent, lease, grant a security interest in, or otherwise transfer rights
  103.     to the Software; or 
  104. -   remove any proprietary notices or labels on the Software. 
  105.  
  106. TITLE. Title, ownership rights, and intellectual property rights in the
  107. Software shall remain in MediaWare Solutions and/or its suppliers. The
  108. Software is protected by the Commonwealth of Australia copyright laws and
  109. treaties. Title and related rights in the content accessed through the
  110. Software is the property of the applicable content owner and may be protected
  111. by applicable law. This License gives you no rights to such content.
  112.  
  113. TERMINATION. The license will terminate automatically if you fail to comply
  114. with the limitations described herein. On termination, you must destroy all
  115. copies of the Software and Documentation.
  116.  
  117. LIMITATION OF LIABILITY:
  118. UNDER NO CIRCUMSTANCES AND IN NO EVENT AND UNDER NO 
  119. LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL MEDIAWARE 
  120. SOLUTIONS OR ITS SUPPLIERS OR RESELLERS OR MANUFACTURERS OR 
  121. SUBCONTRACTORS BE HELD RESPONSIBLE OR LIABLE FOR ANY LOST 
  122. REVENUES, LOST PROFITS, LOST DATA, OR OTHER SPECIAL, INCIDENTAL, 
  123. INDIRECT OR CONSEQUENTIAL DAMAGE OR FOR LOSS, DAMAGE OR 
  124. EXPENSE DIRECTLY OR INDIRECTLY ARISING OUT OF THE PERFORMANCE 
  125. OF THE AGREEMENT OR FROM YOUR OR ANY OTHER PARTY'S USE OF OR 
  126. INABILITY TO USE EQUIPMENT, SERVICES OR SOFTWARE EITHER 
  127. SEPARATELY OR IN COMBINATION WITH OTHER EQUIPMENT OR 
  128. FOR COMMERCIAL LOSS OF ANY KIND, EVEN IF MEDIAWARE SOLUTIONS 
  129. OR ITS SUPPLIERS ARE ADVISED IN ADVANCE OF THE POSSIBILITY OF 
  130. SUCH DAMAGES, NOR SHALL MEDIAWARE SOLUTIONS OR ITS SUPPLIERS 
  131. BE HELD LIABLE FOR ANY AMOUNT IN EXCESS OF THE AMOUNT ACTUALLY 
  132. PAID BY THE LICENSEE TO MEDIAWARE SOLUTIONS UNDER THIS 
  133. AGREEMENT. MEDIAWARE SOLUTIONS AND ITS SUPPLIERS SHALL NOT 
  134. BE HELD TO ANY LIABILITY WITH RESPECT TO ANY CLAIM BY A THIRD 
  135. PARTY ON ACCOUNT OF OR ARISING FROM THE USE OF OR THE INABILITY 
  136. TO USE THE SOFTWARE.  YOU, THE LICENSEE, ASSUME ALL RISKS AND 
  137. LIABILITY FOR LOSS, DAMAGE OR INJURY YOU OR YOUR PROPERTY OR 
  138. OTHERS ARISING OUT OF USE OR POSSESSION OF THE EQUIPMENT, 
  139. SERVICES  AND SOFTWARE PROVIDED HEREUNDER.  THIS PARAGRAPH 
  140. SHALL SURVIVE FAILURE OF AN EXCLUSIVE REMEDY.
  141.  
  142. HIGH RISK ACTIVITIES. The Software is not fault-tolerant and is not designed,
  143. manufactured or intended for use or resale as on-line control equipment in
  144. hazardous environments requiring fail-safe performance, such as in the
  145. operation of nuclear facilities, aircraft navigation or communication systems,
  146. air traffic control, direct life support machines, or weapons systems, in
  147. which the failure of the Software could lead directly to death, personal
  148. injury, or severe physical or environmental damage ("High Risk Activities").
  149. MediaWare Solutions and its suppliers specifically disclaim any express or
  150. implied warranty of fitness for High Risk Activities.
  151.  
  152. MISCELLANEOUS. If the copy of the Software you received was accompanied by a
  153. printed or other form of "hard-copy" End User License Agreement whose terms
  154. vary from this Agreement, then the hard-copy End User License Agreement
  155. governs your use of the Software.  This Agreement represents the complete
  156. agreement concerning this license and may be amended only by an agreement in
  157. writing executed by both parties.
  158.  
  159. THE ACCEPTANCE OF ANY PURCHASE ORDER PLACED BY YOU IS 
  160. EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT TO THE TERMS 
  161. SET FORTH HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER.
  162.  
  163. If any provision of this Agreement is held to be unenforceable, such provision
  164. shall be reformed only to the extent necessary to make it enforceable. This
  165. Agreement shall be governed by Australian law. The application of the United
  166. Nations Convention of Contracts for the International Sale of Goods is
  167. expressly excluded.
