  1. Jenies Technologies Incorporated Liscense Agreement
  2.  
  3. This is a legal agreement between you and Jenies Technologies Incorporated 
  4. covering use of the application known as SafeInHand. Be sure to 
  5. read the following agreement before using the software. IF YOU DO NOT AGREE 
  6. TO THE TERMS OF THIS AGREEMENT, DO NOT USE THE SOFTWARE AND DESTROY ALL COPIES 
  7. OF IT YOU CONTROL.
  8.  
  9. This User License Agreement ("Agreement") is a legal agreement 
  10. between you (either an individual or a single entity) and Jenies Technologies 
  11. Incorporated ("Company"). By installing, copying, or otherwise using 
  12. SafeInHand ("Software") on any computer or device, you agree to be bound by the
  13. terms of this Agreement.
  14.  
  15. If you do not agree to the terms of this Agreement, you are not authorized 
  16. to use the Software.
  17.  
  18. DEFINTITIONS
  19.  
  20. "Agreement" This User License Agreement.
  21.  
  22. "Software" The application known as SafeInHand.
  23.  
  24. "Company" Jenies Technologies Incorporated
  25.  
  26. "Documentation" The documentation for Software found within Software or online 
  27. at the PalmInHand.com website.
  28.  
  29. TERMS OF USE
  30.  
  31. Jenies Technologies Incorporated grants you a non-exclusive license to use 
  32. Software.
  33.  
  34. This includes the following uses of Software:
  35.     * you may use Software on any single computer or electronic device;
  36.     * you may use Software on more than one device so long as you are the only 
  37.       user of Software all devices and Software is only used by one person at
  38.       a time;
  39.     * you may transmit Software to another person or entity provided you provided 
  40.       you do not attempt to imply your are representing Company, clearly do not 
  41.       insinuate you are also transferring any kind of license to use Software, and 
  42.       use due diligence to inform the recipient of this license; or
  43.     * you may copy Software for archival purposes, provided any copy must contain 
  44.       all of the original Software's proprietary notices and this Agreement.
  45.     
  46. It does not include the following uses of Software:
  47.     * you may not permit other individuals to use Software except under the terms 
  48.       listed above;
  49.     * you may not permit concurrent use of Software except under the terms listed 
  50.       above;
  51.     * you may not modify, translate, reverse engineer, decompile, disassemble 
  52.       or create derivative works based on Software;
  53.     * you man not modify, translate, reverse engineer, decompile, disassemble 
  54.       or hack the registration code in an attempt to gain unauthorized access to 
  55.       the unlock key algorithm;
  56.     * you may not copy the Software except under the terms listed above;
  57.     * you may not rent, lease, grant a security interest in, or otherwise transfer 
  58.        rights to the Software; or
  59.     * you may not remove any proprietary notices or labels on the Software.
  60.     
  61. WARRANTY
  62.  
  63. Jenies Technologies Incorporated warrants that for a period of sixty (60) 
  64. days from the date of acquisition, Software, if operated as directed, will 
  65. substantially achieve the functionality described in the Documentation. Company 
  66. does not warrant, however, that your use of Software will be uninterrupted 
  67. or that the operation of Software will be error-free or secure. Company also 
  68. warrants that the media containing Software, if and only if provided by Company, 
  69. is free from defects in material and workmanship and will so remain for sixty 
  70. (60) days from the date you acquired Software. Company's sole liability for 
  71. any breach of this warranty shall be, at Company's sole discretion: (i) to 
  72. replace your defective media; or (ii) to advise you how to achieve substantially 
  73. the same functionality with Software as described in the Documentation through 
  74. a procedure different from that set forth in the Documentation; or (iii) if 
  75. the above remedies are impracticable, to refund the license fee you paid for 
  76. Software. Repaired, corrected, or replaced Software and Documentation shall 
  77. be covered by this limited warranty for the period remaining under the warranty 
  78. that covered the original Software, or if longer, for thirty (30) days after 
  79. the date (a) of shipment to you of the repaired or replaced Software, or (b) 
  80. Company advised you how to operate the Software so as to achieve the functionality 
  81. described in the Documentation. Only if you inform Company of your problem 
  82. with Software during the applicable warranty period and provide evidence of 
  83. the date you purchased a license to Software will Company be obligated to 
  84. honor this warranty. Company will use reasonable commercial efforts to repair, 
  85. replace, advise or, for individual consumers, refund pursuant to the foregoing 
  86. warranty within 30 days of being so notified.

  88. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY MADE BY Jenies Technologies 
  89. Incorporated. Jenies Technologies Incorporated MAKES NO OTHER EXPRESS WARRANTY 
  90. AND NO WARRANTY OF NONINFRINGEMENT OF THIRD PARTIES' RIGHTS. THE DURATION 
  91. OF IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, 
  92. INTERACTION WITH OTHER THIRD PARTY SOFTWARE, AND OF FITNESS FOR A PARTICULAR 
  93. PURPOSE, IS LIMITED TO THE ABOVE LIMITED WARRANTY PERIOD; SOME JURISDICTIONS 
  94. DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO LIMITATIONS 
  95. MAY NOT APPLY TO YOU. NO Jenies Technologies Incorporated DEALER, AGENT, OR 
  96. EMPLOYEE IS AUTHORIZED TO MAKE ANY MODIFICATIONS, EXTENSIONS, OR ADDITIONS 
  97. TO THIS WARRANTY.

  99. If any modifications are made to Software by you during the warranty period; 
  100. if the media is subjected to accident, abuse, or improper use; or if you violate 
  101. the terms of this Agreement, then this warranty shall immediately be terminated. 
  102. This warranty shall not apply if Software is used on or in conjunction with 
  103. hardware or software other than the unmodified version of hardware and software 
  104. with which the software was designed to be used as described in the Documentation. 
  105. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY HAVE OTHER LEGAL 
  106. RIGHTS THAT VARY BY JURISDICTION.
  107.  
  108. DISTRIBUTION
  109.  
  110. Distribution of Software is allowed provided the TERMS OF USE are met above. 
  111.  
  112. You may not modify, translate, reverse engineer, decompile, disassemble or 
  113. create derivative works based on Software. You may not copy the Software other 
  114. than as specified above. You may not rent, lease, grant a security interest 
  115. in, or otherwise transfer rights to the Software. You may not remove any proprietary 
  116. notices or labels on Software. You must maintain all copyright notices on 
  117. all copies of Software. Any transfer of Software does not transfer any rights 
  118. of this license to recipient. Transfer of Software to another user requires 
  119. due diligence to inform that person or entity their duty to purchase a valid 
  120. license within the trial period.

  122. TITLE
  123.  
  124. Title, ownership rights, and intellectual property rights in Software shall 
  125. remain with Jenies Technologies Incorporated. Software is protected by the 
  126. copyright laws and treaties of the United States.
  127.  
  128. TERMINATION
  129.  
  130. The license will terminate automatically if you fail to comply with the limitations 
  131. described herein. On termination, you must destroy all copies of Software 
  132. and Documentation you control.
  133.  
  134. EXPORT CONTROLS
  135.  
  136. None of Software or underlying information or technology may be downloaded 
  137. or otherwise exported or reexported (i) into (or to a national or resident 
  138. of) Cuba, Iraq, Libya, Yugoslavia, North Korea, Iran, Syria or any other country 
  139. to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury 
  140. Department's list of Specially Designated Nationals or the U.S. Commerce Department's 
  141. Table of Denial Orders. By downloading or using Software, you are agreeing 
  142. to the foregoing and you are representing and warranting that you are not 
  143. located in, under the control of, or a national or resident of any such country 
  144. or on any such list.
  145.  
  146. LIMITATION OF LIABILITY
  147.  
  148. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, 
  149. SHALL Jenies Technologies Incorporated OR ITS SUPPLIERS OR RESELLERS BE LIABLE 
  150. TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL 
  151. DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF 
  152. GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER 
  153. COMMERCIAL DAMAGES OR LOSSES. IN NO EVENT WILL Jenies Technologies Incorporated 
  154. BE LIABLE FOR ANY DAMAGES IN EXCESS OF THE AMOUNT Jenies Technologies Incorporated 
  155. RECEIVED FROM YOU FOR A LICENSE TO THE SOFTWARE, EVEN IF Jenies Technologies 
  156. Incorporated SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, 
  157. OR FOR ANY CLAIM BY ANY OTHER PARTY. THIS LIMITATION OF LIABILITY SHALL NOT 
  158. APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY TO THE EXTENT APPLICABLE LAW 
  159. PROHIBITS SUCH LIMITATION. FURTHERMORE, SOME JURISDICTIONS DO NOT ALLOW THE 
  160. EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION 
  161. AND EXCLUSION MAY NOT APPLY TO YOU.
  162.  
  163. HIGH RISK ACTIVITIES
  164.  
  165. Software is not fault-tolerant and is not designed, manufactured or intended 
  166. for use or resale as on-line control equipment in hazardous environments requiring 
  167. fail-safe performance, such as in the operation of nuclear facilities, aircraft 
  168. navigation or communication systems, air traffic control, direct life support 
  169. machines, or weapons systems, in which the failure of Software could lead 
  170. directly to death, personal injury, or severe physical or environmental damage 
  171. ("High Risk Activities"). Jenies Technologies Incorporated and its suppliers 
  172. specifically disclaim any express or implied warranty of fitness for High Risk 
  173. Activities.
  174.  
  175. MISCELLANEOUS
  176.  
  177. If any provision of this Agreement is held to be unenforceable, such provision 
  178. shall be reformed only to the extent necessary to make it enforceable. This 
  179. Agreement shall be governed by Texas law (except for conflict of law provisions). 
  180. The application the United Nations Convention of Contracts for the International 
  181. Sale of Goods is expressly excluded.
