  1.                                LICENSE AGREEMENT

  3.     CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS.  IF YOU DO NOT AGREE 
  4.     WITH  THEM,   YOU  SHOULD PROMPTLY RETURN THE PACKAGE FOR A  REFUND  IF 
  5.     PURCHASED OR AQUIRED BY OTHER MEANS, YOU SHOULD NOT MAKE USE OF IT. USE 
  6.     OF  PROGRAM  DEVELOPED  BY SHENANDOAH VALLEY  SOFTWARE  INDICATES  YOUR 
  7.     ACCEPTANCE OF THIS AGREEMENT.

  10.                                LICENSE STATEMENT
  11.  
  12.     This  software  is  protected  by  United  States  copyright  law   and 
  13.     internation treaty provisions.

  15.  
  16.                          RESTRICTED PERMISSION TO COPY
  17.     
  18.     The conditions under which you may copy ShareWare programs developed by 
  19.     SVS and their documentation are clearly outline below.
  20.     
  21.     Individuals  are granted permission by SVS to freely copy  the  program 
  22.     for  their  own use or for others to EVALUATE,  as long as no price  or 
  23.     other compensation is charge. Printed manuals may not be copied without 
  24.     the express written permission of SVS.  The program may only be  copied 
  25.     and distributed under the following conditions: 
  26.     
  27.     1. No price or other compenstation may be charged. However, a distribu-
  28.     tion  cost may be charged for the cost of the diskette,   shipping  and 
  29.     handling, as long as the cost does not exceed $10 total.
  30.     
  31.     2. The program or disk-documentation may not be modified in any way and 
  32.     must always be distributed together.
  33.     
  34.     3. The program may not be sold as part of some other inclusive package.
  35.     
  36.     4. The program may not be "rented" to others.
  37.     
  38.     5. The printer User Manual may not be copied or reproduced in any way.

  41.                                 LIMITED WARRANTY
  42.     
  43.     WITH RESPECT TO THE PHYSICAL DISKETTE AND DOCUMENTATION AQUIRED THROUGH 
  44.     REGISTRATION,  SVS WARRANTS THE SAME TO BE FREE OF DEFECTS IN MATERIALS 
  45.     AND/OR WORKMANSHIP FOR A PERIOD OF 30  DAYS FROM THE DATE OF  PURCHASE. 
  46.     IN THE EVENT OF NOTIFICATION WITHIN THE WARRANTY PERIOD  OF  DEFECTS IN 
  47.     MATERIALS   AND/OR  WORKMANSHIP,   SVS  WILL  REPLACE   THE   DEFECTIVE 
  48.     DOCUMENTATION OR DISKETTE. THE REMEDY FOR BREACH OF THIS WARRANTY SHALL 
  49.     BE  LIMITED TO REPLACEMENT AND SHALL NOT ENCOMPASS ANY  OTHER  DAMAGES, 
  50.     INCLUDING BUT NOT LIMITED TO LOSS OF PROFIT,  AND SPECIAL,  INCIDENTAL, 
  51.     CONSEQUENTIAL OR OTHER SIMILAR CLAIMS.

  53.     SVS  SPECIALLY DISCLAIMS ALL OTHER WARRANTIES,  EXPRESSED  OR  IMPLIED, 
  54.     INCLUDING  BUT NOT LIMITED TO IMPLIED WARRANTIES OR MERCHANTABILITY AND 
  55.     FITNESS FOR A PARTICULAR PURPOSE.  IN NO EVENT SHALL SVS BE LIABLE  FOR 
  56.     ANY  LOSS OF PROFIT OR ANY OTHER DAMAGE,  INCLUDING BUT NOT LIMITED  TO 
  57.     SPECIAL,  INCIDENTAL,  CONSEQUENTIAL OR OTHER DAMAGES IN EXCESS OF  THE 
  58.     REGISTRATION FEE UNDER THIS LICENSE AGREEMENT.

  61.                                  GOVERNING LAW 
  62.  
  63.     This agreement shall be construed, interpreted and governed by the laws 
  64.     of the state of Virginia.

  67.                                   SITE LICENSE 
  68.  
  69.     This   is  a license for use of the software within your company,   and  
  70.     is   not  transferable.   This allows internal use and copying  of  the 
  71.     software by as many users/machines as contracted for. An unlimited Site 
  72.     License  is available which allows  unlimited  copying of the  software 
  73.     for  internal use by  your  company.  Distribution,   repackaging,   or 
  74.     reselling  of the software to third parties  is forbidden.    For  more 
  75.     information  on the availability and pricing of  a  Site License  refer 
  76.     to the order file or write to Shenandoah Valley Software.

  79.                              DISTRIBUTION LICENSE 
  80.  
  81.     This  license  allows  distribution of  the  software  with  commercial 
  82.     software  that  is  manufactured  by  your company.   This  license  is  
  83.     non-exclusive  and  nontransferable.   For more information and a quote 
  84.     on the one time  Distribution License  fee,  write to Shenandoah Valley 
  85.     Software  detailing the software your software,    market,     pricing,  
  86.     etc  and  the  reason for wanting to include  our  software  with  your 
  87.     product. You will receive a prompt reply.

  90.                           CUSTOM VERSIONS OF SOFTWARE 
  91.  
  92.     Shenandoah  Valley Software will customize its software for your usage.   
  93.     Such  modification   will  be done for registered users only  with  the 
  94.     additional  cost as  quoted.  For more information,  detail the modifi-
  95.     cations  you require  and mail  to  Shenandoah  Valley Software.    You 
  96.     will receive a  prompt  reply  and quotation.

  99.                             SOURCE CODE AVAILABILITY 
  100.  
  101.     With   the  sole  exception  of software packages designed  to  aid  in  
  102.     programming,   Shenandoah Valley Software will not release source  code 
  103.     for it products.
