  38.                  CUSTOMER MAINTENANCE AGREEMENT

  41. @001, referred to as SOFTWARE SERVICE COMPANY, and @002, referred 
  42. to as CUSTOMER agree:

  45. CUSTOMER represents and warrants that it is an authorized 
  46. licensee/owner of the following described computer software 
  47. system:

  53. SOFTWARE SERVICE COMPANY shall provide under the terms and 
  54. conditions stated herein maintenance service for CUSTOMER. 
  55. Maintenance service is defined as providing needed assistance 
  56. as reasonably necessary to make the program perform pursuant to 
  57. its listed specifications; provided, that since the product is 
  58. produced by a third party that SOFTWARE SERVICE COMPANY shall not 
  59. be required to correct deficiencies which are results of 
  60. programming, or failure to program, of the producer of the 
  61. program. Maintenance shall include reconfiguration of the 
  62. software if reasonably required to accomplish tasks within the 
  63. capability of the program.

  67. In the event that the producer of the program issues a new 
  68. version, and CUSTOMER elects to upgrade to such new version, 
  69. maintenance hereunder shall include re-configuration of the 
  70. system and conversion of data or other items to the new standard. 
  71. However, if the upgrade requires complete re-installation the 
  72. parties shall in good faith negotiate and agree upon a one time 
  73. charge for such re-installation.

  102. In addition to the maintenance obligation undertaken above, 
  103. COMPUTER SERVICE COMPANY shall provide at no additional charge to 
  104. CUSTOMER no more than @555 hours of initial training in use of 
  105. the program, and refresher training for employees that have 
  106. already received initial training. This training shall take place 
  107. at @556. COMPUTER SERVICE COMPANY shall not be required to 
  108. provide additional training; however, CUSTOMER may order 
  109. additional training at a cost of $ @557 (!557 dollars) per 
  110. instructor/hour.

  117. COMPUTER SERVICE COMPANY shall not be required under this 
  118. contract to provide basic training or recurrent training for 
  119. users of the program. However, CUSTOMER may request training for 
  120. employees. A reasonable compensation and other conditions for the 
  121. training will be agreed upon by the parties.

  128. This agreement may be terminated under two conditions:
  129.  
  130.  
  131. 1) a breach of the contract,
  132.  
  133. 2) termination without a breach of the contract
  134.

  137. If a breach of the contract is committed by the CUSTOMER, the 
  138. COMPUTER SERVICE COMPANY shall give a written notice specifying 
  139. the alleged breach and permit the CUSTOMER to cure the breach 
  140. within 10 days. However if the COMPUTER SERVICE COMPANY has 
  141. previously complained of a substantially similar breach, the 
  142. COMPUTER SERVICE COMPANY may either:
  143.  
  144.  
  145. a) allow a period of three days to cure the breach; or,
  146.  
  147.  
  148. b) issue a notice of immediate termination.
  149.  
  150.  
  151. If a breach of contract is committed by the COMPUTER SERVICE 
  152. COMPANY, the CUSTOMER shall give written notice specifying the 
  153. alleged breach and permit the COMPUTER SERVICE COMPANY to cure 
  154. the breach within 3 business days. However, if the CUSTOMER has 
  155. previously complained of a substantially similar breach, the 
  156. CUSTOMER may alternately issue a notice of immediate termination 
  157. or allow a period of two business days to cure the breach. All 
  158. notices of alleged breaches shall be sent by the most expeditious 
  159. means, such as fax or over night delivery.

  162. In the event that a claimed breach by COMPUTER SERVICE COMPANY is 
  163. the failure of the CUSTOMER to pay as agreed, 2 business days 
  164. notice of intention to terminate may be given, although COMPUTER 
  165. SERVICE COMPANY shall not be required to do so.
  166.

  168. No failure or delay in exercising in right or failure to issue a
  169. notice of any breach shall not constitute a waiver of any rights
  170. herein.

  172.  
  173. Breach by the CUSTOMER shall include, but not be limited to:
  174.  
  175.  
  176. a) the CUSTOMER making or permitting any alteration of the 
  177. software or hardware without the prior agreement of the COMPUTER 
  178. SERVICE COMPANY; the COMPUTER SERVICE COMPANY shall not be 
  179. required to agree to any changes by third parties;
  180.  
  181.  
  182. b) refusal of the CUSTOMER to reasonably cooperate with the 
  183. COMPUTER SERVICE COMPANY;
  184.  
  185.  
  186. c) persistent failure of provision of a proper electrical supply, 
  187. persistent failure to properly maintain hardware and a proper 
  188. environment for computers.
  189.  
  190.  
  191. The contract may be terminated by either party without reference
  192. to a breach and without cause on 120 days notice.

  196. This is the entire agreement between the parties, and this 
  197. agreement may only be changed by a writing executed by both 
  198. parties.
