  23.                       PROMOTIONAL AGREEMENT

  25. @001, referred to as BBS, and @002, referred to as MANUFACTURER,
  26. agree:

  29. @001 operates a computer telecommunications service (BBS)
  30. providing various computer services for the public.

  33. @002 is the MANUFACTURER of the following products:

  40. MANUFACTURER shall include in the products stated above a 
  41. promotional advertisement for purchasers of MANUFACTURER's 
  42. product to purchase BBS services from BBS. The advertisements 
  43. shall be printed and provided by @004 and shall include a unique 
  44. identifying code for MANUFACTURER.

  51. All replies shall be received and processed by the BBS. The BBS 
  52. shall make a monthly accounting report to MANUFACTURER of the 
  53. number of orders received. MANUFACTURER shall be paid a 
  54. commission of $ @005 (!005 dollars) per sale. MANUFACTURER's 
  55. commissions shall be paid solely upon paid accounts. BBS shall 
  56. advance to MANUFACTURER commissions earned based upon the sales 
  57. which are received prior to collection. However, BBS may in its 
  58. discretion withhold no more than 5% of the commission due to 
  59. allow for dishonored checks, credit card chargebacks and refunds. 
  60. BBS shall be entitled to use its business judgment to determine 
  61. if it any refunds are to be made and to determine methods used to 
  62. collect delinquent accounts.

  69. All replies shall be received and processed by the MANUFACTURER, 
  70. at MANUFACTURER's expense. MANUFACTURER shall not less than 
  71. weekly advise BBS in the most expeditious manner possible (such 
  72. as overnight delivery or telephone fax) of the names, addresses 
  73. and other information related to the orders. MANUFACTURER shall 
  74. make a monthly accounting report to BBS of the number of orders 
  75. received, on the 10th of each month for the preceding month. 
  76. MANUFACTURER shall be paid a commission of $ @006 (!006 dollars) 
  77. per sale by BBS, which it shall collect by deducting the 
  78. commissions due to it from its remittance to BBS. MANUFACTURER's 
  79. commissions shall be paid solely upon paid accounts. MANUFACTURER 
  80. shall advance to BBS sales proceeds which are received prior to 
  81. collection. However, MANUFACTURER may in its discretion withhold 
  82. no more than 5% of the compensation due to allow for dishonored 
  83. checks, credit card chargebacks and refunds. MANUFACTURER shall 
  84. be entitled to use its business judgment to determine if it any 
  85. refunds are to be made and to determine methods used to collect 
  86. delinquent accounts.

  93. The BBS offer provided for in this agreement shall be the only 
  94. offer for computer telecommunications services contained within 
  95. the products. However, this shall not prevent MANUFACTURER from 
  96. referring to customer services through telecommunications 
  97. services which it offers generally to the public.

  113. altered by a writing executed by the parties hereto.
