  4.             EMPLOYEE INTELLECTUAL PROPERTY AGREEMENT

  7. @001, referred to as EMPLOYER and @002, referred to as EMPLOYEE, 
  8. agree:

  11. EMPLOYEE acts as @100 for EMPLOYER. As part of EMPLOYEE's duties, 
  12. EMPLOYEE may develop inventions or produce confidential business 
  13. information. In addition, EMPLOYEE may become privy to 
  14. confidential business information such as customer or prospect 
  15. information.

  18. During the term of employment, if EMPLOYEE creates any 
  19. inventions, made with employer's facilities, equipment, supplies, 
  20. trade secrets shall be the property of EMPLOYER. EMPLOYEE shall 
  21. fully cooperate with the EMPLOYER and execute any requested 
  22. documentation and, shall also assist EMPLOYER with applications 
  23. and other patent procedures.

  29. EMPLOYEE agrees that any inventions that relate to EMPLOYERS 
  30. current or anticipated work or research, or that result from work 
  31. done for the EMPLOYER, shall belong to EMPLOYER.
