  30.               TELECOMMUNICATIONS SERVICE AGREEMENT

  33. @001, referred to herein as BBS, and @002 referred to herein as 
  34. SYSTEM, agree:

  38. BBS is engaged in the provision of telecommunications service via 
  39. a computer bulletin board system. SYSTEM desires, and BBS agrees 
  40. that the present accounts of BBS shall be transferred to SYSTEM 
  41. under the terms of this agreement.

  44. The effective date of the transfer shall be @700.
  45.  
  46.  
  47. As soon as possible after the execution of this agreement, BBS 
  48. shall place a notice on its system informing users of the 
  49. transfer of their accounts.

  52. BBS shall provide on disk, in a form mutually agreeable to the 
  53. parties hereto, a complete list of the paid users of BBS's system 
  54. together with the access levels provided to each. SYSTEM shall 
  55. provide the users of BBS with access to SYSTEM which is 
  56. substantially identical to that presently given to them by BBS.

  59. SYSTEM shall be responsible for completing of the following 
  60. contracts entered into between BBS and others, copies of which 
  61. are attached hereto as exhibits. Other than these specific 
  62. contracts between BBS and @500, there are no other agreements 
  63. which SYSTEM shall be obligated to abide by or complete.

  71. SYSTEM in a mutually agreeable medium, the complete files of the

  79. advise all users of BBS's systems desiring to renew, or new users,

  84. determine whether to make refunds or other adjustments in the 
  85. account of user's transferred by BBS.

  94. to any accounts receivable due to the SYSTEM. BBS guarantees that

  106. SYSTEM shall have the right to use the trade marks and trade 
  107. names of BBS, and any graphical representations thereof.

  111. SYSTEM shall indemnify BBS from any and all claims and demands 
  112. related to the conduct of SYSTEM as to transferred accounts 
  113. except for consumer claims for refunds and adjustments related 
  114. solely to the change in the accounts. SYSTEM shall provide 
  115. sufficient facilities to handle its present traffic and the 
  116. accounts transferred herein in a matter that is acceptable within 
  117. the remote computer bulletin board system industry. It shall be 
  118. presumed that SYSTEM has provided sufficient capacity if its 
  119. total usage is less than or equal to 85% of system capacity.

  147. agreement may only be changed by the written agreement of the
