  1. Trainz License Agreement
  2.  
  3.  
  4. This is a software license agreement ("License") between you and Auran Games Pty 
  5. Ltd, ABN 73 081 393 311 ("Auran") for the software product known as 'Trainz'. The 
  6. Trainz software product includes:
  7.  
  8. *    software including My Collection, Driver, Surveyor and any other modules or 
  9. add-on packs that Auran chooses to make available to you from time to time 
  10. ("Trainz Modules");
  11.  
  12. *    editors (including but not limited to the surveyor module) and software 
  13. exporters and utilities that allow you to create your own assets or modify 
  14. existing Auran or third party assets for use within the Trainz Modules; 
  15.  
  16. *    all documentation relating to Trainz and the Trainz Modules that are 
  17. included in either electronic or paper form; and
  18.  
  19. *    all other associated media (including artwork, sound files, music and video) 
  20. included with the Trainz Modules or made available to you by Auran 
  21. (together the "Software").

  24. 1    Important Note
  25.  
  26. YOUR PERMISSION TO USE THE SOFTWARE IS CONDITIONAL UPON 
  27. YOUR AGREEMENT TO THE TERMS OF THIS LICENSE.  DO NOT OPEN 
  28. THE SEALED PACKAGE, OR INSTALL, DOWNLOAD OR USE THE 
  29. SOFTWARE, UNLESS YOU HAVE READ AND ACCEPTED ALL THE 
  30. TERMS OF THIS LICENSE.  BY OPENING THE PACKAGE, OR 
  31. INSTALLING, DOWNLOADING OR USING THE SOFTWARE, YOU WILL 
  32. BE DEEMED TO HAVE ACCEPTED THE TERMS OF THIS LICENSE.  IF 
  33. YOU DO NOT ACCEPT THE TERMS OF THIS LICENSE, RETURN THIS 
  34. PACKAGE UNOPENED TO THE PLACE OF PURCHASE AND ANY 
  35. LICENSE FEE THAT YOU HAVE PAID WILL BE REFUNDED TO YOU.

  38. 2    Copyright and Intellectual Property
  39.  
  40. 2.1    The Software is a copyright work that is protected by copyright laws and 
  41. international copyright treaties. In addition, parts of the Software may be 
  42. protected by registered patents in numerous jurisdictions around the world.
  43.  
  44. 2.2    This Software is licensed to you. It is NOT sold. 
  45.  
  46. 2.3    All copyright, patent and other intellectual property rights are expressly 
  47. withheld and are NOT transferred in any way by the terms of this License.
  48.  
  49.  
  50. 3    Grant of License
  51.  
  52. 3.1    Subject to the terms and conditions of this License, Auran grants to you a 
  53. personal, non-transferable and non-exclusive license to:
  54.  
  55. (a)    install and use the Software, at any one time, on a single stand 
  56.     alone computer in accordance with normal operating procedures as 
  57.     notified by Auran from time to time; and
  58.  
  59. (b)    either:
  60.  
  61.     (i)    make one copy of the Software that is in electronic form 
  62.         solely for back-up or archival purposes in support of your 
  63.         permitted use of the Software; or
  64.  
  65.     (ii)    transfer the Software that is in electronic form to a single 
  66.     hard disk, provided you keep the original solely for back-up 
  67.     or archival purposes.
  68.  
  69. 3.2    You have no right to use the Software, in whole or in part, for any purpose 
  70. other than as specified in this License.  The rights granted to you in this 
  71. clause 3 and clause 4 are your only rights in relation to the Software.
  72.  
  73. 3.3    This License does not grant you any right to enhancements or updates to 
  74. the Software although Auran may make available such enhancements or 
  75. updates to the Software as it sees fit in its absolute discretion.
  76.  
  77. 3.4    Except for purposes expressly permitted by law, you must not reverse 
  78. engineer, decompile or disassemble the Software or any of the files that are 
  79. used by the Software.
  80.  
  81. 3.5    You must not use the Software for an illegal purpose.
  82.  
  83. 3.6    You are responsible for the supervision, management and control of the use 
  84. of the Software.
  85.  
  86. 3.7    The grant of the license set out in clause 3.1 is not and cannot be deemed 
  87. to be a sale, transfer or any other conveyance to you of Auran's trademarks 
  88. or any other intellectual property rights held or used by Auran.
  89.  
  90. 3.8    The Software is comprised of a number of modules but is licensed as a 
  91. single product. Its component parts (Trainz Modules) may not be separated 
  92. for use on more than one computer.
  93.  
  94. 3.9    You must not rent, lease or lend-for-profit the Software unless you have 
  95. obtained Auran's prior written consent.
  96.  
  97.  
  98. 4    Authorised Use of the Software
  99.  
  100. 4.1    The rights granted to you under clause 3 are subject to the following 
  101. authorised uses of the Software.
  102.  
  103. 4.2    Certain of the Trainz Modules and accompanying editors and exporters 
  104. allow you to create your own assets for use by the Software by either:
  105.  
  106.     (a)    creating a completely new artistic work; or
  107.  
  108.     (b)    modifying an existing asset provided by Auran or a third party.
  109.  
  110. 4.3    In the case of 4.2(a) above, you can distribute (for free or for payment) such 
  111. works as you see fit with no requirement to seek Auran's approval or 
  112. consent PROVIDED THAT you will cease to distribute such works as Auran 
  113. reasonably considers are not new works.
  114.  
  115. 4.4    In the case of 4.2(b) above, you can only distribute (for free or for payment) 
  116. those works that are reasonably considered to be substantially different to 
  117. the original work on which the new work is based. In the event of a dispute 
  118. over what is considered to be 'substantially different', Auran's decision is 
  119. final.

  121. 4.5     If you submit a work to Auran for inclusion as "Official Content" (as defined 
  122. in the Trainz Third Party Content Creation and Distribution Guidelines on 
  123. the Auran website at www.auran.com), Auran may, in its absolute 
  124. discretion, choose to include a work that you have created under the terms 
  125. of Clause 4.2 (a) and 4.2 (b) in a product it distributes (for free or for 
  126. payment). If Auran includes a work you have created in a product it 
  127. distributes, it will place your name in the credits for the relevant work. If 
  128. Auran receives a monetary benefit for the distributed product in which your 
  129. work is included, Auran will make all reasonable efforts to contact you to 
  130. arrange an appropriate royalty payment.
  131.  
  132. 5    Termination
  133.  
  134. 5.1    Auran may terminate this License with immediate effect if you commit what 
  135. Auran considers to be a material breach of this License.
  136.  
  137. 5.2    Upon termination of this License, you must immediately cease any further 
  138. use of the Software, and you must at your expense, return to Auran or 
  139. destroy (at Auran's discretion) all copies of the Software in your possession 
  140. or your control .
  141.  
  142.  
  143. 6    No Warranty
  144.  
  145. 6.1    The Software is provided "as is".
  146.  
  147. 6.2    TO THE FULLEST EXTENT PERMITTED BY LAW, NO WARRANTIES, 
  148. WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, 
  149. THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR 
  150. A PARTICULAR PURPOSE, ARE MADE BY AURAN.  IN NO EVENT WILL 
  151. AURAN BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY 
  152. CONSEQUENTIAL OR INDIRECT LOSS, INCLUDING WITHOUT 
  153. LIMITATION, TIME, MONEY, GOOD WILL, LOSS OF CUSTOM, DAMAGE 
  154. TO REPUTATION OR LOST PROFITS, WHICH MAY ARISE FROM THE 
  155. USE, OPERATION, MAINTENANCE, MODIFICATION OR FAILED USE OF 
  156. THE SOFTWARE OR ANY PROGRAM CREATED USING THE 
  157. SOFTWARE.  THIS LIMITATION OF LIABILITY DOES NOT APPLY IN 
  158. JURISDICTIONS WHICH PROHIBIT THE LIMITATION OF LIABILITY FOR 
  159. INCIDENTAL OR CONSEQUENTIAL DAMAGES.

  161. 6.3    If Auran is found to be liable to you, Auran's liability is limited in all 
  162. circumstances to one of the following options, as selected by Auran: 
  163.  
  164.     (a)    resupply of the Software;
  165.  
  166.     (b)    supply of similar Software;
  167.  
  168.     (c)    refunding the amount you paid to Auran for the Software;
  169.  
  170.     (d)    fixing the Software (if appropriate); or
  171.  
  172.     (e)    paying someone else to fix the Software (if appropriate).

  175. 7    Indemnities
  176.  
  177. 7.1    You agree to indemnify Auran for all loss, damage and costs that Auran may 
  178. suffer or incur arising out of your use or misuse of the Software or in respect 
  179. of any claim made or legal or regulatory action brought against Auran arising 
  180. out of or relating to your conduct or your use or misuse of the Software.
  181.  
  182. 7.2    Auran does not and will not indemnify you for any loss or damage arising 
  183. from or relating to your use of the Software, including any claim of 
  184. intellectual property infringement relating to use of the Software.

  187. 8    Governing Law
  188.  
  189. 8.1    This License is governed by and construed in accordance with the laws of 
  190. Queensland, Australia and by using the Software you submit to the 
  191. jurisdiction of the courts of Queensland, Australia and their courts of appeal.
