  1. SmartFTP License Agreement
  2.  
  3. SMARTFTP VERSION 1.0 END-USER LICENSE AGREEMENT
  4.  
  5. IMPORTANT-READ CAREFULLY: This SmartFTP End-User License Agreement ("EULA") is a
  6. legal agreement between you (either an individual or a single entity) and the
  7. SmartFTP Group for the SOFTWARE(s) identified above, which includes the User's
  8. Guide, any associated SOFTWARE components, any media, any printed materials
  9. other than the User's Guide, and any "online" or electronic documentation
  10. ("SOFTWARE"). By installing, copying, or otherwise using the SOFTWARE, you agree
  11. to be bound by the terms of this EULA. If you do not agree to the terms of this
  12. EULA, do not install or use the SOFTWARE. If the SOFTWARE was mailed to you,
  13. return the media envelope along with the rest of the package to the location
  14. where you obtained it within 30 days from purchase.

  16. 1. DEFINITIONS
  17.  
  18. "Licensed version" means a version of SmartFTP that has
  19.   been licensed for use in a company or in an organization.
  20.   Licensed version is not free and you are not allowed to
  21.   distribute it in any ways.
  22.  
  23. "Unlicensed version" means the free version of SmartFTP
  24.   that can only be used for personal, educational and
  25.   non-commercial use. The one and only exception is
  26.   during the evaluation period in which the Software may
  27.   also be used for commercial use.
  28.  
  29. "personal use"  means the non commercial use of SmartFTP in your 
  30.   own home, with your own personal computer by you, your family or 
  31.   by your close friends. The computer you use SmartFTP in must be 
  32.   owned by you or by a member of your family, you are not allowed 
  33.   to use an unlicensed version of SmartFTP in a computer owned by 
  34.   the company you work for.
  35.  
  36. "educational use" means the use of SmartFTP for educational purposes
  37.   in a non-commercial institution.
  38.  
  39. "license" means the license you own. If you haven't bought a license
  40.   (i.e. the licensed version) you are bound by the restrictions of the
  41.   unlicensed version.
  42.  
  43. "license agreement" means this document. This license agreement is a
  44.   legal agreement between you (individual or a legal entity) and
  45.   the SmartFTP Group.
  46.  
  47. 2. The SOFTWARE is licensed, not sold.
  48.  
  49. 3. GRANT OF LICENSE.  
  50.  
  51.    1. Unlicensed version
  52.      Allows you to use SmartFTP in an unlimited amount of computers. 
  53.  
  54.      Evaluation
  55.      For commercial use you may use the Software without charge for thirty (30) days 
  56.      from the day that you install the Software. You must pay the license fee and 
  57.      register your copy to continue to use the Software after the thirty (30) day 
  58.      evaluation period.  To pay the license fee and register your copy, you should 
  59.      visit www.smartftp.com or an authorized sales agent.
  60.  
  61.    2. Licensed version
  62.      When you purchase a license you will be provided with a registration
  63.      key. You should enable the registered license for the Software by 
  64.      entering the registration key as prompted by the Software.  You may 
  65.      use the registered Software on that number of computers for which you have 
  66.      purchased a separate license as indicated on our invoice. If the Software 
  67.      is installed on a network server or other storage device, you must purchase a 
  68.      license for each separate computer on which the Software is used.  A license 
  69.      for the Software may not be shared by alternating use of the Software between 
  70.      different computers. The primary user of a computer for which a license has
  71.      been purchased may make and use one copy of the Software on his or her
  72.      portable computer. You may also make one copy of the Software for back-up or 
  73.      archival purposes. Otherwise, you may not copy the Software in whole or in part.

  75.      You may permanently transfer all of your rights under this license provided you 
  76.      transfer all copies of the Software and the recipient agrees to the terms of 
  77.      this license.  
  78.  
  79.      There are 4 basic types of licenses issued for SmartFTP, these are:
  80.  
  81.       a.  A single computer USAGE license.  The user purchases ONE license
  82.           to USE the SmartFTP on ONE computer.
  83.  
  84.       b.  A Multiple USAGE license.  The user purchases a number of USAGE
  85.           licenses for use, by the purchaser, the purchaser's employees or
  86.           accredited agents, on the same number of computers.
  87.  
  88.       c.  A SITE USAGE license.  The user purchases a single USAGE license,
  89.           authorising the USE of SmartFTP, by the purchaser, the purchaser's
  90.           employees or accredited agents, on an unlimited number of computers
  91.           at the same physical SITE location.  This SITE location would
  92.           normally be defined as a single building, but could be considered
  93.           to be a number of buildings within the same, general, geographical
  94.           location, such as an industrial estate or small town.
  95.  
  96.       d.  A CORPORATE, NATIONAL or INTERNATIONAL USAGE license.  The user
  97.           purchases a single USAGE license, authorising the USE of SmartFTP, by
  98.           the purchaser, the purchaser's employees or accredited agents, on
  99.           an unlimited number of computers, regardless of location, but
  100.           owned or under the control of the purchaser.

  103. 4. DISTRIBUTION.  You are hereby licensed to make copies of the SOFTWARE as you
  104. wish; give exact copies of the original SOFTWARE to anyone; and distribute the
  105. SOFTWARE in its unmodified form via electronic means (Internet, BBS's, Shareware
  106. distribution libraries, CD-ROMs, etc.). You may charge a distribution fee for
  107. the package, but you must not represent in any way that you are selling the
  108. SOFTWARE itself. Your distribution of the SOFTWARE will not entitle you to any
  109. compensation from the SmartFTP Group.  You must distribute a copy of this EULA
  110. with any copy of the SOFTWARE and anyone to whom you distribute the SOFTWARE is
  111. subject to this EULA.
  112.  
  113. 5. RESTRICTIONS.  You may not reverse engineer, de-compile, or disassemble the
  114. SOFTWARE, except and only to the extent that such activity is expressly
  115. permitted by applicable law notwithstanding this limitation. You may not rent,
  116. lease, or lend the SOFTWARE. You may permanently transfer all of your rights
  117. under this EULA, provided the recipient agrees to the terms of this EULA.  You
  118. may not use the SOFTWARE to perform any unauthorized transfer of information
  119. (e.g. transfer of files in violation of a copyright) or for any illegal purpose.

  121. 6. SUPPORT SERVICES. The SmartFTP Group may provide you with support services
  122. related to the SOFTWARE. Use of Support Services is governed by the SmartFTP
  123. Group polices and programs described in the user manual, in online
  124. documentation, and/or other materials provided by the SmartFTP Group, as they
  125. may be modified from time to time. Any supplemental SOFTWARE code provided to
  126. you as part of the Support Services shall be considered part of the SOFTWARE and
  127. subject to the terms and conditions of this EULA. With respect to technical
  128. information you provide to SmartFTP Group as part of the Support Services, the
  129. SmartFTP Group may use such information for its business purposes, including for
  130. product support and development. The SmartFTP Group will not utilize such
  131. technical information in a form that personally identifies you.

  133. 7. TERMINATION. Without prejudice to any other rights, the SmartFTP Group may
  134. terminate this EULA if you fail to comply with the terms and conditions of this
  135. EULA. In such event, you must destroy all copies of the SOFTWARE.
  136.  
  137. 8. COPYRIGHT. The SOFTWARE is protected by copyright laws and international
  138. treaty provisions. You acknowledge that no title to the intellectual property in
  139. the SOFTWARE is transferred to you. You further acknowledge that title and full
  140. ownership rights to the SOFTWARE will remain the exclusive property of the
  141. SmartFTP Group and you will not acquire any rights to the SOFTWARE except as
  142. expressly set forth in this license. You agree that any copies of the SOFTWARE
  143. will contain the same proprietary notices which appear on and in the SOFTWARE.

  145. 9. NO WARRANTIES. The SmartFTP Group expressly disclaims any warranty for the
  146. SOFTWARE. THE SOFTWARE AND ANY RELATED DOCUMENTATION IS PROVIDED "AS IS" WITHOUT
  147. WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION,
  148. THE IMPLIED WARRANTIES OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR
  149. NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE
  150. SOFTWARE REMAINS WITH YOU.

  152. 10. LIMITATION OF LIABILITY. IN NO EVENT SHALL THE SMARTFTP GROUP OR ITS
  153. SUPPLIERS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR
  154. INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THE DELIVERY, PERFORMANCE, OR USE OF
  155. THE SOFTWARE, EVEN IF THE SMARTFTP GROUP HAS BEEN ADVISED OF THE POSSIBILITY OF
  156. SUCH DAMAGES. IN ANY EVENT, THE SMARTFTP GROUP'S LIABILITY FOR ANY CLAIM,
  157. WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY OF LIABILITY WILL NOT EXCEED THE
  158. GREATER OF U.S.$1.00 OR LICENSE FEE PAID BY YOU.
