  1. END-USER LICENSE AGREEMENT FOR GrooveMaker« SOFTWARE
  2.  
  3. Please read this document carefully before breaking the seal on the media
  4. package. This agreement licences the enclosed software to you and contains
  5. warranty and liability disclaimers. By breaking the seal on the media envelope,
  6. you are confirming acknowledgement of clauses of this agreement, your acceptance
  7. of the software as well as your acceptance of the terms of this agreement. If
  8. you do not wish to do so, do not break the seal. Instead, promptly return the
  9. entire package, including the unopened media package, to the dealer from whom
  10. you obtained it, for a full refund.

  12. 1) DEFINITIONS
  13. "EULA" means this end user license agreement "GrooveMaker« software" means the
  14. software program included in the enclosed package, and all related updates
  15. supplied by IK Multimedia Production srl - Italy. "IK Multimedia Product" means
  16. the Groovemaker« software and the related documentation, models and multimedia
  17. content (such as animation, sound and graphics) and all related updates supplied
  18. by IK Multimedia Production srl - Italy. "End-user product" means the output
  19. file generated by you using the Groovemaker« Software. "Not for resale (NFR)
  20. Version" means a version of IK Multimedia Product", so identified, intended for
  21. review and evaluation purposes, only.

  23. 2) LICENSE
  24. The "IK Multimedia Product" is protected by copyright laws and international
  25. copyright treaties, as well as other intellectual property laws and treaties.
  26. The "IK Multimedia Product" is licensed, not sold. This EULA grants you the
  27. rights as specified here below, All other actions and uses require the written
  28. permission of the rightful holder, IK Multimedia Production srl: Applications
  29. Software. The "IK Multimedia Product" may be used only by you. You may install
  30. and use one copy of the "IK Multimedia Product", or any prior version thereof
  31. for the same operating system, on a single computer. Storage/Network use. You
  32. may also store or install a copy of the "IK Multimedia Product" on a storage
  33. device, such as a network server, used only to install or run the "IK Multimedia
  34. Product" on your other computers over an internal network; however, you must
  35. acquire and dedicate a distinct license for each user of the "IK Multimedia
  36. Product" from the storage device. Any license obtained for the "IK Multimedia
  37. Product" must not be shared or used concurrently or otherwise on different
  38. computers or by different developers in a given organization.

  40. 3) DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS
  41. Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not
  42. reverse engineer, decompile, or disassemble the "IK Multimedia Product", except
  43. and only to the extent that such activity is expressly permitted by applicable
  44. law notwithstanding this limitation of components. The "IK Multimedia Product"
  45. is licensed as a single product. Its component parts may not be separated for
  46. use on more than one computer. Not for Resale Version. If the "IK Multimedia
  47. Product" is labelled "Not for Resale" or "NFR" or "Evaluation Copy", then,
  48. notwithstanding other sections of this EULA, it must not be sold or otherwise
  49. transferred ; Rental. The "IK Multimedia Product" must not be rented, leased or
  50. lent to any party. Software Transfer. You are not allowed to transfer, license
  51. or sublicense your rights as Licensee of the GrooveMaker software or any IK
  52. Multimedia product, as licensed to you under this agreement. The carrier on
  53. which the IK Multimedia product has been distributed cannot be transferred or
  54. otherwise made available to any third party.

  56. 4) UPGRADES
  57. If the "IK Multimedia Product" is labelled or otherwise identified by IK
  58. Multimedia Production srl as an "upgrade", you must be properly licensed to use
  59. a product identified by IK Multimedia Production srl as being eligible for the
  60. upgrade in order to use the "IK Multimedia Product". An "IK Multimedia Product"
  61. labelled or otherwise identified by IK Multimedia Production srl as an upgrade
  62. replaces and/or supplements the product that formed the basis for your
  63. eligibility for such upgrade. You may use the resulting upgraded product only in
  64. accordance with the terms of this EULA. If the "IK Multimedia Product" is an
  65. upgrade of a component of a package of software programs licensed as a single
  66. product, the "IK Multimedia Product" may be used and transferred only as part of
  67. that single product package and may not be separated for use on more than one
  68. computer.

  70. 5) DUAL-MEDIA SOFTWARE
  71. You may receive the "IK Multimedia Product" in more than one medium. Regardless
  72. of the type or size of the medium you receive, you may use only that one medium
  73. that is appropriate for your single computer. You may not use or install the
  74. other medium on another computer, including but not restricted to portable
  75. computers, under the exclusive control of the registered developer. You may not
  76. loan, rent, lease, or otherwise transfer the other medium to another user,
  77. except as part of the permanent transfer (as provided above) of the "IK
  78. Multimedia Product".

  80. 6) LIMITED WARRANTY
  81. IK Multimedia Production srl warrants to the original purchaser of the computer
  82. software product, for a period of ninety (90) days from the date of original
  83. purchase, that under normal use, the software program and the user documentation
  84. are free from defects that will materially interfere with the operation of the
  85. program as described in the enclosed user documentation.

  87. 7) WARRANTY CLAIMS
  88. To make a warranty claim under the above limited warranty, please return the
  89. product to the point of purchase, accompanied by proof of purchase, your name,
  90. your return address and a statement of the defect, or send the CD to us at the
  91. below address within ninety (90) days of purchase. Include a copy of the dated
  92. purchase receipt, your name, your return address and a statement of the defect.
  93. IK Multimedia Production srl or its authorized dealer will use reasonable
  94. commercial efforts to repair or replace the product and return it to you
  95. (postage pre-paid) or issue you with a credit equal to the purchase price, as
  96. its deems fit.

  98. 8) WARRANTY LIMITATIONS
  99. IK Multimedia Production srl warrants only that the program will perform as
  100. described in the user documentation. No other advertising, description or
  101. representation, whether made by a IK Multimedia Production srl dealer,
  102. distributor, agent or employee, shall be binding upon IK Multimedia Production
  103. srl or shall change the terms of this warranty.

  105. EXCEPT AS STATED ABOVE, IK MULTIMEDIA PRODUCTION SRL MAKES NO OTHER WARRANTY,
  106. EXPRESS OR IMPLIED, REGARDING THIS PRODUCT. IK MULTIMEDIA PRODUCTION SRL
  107. DISCLAIMS ANY WARRANTY THAT THE SOFTWARE IS FIT FOR A PARTICULAR PURPOSE, AND
  108. ANY IMPLIED WARRANTY OF MERCHANTABILITY SHALL BE LIMITED TO A NINETY (90) DAY
  109. DURATION OF THIS LIMITED EXPRESS WARRANTY AND IS OTHERWISE EXPRESSLY AND
  110. SPECIFICALLY DISCLAIMED. IK MULTIMEDIA PRODUCTION SRL SHALL NOT BE LIABLE FOR
  111. SPECIAL, ACCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES, EVEN IF IK MULTIMEDIA IS
  112. ADVISED OF OR AWARE OF THE POSSIBILITY OF SUCH DAMAGES. THIS MEANS THAT IK
  113. MULTIMEDIA PRODUCTION SRL SHALL NOT BE RESPONSIBLE OR LIABLE FOR THE LOST OF
  114. PROFITS OR REVENUES, OR FOR DAMAGES OR COSTS INCURRED AS A RESULT OF LOSS OF
  115. TIME, DATA OR USE OF THE SOFTWARE, OR FROM ANY OTHER CAUSE EXCEPT THE ACTUAL
  116. COST OF THE PRODUCT. IN NO EVENT SHALL IK MULTIMEDIA PRODUCTION SRL LIABILITY
  117. EXCEED THE PURCHASE PRICE OF THIS PRODUCT.

  119. GENERAL
  120. This Agreement shall be governed by Italian law. This Agreement contains the
  121. complete agreement between the parties with respect to the subject matter
  122. hereof, and supersedes all prior or contemporaneous agreements or
  123. understandings, whether oral or written. All questions concerning this Agreement
  124. shall be directed to: IK Multimedia Production srl - Via dell'Industria, 46 -
