  1.          Imspace KUDO CATALOG READER END USER LICENSE AGREEMENT
  2.                    NO FEE READ-ONLY VERSION.
  3.          PLEASE READ CAREFULLY THIS LICENSE AGREEMENT.

  5. BY CLICKING ON THE <Yes> BUTTON, YOU ARE CONSENTING TO BE BOUND BY AND ARE 
  6. BECOMING A PARTY TO THIS AGREEMENT. IF YOU DISAGREE TO ALL OF THE TERMS OF 
  7. THIS AGREEMENT, CLICK THE <No> BUTTON AND THE INSTALLER WILL QUIT GRANT.

  9. Imspace Systems Corporation (Imspace) hereby grants you a non-exclusive license to use 
  10. its accompanying software product (Software) free of charge if:
  11. (a) Don't try to sell, modify, or otherwise alter the software in any way;
  12. (b) all documentation is included with the distribution of this software product. 
  13. If you fit within the above description, you may: Use the Software on any computer; you 
  14. may copy the Software for archival purposes, provided any copy contain all of the 
  15. original Software's proprietary notices. 
  16. You may not: 
  17. Permit other individuals to use the Software except under the terms listed above; modify, 
  18. translate, reverse engineer, decompile, disassemble (except to the extent applicable laws 
  19. specifically prohibit such restriction), or create derivative works based on the Software; 
  20. copy the Software (except for back-up purposes); rent, lease, transfer or otherwise 
  21. transfer rights to the Software; or remove any proprietary  notices or labels on the Software.
  22. *TITLE. 
  23. Title, ownership rights, and intellectual property rights inprotected by the copyright laws 
  24. of the United States and international copyright treaties. Title, ownership rights, and 
  25. intellectual property rights in and to the content accessed through the Software is the 
  26. property of the applicable content owner and may be protected by applicable copyright or 
  27. other law. This license gives you no rights to such content.
  28. *DISCLAIMER OF WARRANTY.
  29. The Software is provided on an AS IS basis, without warranty of any kind, including without 
  30. limitation the warranties of merchantability, fitness for a particular purpose and 
  31. non-infringement. The entire risk as to the quality and performance of the Software is borne 
  32. by you. Should the Software prove defective, you and not Imspace assume the entire cost of 
  33. any Service and repair. In addition, the security mechanism implemented by the Software has 
  34. inherent limitations, and you must determine that the Software (  sufficiently meets your 
  35. requirements.   This disclaimer of warranty constitutes an essential part of the agreement.
  36. SOME STATES DO NOT ALLOW EXCLUSIONS OF AN IMPLIED WARRANTY, SO THIS
  37. DISCLAIMER MAY NOT APPLY TO YOU AND YOU MAY HAVE OTHER LEGAL RIGHTS
  38. THAT VARY FROM STATE TO STATE OR BY JURISDICTION.
  39. *LIMITATION OF LIABILITY. 
  40. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, 
  41. OR OTHERWISE, SHALL IMSPACE BE LIABLE TO YOU OR ANY OTHER PERSON
  42. FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR;  CONSEQUENTIAL DAMAGES 
  43. OF ANY CHARACTER INCLUDING, WITHOUT; LIMITATION, DAMAGES FOR LOSS
  44. OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR 
  45. ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES.
  46. THIS LIMITATION OF LIABILITY;  SHALL NOT APPLY TO LIABILITY FOR DEATH
  47. OR PERSONAL INJURY TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH
  48. LIMITATION.
  49. FURTHERMORE, SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION 
  50. OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND 
  51. EXCLUSION MAY NOT APPLY TO YOU.
  52. This license will terminate automatically if you fail to comply with the limitations
  53. described above.  On termination,you must destroy all copies of the Software.
  54. *EXPORT CONTROLS. 
  55. None of the Software or underlying information or technology may be downloaded or otherwise 
  56. exported: (i) into (or to a national or resident of) Cuba, Iraq, Libya,Yugoslavia,North Korea,
  57. Iran, Syria or any other country to which the U.S. has embargoed goods; or (ii) to anyone on 
  58. the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce 
  59. Department's Table of Deny Orders.  By downloading  or using the Software, you are agreeing 
  60. to the foregoing and you are representing and warranting that you are not located in such 
  61. under the control of, or a national or resident of any country or on any such list.
  62. *MISCELLANEOUS. 
  63. This Agreement represents the complete agreement concerning this license between the parties 
  64. and supersedes all prior agreements and representations between them. It may be amended only 
  65. by a writing executed by both parties.  If any provision of this Agreement is held to be 
  66. unenforceable for any reason, such provision shall be reformed only to the extent necessary 
  67. to make it  enforceable. This Agreement shall be governed by and construed under California 
  68. law as such law applies to agreements between California residents entered into and to be 
  69. performed within California, except as governed by Federal law. The application the United 
  70. Nations Convention of Contracts for the International sale of Goods is expressly excluded.
