  1. EXPRESS ASSIST

  3. Important Notice
  4.  
  5. As part of the installation process, you will be asked to accept
  6. the terms of this Agreement. This Agreement is a legal contract, 
  7. which specifies the terms of the license and warranty limitation 
  8. between you and A&J Systems for the EXPRESS ASSIST software and 
  9. documentation.  You should carefully read the following terms and 
  10. conditions before installing or using this software.  Unless you 
  11. have a different license agreement obtained from A&J Systems,
  12. installation or use of this software indicates your acceptance of
  13. the license and warranty limitation terms contained in this 
  14. Agreement. If you do not agree to the terms of this Agreement, 
  15. promptly delete and destroy all copies of the Software.
  16.  
  17. Versions of the Software 
  18.  
  19. There are two versions of EXPRESS ASSIST (registered and evaluation),
  20. each of which is subject to this Agreement. UPON ORDERING, 
  21. DOWNLOADING, INSTALLING OR USING ANY VERSION OF THE SOFTWARE, 
  22. YOU ARE REAFFIRMING THAT YOU ARE BOUND TO THE TERMS OF THIS AGREEMENT.

  24. The registered version requires registration with A&J Systems, 
  25. which includes payment of the then current license fee.
  26.  
  27. The evaluation version is the only version that is provided without
  28. charge; however, the evaluation version is not free software.  All 
  29. rights and licenses to the evaluation version automatically expire 
  30. 15 days after first installation, after which you must register 
  31. with A&J Systems and pay the then current license fee. Payment 
  32. must be in US dollars drawn on a US bank.  For details on 
  33. registration methods, please refer to the help file in the 
  34. software, or contact A&J Systems.

  36. License to Use
  37.  
  38. One copy of the evaluation version of EXPRESS ASSIST may be used 
  39. by a single person for evaluation purposes without charge up to 
  40. 15 days.  Subsequent downloads of the evaluation version by or for
  41. the same user do not extend, renew, or otherwise restart the 
  42. term of the license for the evaluation version. 
  43.  
  44. One copy of the registered version of EXPRESS ASSIST may be used 
  45. by a single person who uses the software personally on one computer.
  46. Site licenses of the software may be obtained from A&J Systems 
  47. which cover multiple computers at one location.
  48.  
  49. You may make a reasonable number of copies of the registered 
  50. version of the software for backup and archival purposes. 
  51.  
  52. No Additional Licenses
  53.  
  54. All rights to the EXPRESS ASSIST software and documentation not 
  55. expressly granted under this Agreement are reserved to A&J Systems.
  56. You may not translate, decompile, disassemble or reverse engineer 
  57. the EXPRESS ASSIST software or documentation.
  58.  
  59. Disclaimer of Warranty
  60.  
  61. THIS SOFTWARE AND ACCOMPANYING DOCUMENTATION ARE PROVIDED "AS IS" 
  62. AND WITHOUT WARRANTIES AS TO PERFORMANCE OF MERCHANTABILITY OR ANY 
  63. OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED.   BECAUSE OF THE 
  64. VARIOUS HARDWARE AND SOFTWARE ENVIRONMENTS INTO WHICH EXPRESS ASSIST 
  65. MAY BE USED, NO WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE IS 
  66. OFFERED.  IN PARTICULAR, A&J SYSTEMS SHALL HAVE NO LIABILITY FOR 
  67. ANY DATA STORED OR PROCESSED WITH THIS SOFTWARE, INCLUDING THE COSTS 
  68. OF RECOVERING SUCH DATA. THE USER MUST ASSUME THE ENTIRE RISK OF USING
  69. THIS PROGRAM. ANY LIABILITY OF A&J SYSTEMS WILL BE LIMITED 
  70. EXCLUSIVELY TO PRODUCT REPLACEMENT OR REFUND OF PURCHASE PRICE.

  72. IN NO CASE SHALL A&J SYSTEMS BE LIABLE FOR ANY INCIDENTAL, SPECIAL 
  73. OR CONSEQUENTIAL DAMAGES OR LOSS, INCLUDING, WITHOUT LIMITATION, 
  74. LOST PROFITS OR THE INABILITY TO USE EQUIPMENT OR ACCESS DATA, 
  75. WHETHER SUCH DAMAGES ARE BASED UPON A BREACH OF EXPRESS OR IMPLIED
  76. WARRANTIES, BREACH OF CONTRACT, NEGLIGENCE, STRICT TORT, OR ANY OTHER
  77. LEGAL THEORY. THIS IS TRUE EVEN IF A&J SYSTEMS IS ADVISED OF THE 
  78. POSSIBILITY OF SUCH DAMAGES. IN NO CASE WILL A&J SYSTEMS'S LIABILITY 
  79. EXCEED THE AMOUNT OF THE LICENSE FEE ACTUALLY PAID BY LICENSEE TO 
  80. A&J SYSTEMS.

  82. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES 
  83. SO THIS LANGUAGE MAY NOT APPLY. IN SUCH CASE, A&J SYSTEMS'S 
  84. LIABILITIES WILL BE LIMITED BY THE ABOVE LIMITATION OF REMEDIES 
  85. PROVISION.

  87. USE OF THIS PRODUCT FOR ANY PERIOD OF TIME CONSTITUTES YOUR ACCEPTANCE 
  88. OF THIS AGREEMENT AND SUBJECTS YOU TO ITS CONTENTS.

  90. US GOVERNMENT RESTRICTED RIGHTS
  91.  
  92. Use, duplication, or disclosure by the Government is subject  to 
  93. restrictions as set forth in subdivision (b)(3)(ii) of  the Rights in 
  94. Technical Data and Computer Software clause at  25 2.227-7013.

  100. This agreement shall be governed by the laws of the
  101. Province of Ontario
