  2. ARGUS TECHNOLOGIES INC. MAPGUIDE Viewer LICENSE AGREEMENT

  4. This Beta Version of the MAPGUIDE Viewer is provided free of
  5. charge for a period that is limited to thirty (30) days from
  6. the  date  you downloaded the  Software. After that time you
  7. will  be required to download  the then current Beta version
  8. free  of charge, if available,  or purchase the then current
  9. version of MAPGUIDE Viewer.
  10.  
  11. GRANT.
  12. Argus  Technologies Inc. (hereafter known as "Argus") hereby
  13. grants  you a non-exclusive license  to use its accompanying
  14. software  product  ("Software") free of  charge for a period
  15. that  is  limited  to  thirty (30)  days  from  the date you
  16. downloaded the Software. This license does not grant you any
  17. right   to  any  enhancement  or  update  to  the  Software.
  18. Enhancements  and updates, if available,  may be obtained at
  19. ArgusÆ then current standard pricing, terms, and conditions.
  20.  
  21. You may:
  22. * Use the Software on any single computer.
  23. * Copy  the  Software  for  archival  or  backup  purposes,
  24.   provided  any  copy  must  contain  all  of  the original
  25.   Software's proprietary notices.
  26.  
  27. You may not:
  28. * Use, copy, modify or transfer the Software, or any copy
  29.   in whole or in part, except expressly provided for in this
  30.   license.
  31. * Allow the Software to be used on more than one computer at
  32.   a  time  or  by more than one  person  at a time except as
  33.   otherwise expressly provided herein.
  34. * Rent or lease the Software.
  35. * Modify or adapt the Software in whole or in part including
  36.   but  not  limited  to  translating  or creating derivative
  37.   works.
  38. * Dissemble or reverse compile for the purpose of reverse
  39.   engineering the Software.
  40.  
  41. TITLE.
  42. Title, ownership rights, and intellectual property rights in
  43. and  to  the  Software  shall  remain  in  Argus  and/or its
  44. suppliers.  The  Software is  protected  under international
  45. copyright  laws.  Title, ownership  rights, and intellectual
  46. property  rights in and to  the content accessed through the
  47. Software is the property of the applicable content owner and
  48. may  be protected by applicable copyright or other law. This
  49. License gives you no rights to such content.
  50.  
  51. BUNDLED SOFTWARE.
  52. The  Software  includes the  following  trademarked software
  53. package:
  54. * Map Projection Library V3.5 - Blue Marble Geographics.
  55. * Crusher!  Data  Compression Toolkit  V3.11  -  DC Micro
  56.   Development.
  57.  
  58. DISCLAIMER OF WARRANTY.
  59. The  Software  is  provided  on  an  "AS  IS" basis, without
  60. warranty  of  any  kind,  including  without  limitation the
  61. warranties  of  merchantability,  fitness  for  a particular
  62. purpose  and  non-infringement.  The entire  risk  as to the
  63. quality  and  performance of the  Software  is borne by you.
  64. Should the Software prove defective you and not Argus assume
  65. the  entire cost of any  service and repair. This disclaimer
  66. of  warranty constitutes an essential part of the agreement.
  67. SOME  JURISDICTIONS  DO NOT ALLOW  EXCLUSIONS  OF AN IMPLIED
  68. WARRANTY,  SO  THIS DISCLAIMER MAY NOT  APPLY TO YOU AND YOU
  69. MAY HAVE OTHER LEGAL RIGHTS THAT VARY BY JURISDICTION.
  70.  
  71. LIMITATION OF LIABILITY.
  72. UNDER  NO  CIRCUMSTANCES  AND UNDER  NO  LEGAL THEORY, TORT,
  73. CONTRACT   OR  OTHERWISE  SHALL   ARGUS  OR  ITS  EMPLOYEES,
  74. SUPPLIERS  OR RESELLERS BE LIABLE TO YOU OR ANY OTHER PERSON
  75. FOR  ANY  DAMAGES, WHATSOEVER INCLUDING  BUT  NOT LIMITED TO
  76. DIRECT,   INDIRECT,  SPECIAL,  INCIDENTAL  OR  CONSEQUENTIAL
  77. DAMAGES  OF OR THE PECUNIARY LOSS  ARISING OUT OF THE USE OF
  78. OR  INABILITY  TO USE THE SOFTWARE  EVEN IF ARGUS SHALL HAVE
  79. BEEN  INFORMED  OF  THE  POSSIBILITY  OF  SUCH  DAMAGES.  In
  80. particular,  Argus and its employees, suppliers or resellers
  81. are   not  responsible  for  any  costs  including,  without
  82. limitation, loss of business profits, business interruption,
  83. loss  of  business information, the  cost of recovering such
  84. information,  the  cost of substitute  software or claims by
  85. third  parties.  No  oral or  written  information  given by
  86. Argus, its agents or employees shall create a warranty. SOME
  87. JURISDICTIONS  DO  NOT ALLOW THE  EXCLUSION OR LIMITATION OF
  88. INCIDENTAL  OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND
  89. EXCLUSION MAY NOT APPLY TO YOU.

  91. TERMINATION.
  92. This  Agreement will terminate  automatically without notice
  93. thirty  (30)  days  after you  downloaded  the  Software. In
  94. addition, this Agreement will terminate automatically if you
  95. fail  to  comply  with the  limitations  described above. On
  96. termination,  you  shall immediately  discontinue the use of
  97. the  Software  and destroy all  copies  of the Software. All
  98. disclaimers  of  warranties and  limitation of liability set
  99. forth  in  this Agreement shall  survive  any termination of
  100. this Agreement.
  101.  
  102. GOVERNING LAW AND GENERAL PROVISIONS.
  103. This Agreement shall be governed by the laws of The Province
  104. of  Alberta, Canada. If any part  of this Agreement is found
  105. to  be  void and unenforceable for  any  reason, it will not
  106. affect  the validity of the  balance of the Agreement, which
  107. shall remain valid and enforceable according to its terms.
  108.  
  109. You agree that the Software will not be shipped, downloaded,
  110. transferred  or  exported  into any  country  or used in any
  111. manner prohibited by the United States Export Administration
  112. Act  or any other export  laws, restrictions or regulations.
  113. By  downloading  or using the  Software, you are agreeing to
  114. the  foregoing and you are  representing and warranting that
  115. you  are not located in, under the control of, or a national
  116. or resident of such country.
  117.  
  118. The  Agreement represents the  complete agreement concerning
  119. this  license  between the parties  and supersedes all prior
  120. agreements  and  representations  between  them.  It  may be
  121. amended only by a writing executed by both parties..
  122.  
  123. U.S. GOVERNMENT RESTRICTED RIGHTS.
  124. Use,  duplication or disclosure by the Government is subject
  125. to  restrictions set forth in  subparagraphs (a) through (d)
  126. of the Commercial Computer - Restricted Rights clause at FAR
  127. 52.227-19  when applicable, or in  subparagraph (c) (1) (ii)
  128. of the Rights in Technical Data and Computer Software clause
  129. at  DRARS  252.227-7013, and in  similar clauses in the NASA
  130. FAR    Supplement.    Contractor/manufacturer    is    Argus
