  1. END USER LICENSE AGREEMENT
  2. REDISTRIBUTION NOT PERMITTED
  3.  
  4. This Agreement has 3 parts. Part I applies if you have not purchased a
  5. license for Lightning Strike (the "Software"). Part II applies
  6. if you have purchased a license to the Software. Part III applies to all
  7. license grants. If you initially acquired a copy of the Software without
  8. purchasing a license and you wish to purchase a license, contact
  9. Infinop ("Licensor").
  10.  
  11. PART I  
  12.  
  13. TERMS APPLICABLE WHEN LICENSE FEES NOT (YET) PAID (LIMITED TO
  14. EVALUATION, EDUCATIONAL AND NON-PROFIT USE) GRANT.
  15.  
  16. Licensor grants you a non-exclusive license to use the Software
  17. free of charge if 
  18.  
  19. (a) you are a student, faculty member or staff member of an educational 
  20.     institution (K-12, junior college, college or library) or an employee
  21.     of an organization which meets the criteria of Infinop Inc. for a 
  22.     charitable non-profit organization; or
  23.  
  24. (b) your use of the Software is for the purpose of evaluating whether to
  25.     purchase an ongoing license to the Software. The evaluation period for
  26.     use by or on behalf of a commercial entity is limited to 90 days;
  27.     evaluation use by others is not subject to this 90 day limit. Government
  28.     agencies (other than public libraries) are not considered educational or
  29.     charitable non-profit organizations for purposes of this Agreement. 
  30.  
  31. If you are using the Software free of charge, you are not entitled to 
  32. hard-copy documentation, support or telephone assistance. If you fit
  33. within the description above, you may use the Software in the manner
  34. described in Part III below under "Scope of Grant."
  35.  
  36. DISCLAIMER OF WARRANTY.  
  37.  
  38. Free of charge Software is provided on an "AS IS" basis, without warranty 
  39. of any kind, including without limitation the warranties of merchantability, 
  40. fitness for a particular purpose and non-infringement. The entire risk as to 
  41. the quality and performance of the Software is borne by you. Should the 
  42. Software prove defective, you and not Licensor assume the entire cost of any
  43. service and repair. In addition, the security mechanisms, if any, implemented
  44. by Licensor software have inherent limitations, and you must determine that 
  45. the Software sufficiently meets your requirements. This disclaimer of warranty 
  46. constitutes an essential part of the agreement. 
  47.  
  48. SOME JURISDICTIONS DO NOT ALLOW EXCLUSIONS OF AN IMPLIED
  49. WARRANTY, SO THIS DISCLAIMER MAY NOT APPLY TO YOU AND YOU
  50. MAY HAVE OTHER LEGAL RIGHTS THAT VARY BY JURISDICTION.

  52. PART II
  53.  
  54. TERMS APPLICABLE WHEN LICENSE FEES PAID GRANT.  
  55.  
  56. Subject to payment of applicable license fees, Licensor grants to you a 
  57. non-exclusive license to use the Software and accompanying documentation 
  58. ("Documentation") in the manner described in Part III below under 
  59. "Scope of Grant."
  60.  
  61. LIMITED WARRANTY.  
  62.  
  63. Licensor warrants that for a period of ninety (90) days from the date of 
  64. acquisition, the Software, if operated as directed, will substantially 
  65. achieve the functionality described in the Documentation. Licensor does 
  66. not warrant, however, that your use of the Software will be uninterrupted 
  67. or that the operation of the Software will be error-free or secure. In 
  68. addition, the security mechanisms, if any, implemented by Licensor software
  69. have inherent limitations, and you must determine that the Software 
  70. sufficiently meets your requirements. Licensor also warrants that the 
  71. media containing the Software, if provided by Licensor, is free from 
  72. defects in material and workmanship and will so remain for ninety (90) days 
  73. from the date you acquired the Software.  Licensor's sole liability for 
  74. any breach of this warranty shall be, in Licensor's sole discretion: 
  75.  
  76. (i)   to replace your defective media or Software; or
  77.  
  78. (ii)  to advise you how to achieve substantially the same functionality
  79.       with the Software as described in the Documentation through a 
  80.       procedure different from that set forth in the Documentation; or
  81.  
  82. (iii) if the above remedies are impracticable, to refund the license fee 
  83.       you paid for the Software. 
  84.  
  85. Repaired, corrected, or replaced Software and Documentation shall be covered 
  86. by this limited warranty for the period remaining under the warranty that 
  87. covered the original Software, or if longer, for thirty (30) days after the date 
  88.  
  89. (a) of shipment to you of the repaired or replaced Software, or
  90.  
  91. (b) Licensor advised you how to operate the Software so as to achieve the 
  92.     functionality described in the Documentation. Only if you inform 
  93.     Licensor of your problem with the Software during the applicable 
  94.     warranty period and provide evidence of the date you purchased a license
  95.     to the Software will Licensor be obligated to honor this warranty. 
  96.     Licensor will use reasonable commercial efforts to repair, replace, 
  97.     advise or, for individual consumers, refund pursuant to the foregoing 
  98.     warranty within 30 days of being so notified.
  99.  
  100. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY MADE BY
  101. LICENSOR.  LICENSOR MAKES NO OTHER EXPRESS WARRANTY AND NO
  102. WARRANTY OF NONINFRINGEMENT OF THIRD PARTIES' RIGHTS. THE
  103. DURATION OF IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION,
  104. WARRANTIES OF MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR
  105. PURPOSE, IS LIMITED TO THE ABOVE LIMITED WARRANTY PERIOD; SOME
  106. JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED
  107. WARRANTY LASTS, SO LIMITATIONS MAY NOT APPLY TO YOU. NO LICENSOR
  108. DEALER, AGENT, OR EMPLOYEE IS AUTHORIZED TO MAKE ANY
  109. MODIFICATIONS, EXTENSIONS, OR ADDITIONS TO THIS WARRANTY.
  110.  
  111. If any modifications are made to the Software by you during the warranty 
  112. period; if the media is subjected to accident, abuse, or improper use;
  113. or if you violate the terms of this Agreement, then this warranty shall
  114. immediately be terminated. This warranty shall not apply if the Software
  115. is used on or in conjunction with hardware or software other than the
  116. unmodified version of hardware and software with which the Software was 
  117. designed to be used as described in the Documentation.
  118.  
  119. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY HAVE
  120. OTHER LEGAL RIGHTS THAT VARY BY JURISDICTION.
  121.  
  122. PART III  
  123.  
  124. TERMS APPLICABLE TO ALL LICENSE GRANTS SCOPE OF GRANT.
  125.  
  126. You may:
  127.       use the Software on any single computer;
  128.       use the Software on a network, provided that each person
  129.       accessing the Software through the network must have a copy 
  130.       licensed to that person; use the Software on a second computer 
  131.       so long as only one copy is used at a time; copy the Software 
  132.       for archival purposes, provided any copy must contain all of the
  133.       original Software's proprietary notices; or if you have purchased 
  134.       licenses for a 10 Pack or a 50 Pack, make up to 10 or 50 copies,
  135.       respectively, of the Software (but not the Documentation), provided 
  136.       any copy must contain all of the original Software's proprietary 
  137.       notices. The number of copies is the total number of copies that 
  138.       may be made for all platforms. Additional copies of Documentation
  139.       may be purchased.
  140.  
  141. You may not:
  142.       permit other individuals to use the Software except under the 
  143.       terms listed above; permit concurrent use of the Software;
  144.       modify, translate, reverse engineer, decompile, disassemble
  145.       (except to the extent applicable laws specifically prohibit such 
  146.       restriction), or create derivative works based on the Software;
  147.       copy the Software other than as specified above; rent, lease, 
  148.       grant a security interest in, or otherwise transfer rights to the 
  149.       Software; or remove any proprietary notices or labels on the Software.
  150.  
  151. TITLE.  
  152.  
  153. Title, ownership rights, and intellectual property rights in the 
  154. Software shall remain in Licensor and/or its suppliers. The Software is 
  155. protected by the copyright laws and treaties. Title and related rights
  156. in the content accessed through the Software is the property of the 
  157. applicable content owner and may be protected by applicable law. This
  158. License gives you no rights to such content.
  159.  
  160. TERMINATION.  
  161.  
  162. The license will terminate automatically if you fail to 
  163. comply with the limitations described herein. On termination, you must 
  164. destroy all copies of the Software and Documentation.
  165.  
  166. EXPORT CONTROLS.  
  167.  
  168. None of the Software or underlying information or 
  169. technology may be downloaded or otherwise exported or reexported 
  170.  
  171. (i)   into (or to a national or resident of) Cuba, Iraq, Libya,
  172.       Yugoslavia, North Korea, Iran, Syria or any other country
  173.       to which the U.S. has embargoed goods; or
  174.  
  175. (ii)  to anyone on the U.S. Treasury Department's list of Specially 
  176.       Designated Nationals or the U.S. Commerce Department's
  177.       Table of Denial Orders. By downloading or using the Software, you are
  178.       agreeing to the foregoing and you are representing and warranting that
  179.       you are not located in, under the control of, or a national or resident
  180.       of any such country or on any such list.
  181.  
  182. In addition, if the licensed Software is identified as a not-for-export 
  183. product (for example, on the box, media or in the installation process),
  184. then the following applies: 
  185.  
  186. EXCEPT FOR EXPORT TO CANADA FOR USE IN CANADA BY CANADIAN
  187. CITIZENS, THE SOFTWARE AND ANY UNDERLYING TECHNOLOGY MAY
  188. NOT BE EXPORTED OUTSIDE THE UNITED STATES OR TO ANY FOREIGN
  189. ENTITY OR "FOREIGN PERSON" AS DEFINED BY U.S. GOVERNMENT
  190. REGULATIONS, INCLUDING WITHOUT LIMITATION, ANYONE WHO IS
  191. NOT A CITIZEN, NATIONAL OR LAWFUL PERMANENT RESIDENT OF THE
  192. UNITED STATES. BY DOWNLOADING OR USING THE SOFTWARE, YOU ARE
  193. AGREEING TO THE FOREGOING AND YOU ARE WARRANTING THAT YOU ARE
  194. NOT A "FOREIGN PERSON" OR UNDER THE CONTROL OF A FOREIGN
  195. PERSON.  LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES AND
  196. UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL
  197. LICENSOR OR ITS SUPPLIERS OR RESELLERS BE LIABLE TO YOU OR
  198. ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR
  199. CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT
  200. LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE,
  201. COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER
  202. COMMERCIAL DAMAGES OR LOSSES. IN NO EVENT WILL LICENSOR BE
  203. LIABLE FOR ANY DAMAGES IN EXCESS OF THE AMOUNT LICENSOR
  204. RECEIVED FROM YOU FOR A LICENSE TO THE SOFTWARE, EVEN IF
  205. LICENSOR SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH
  206. DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY. THIS LIMITATION
  207. OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL
  208. INJURY TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH LIMITATION.
  209. FURTHERMORE, SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR
  210. LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS
  211. LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.
  212.  
  213. HIGH RISK ACTIVITIES.
  214.  
  215. The Software is not fault-tolerant and is not designed, manufactured 
  216. or intended for use or resale as on-line control equipment in hazardous
  217. environments requiring fail-safe performance, such as in the operation 
  218. of nuclear facilities, aircraft navigation or communication systems, 
  219. air traffic control, direct life support machines, or weapons systems, 
  220. in which the failure of the Software could lead directly to death, 
  221. personal injury, or severe physical or environmental damage ("High 
  222. Risk Activities"). Licensor and its suppliers specifically disclaim 
  223. any express or implied warranty of fitness for High Risk Activities.
  224.  
  225. MISCELLANEOUS.
  226.  
  227. If the copy of the Software you received was accompanied 
  228. by a printed or other form of "hard-copy" End User License Agreement 
  229. whose terms vary from this Agreement, then the hard-copy End User 
  230. License Agreement governs your use of the Software. This Agreement 
  231. represents the complete agreement concerning this license and may 
  232. amended only by a writing executed by both parties.
  233. THE ACCEPTANCE OF ANY PURCHASE ORDER PLACED BY YOU IS EXPRESSLY
  234. MADE CONDITIONAL ON YOUR ASSENT TO THE TERMS SET FORTH HEREIN,
  235. AND NOT THOSE IN YOUR PURCHASE ORDER.
  236.  
  237. If any provision of this Agreement is held to be unenforceable,
  238. such provision shall be reformed only to the extent necessary to make it 
  239. enforceable. This Agreement shall be governed by California law (except 
  240. for conflict of law provisions). The application the United Nations 
  241. Convention of Contracts for the International Sale of Goods is expressly 
  242. excluded.
  243.  
  244. U.S. GOVERNMENT RESTRICTED RIGHTS.  
  245.  
  246. Use, duplication or disclosure by the Government is subject to restrictions 
  247. set forth in subparagraphs (a) through (d) of the Commercial 
  248. Computer-Restricted Rights clause at FAR 52.227-19 when applicable, or in 
  249. subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software 
  250. clause at DFARS 252.227-7013, or at 252.211-7015, or to Licensor's standard 
  251. commercial license, as applicable, and in similar clauses in the NASA FAR
  252. Supplement. Contractor/manufacturer is Infinop.
