  10. END-USER LICENSE AGREEMENT FOR THIS SOFTWARE
  11. IMPORTANT - READ CAREFULLY:
  12. --------------------------------------------
  13.  
  14. THIS IS A LEGAL AGREEMENT BETWEEN YOU AND 
  15. LIKNO SOFTWARE, INCLUDING ITS AUTHORIZED 
  16. AGENTS AND DISTRIBUTORS ("Likno Software"). PLEASE READ 
  17. THIS AGREEMENT CAREFULLY BEFORE CONTINUING
  18. WITH THE INSTALLATION, IN WHATEVER MEDIA 
  19. FORMAT, OF THE ALLWEBMENUS SOFTWARE, INCLUDING 
  20. ASSOCIATED WRITTEN DOCUMENTATION (THE "SOFTWARE").
  21.  
  22. IF YOU CHOOSE TO ACCEPT ALL THE TERMS OF THIS 
  23. LICENSE AGREEMENT BY CLICKING "Yes" AT THE RELATED 
  24. QUESTION AT THE START OF THE INSTALLATION, 
  25. YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. 
  26. IF YOU DO NOT AGREE WITH THE TERMS OF THIS 
  27. AGREEMENT, CLICK "No" TO TERMINATE THE INSTALLATION 
  28. OF THE SOFTWARE.
  29.  
  30. 1. GRANT OF LICENSE:   
  31.  
  32. a. This is a license, not a sale of the Software;
  33. b. Upon payment by you and receipt by Likno Software of the license
  34.     fee prescribed by Likno Software from time to time (the "License 
  35.     Fee"), Likno Software grants to you a non-exclusive license to 
  36.     use one copy of the Software in accordance with the 
  37.     terms and conditions set forth in this Agreement 
  38.     ("Single User Licensees');
  39. c. Single-User Licensees shall only use the Software on a 
  40.     single computer subject, however, to the limited 
  41.     exception that you may use the Software on a second 
  42.     (portable or home) computer provided it is used only 
  43.     by you and provided only one copy of the Software is 
  44.     used at one time;
  45. d. The produced menus and their respective libraries
  46.    (Software Output) shall only be used on Internet or Intranet 
  47.    web sites. A special license is required for use of the 
  48.    Software Output on distributed software.
  49.  
  50. 2. COPYRIGHT, TRADEMARKS AND TRADE SECRETS:
  51.  
  52. a. Likno Software owns intellectual property rights in the Software 
  53.    and AllWebMenus;
  54. b. Further, the Software's structure, sequence, organization 
  55.    and code are the valuable trade secrets of Likno Software;
  56. c. The Software is protected against unauthorized use 
  57.    by United States and Canadian copyright laws and 
  58.    international treaty provisions;
  59. d. This Agreement does not grant you any intellectual property
  60.    rights in the Software.  Unpublished rights are reserved.
  61.  
  62. 3. PASSWORD and CONFIDENTIALITY:
  63.  
  64. a. Upon payment of the License Fee, 
  65.    you will be provided, through Likno Software's authorized agent, 
  66.    with a confidential password to access the Likno User Area Account 
  67.    (the "Password") and get the Activation Code that unlocks 
  68.    your installation (the "Activation Code").
  69. b. You shall, at all times and without exception, maintain the
  70.    confidentiality of the Password and the Activation Code. 
  71.    Specifically, you shall not disclose the information associated 
  72.    with the Password to any other person, corporation or any other 
  73.    entity. 
  74. c. These provisions also hold for any new Activation Code 
  75.    issued to you for the purpose of unlocking a re-installation of 
  76.    the existing single-user license.
  77.  
  78. 4. PROHIBITED USES:
  79.  
  80. a. You may not reverse-engineer, decompile, disassemble, 
  81.    modify, translate, or create derivative works;
  82. b. You may not display the Software code in human-readable 
  83.    form;
  84. c. You may not use the Software Output on distributed software.
  85.    A special license is required for such use.
  86. d. Without limiting the foregoing, you may not do anything 
  87.    with the Software, Password or Activation Code that is not 
  88.    expressly permitted by this Agreement.
  89.  
  90. 5. TRANSFER:
  91.  
  92. a. Transfer of Password and Installed Software:
  93. --------------------------------------------------
  94. Subject to the terms of this Agreement, you may not copy, 
  95. transmit, assign, rent, lease, sublicense, distribute, lend 
  96. or otherwise transfer the Password, Activation Code or installed 
  97. Software, and you may not sell or license to others the right 
  98. to use the Password, Activation Code or installed Software, 
  99. in whole or in part. 
  100.  
  101. b. Transfer of Software Distribution Program:
  102. ---------------------------------------------
  103. Subject to the terms of this Agreement, you may copy, 
  104. transmit, and distribute the Software distribution program 
  105. (AllWebMenus.EXE or AllWebMenusxx.EXE) to others for the 
  106. sole purpose of evaluation provided no modifications or 
  107. additions are made to the Software distribution program, 
  108. or any associated files, and provided it is not bundled 
  109. in a distribution with any other software.
  110.  
  111. 6. ENHANCEMENTS:
  112.  
  113. a. Upon payment of the License Fee, you are entitled to use 
  114.    this version of the Software and receive minor releases 
  115.    related to this version of the Software, at no extra 
  116.    charge.  Minor Releases are defined as releases where the 
  117.    number to the left of the decimal point remains the same as
  118.    the Software for which a License has been granted, and the
  119.    number to the right of the decimal point for the said 
  120.    Software is different. It is within Likno Software's sole discretion
  121.    to market, distribute or license releases as either Minor 
  122.    Releases or Major Releases.
  123. b. Likno Software is not responsible for any problems that may arise 
  124.    due to the use of the software in browsers and versions that are not 
  125.    available as of February 2002.
  126.  
  127. 7. CUSTOMER SUPPORT:
  128.  
  129. a. Subject to Likno Software's availability and resources, customer 
  130.    support for the Software may be provided by Likno Software through 
  131.    its email address at support@likno.com.
  132.  
  133. 8. ARCHIVAL BACKUP OF SOFTWARE:
  134.  
  135. a. Likno Software authorizes you to make one copy of the Software for 
  136.    backup or archival purposes.
  137.  
  138. 9. TERM:
  139.  
  140. a. This Agreement is effective from the time you click "Yes" 
  141.    in the "Accept all the terms of the preceding License 
  142.    Agreement?" box until this Agreement is terminated;
  143. b. If at any time after clicking "Yes", you do not wish 
  144.    to be bound by this Agreement, you shall terminate this 
  145.    Agreement by notifying Likno Software in writing, at one of the 
  146.    addresses below, of such termination;
  147. c. Further, this Agreement will terminate immediately and 
  148.    without further notice if you fail to comply with any 
  149.    provision of this Agreement;
  150. d. Upon termination of this Agreement, for any reason, you 
  151.    agree to destroy all copies of the Software by 
  152.    uninstalling, deleting or taking any steps necessary to 
  153.    render the Software unusable. 
  154.  
  155. 10. SURVIVAL UPON TERMINATION:
  156.  
  157. a. All obligations of confidentiality, rights associated with 
  158.    intellectual property and restrictions on use and all other
  159.    provisions that may reasonably be interpreted to survive 
  160.    termination of this Agreement, will survive termination of 
  161.    this Agreement for any reason.
  162.  
  163. 11. WARRANTY DISCLAIMERS:
  164.  
  165. a. The Software is licensed to you  on an "AS IS" basis;
  166. b. TO THE EXTENT PERMITTED BY LAW, LIKNO SOFTWARE
  167.    EXPRESSLY DISCLAIMS ALL WARRANTIES AND 
  168.    CONDITIONS, OF ANY KIND, EXPRESS, STATUTORY 
  169.    OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, 
  170.    THE IMPLIED WARRANTIES OF MERCHANTABILITY 
  171.    AND FITNESS FOR A PARTICULAR PURPOSE;
  172. c. The entire risk as to the quality and performance of the 
  173.    Software is with you.  Should the Software or the 
  174.    Documentation prove defective, you (and not Likno Software) 
  175.    assume the entire cost of all necessary servicing or repair.
  176. d. LIKNO SOFTWARE DOES NOT WARRANT THAT THE FUNCTIONS 
  177.    CONTAINED IN THE SOFTWARE WILL MEET YOUR 
  178.    REQUIREMENTS OR OPERATE IN THE COMBINATION 
  179.    THAT YOU MAY SELECT FOR USE, THAT THE 
  180.    OPERATION OF THE SOFTWARE WILL BE 
  181.    UNINTERRUPTED OR ERROR FREE, OR THAT DEFECTS 
  182.    IN THE SOFTWARE WILL BE CORRECTED.  NO ORAL 
  183.    OR WRITTEN STATEMENT BY LIKNO SOFTWARE OR ITS 
  184.    AUTHORIZED AGENTS OR DISTRIBUTORS SHALL 
  185.    CREATE A WARRANTY OR INCREASE THE SCOPE 
  186.    OF THIS WARRANTY;
  187. e. LIKNO SOFTWARE FURTHER DOES NOT PROVIDE ANY 
  188.    WARRANTY WITH RESPECT TO THE DETECTION 
  189.    OR ELIMINATION OF COMPUTER VIRUSES IN 
  190.    ANY FORM;
  191. f. LIKNO SOFTWARE DOES NOT WARRANT THE SOFTWARE AGAINST 
  192.    INFRINGEMENT OR THE LIKE WITH RESPECT TO ANY 
  193.    COPYRIGHT, PATENT, TRADE SECRET, TRADEMARK 
  194.    OR OTHER PROPRIETARY RIGHT OF ANY THIRD 
  195.    PARTY AND DOES NOT WARRANT THAT THE 
  196.    SOFTWARE DOES NOT INCLUDE ANY VIRUS, 
  197.    SOFTWARE ROUTINE OR OTHER SOFTWARE 
  198.    DESIGNATED TO PERMIT UNAUTHORIZED ACCESS, 
  199.    TO DISABLE, ERASE OR OTHERWISE HARM 
  200.    SOFTWARE, HARDWARE OR DATA, OR TO PERFORM 
  201.    ANY OTHER SUCH ACTIONS;
  202. g. Some states or jurisdictions do not allow the exclusion of 
  203.    implied warranties, conditions or limitations, so the above
  204.    may not apply to you and your rights may vary from 
  205.    jurisdiction to jurisdiction. Any warranties that by law 
  206.    survive the foregoing disclaimers shall terminate sixty 
  207.    (60) days from the date you installed the Software.
  208.  
  209. 12. LIMITATION OF LIABILITY:
  210.  
  211. a. YOUR SOLE REMEDIES AND LIKNO SOFTWARE's ENTIRE LIABILITY 
  212.    FOR THE SOFTWARE ARE SET FORTH IN THIS 
  213.    AGREEMENT.   IN NO EVENT WILL LIKNO SOFTWARE BE LIABLE 
  214.    FOR DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL 
  215.    OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS 
  216.    OR LOST SAVINGS, RESULTING FROM THE USE OF THE 
  217.    SOFTWARE, THE INABILITY TO USE THE SOFTWARE, 
  218.    OR ANY DEFECT IN THE SOFTWARE, EVEN IF LIKNO SOFTWARE
  219.    HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH 
  220.    DAMAGE, OR FOR ANY CLAIM BY ANY THIRD PARTY;
  221. b. You agree that Likno Software shall not be liable for defense costs 
  222.    or indemnity with respect to any claim against you by any 
  223.    third party arising from your possession or use of the 
  224.    Software;
  225. c. In no event shall Likno Software's maximum aggregate liability to 
  226.    you for all damages, losses, and causes of action (whether 
  227.    in contract, tort, including negligence, or otherwise) 
  228.    exceed the License Fee you paid for the Software;
  229. d. The limitations imposed by this section shall apply whether
  230.    or not the alleged breach or default is a breach of a 
  231.    fundamental condition or term;
  232. e. Some jurisdictions do not allow the exclusion or limitation
  233.    of incidental or consequential damages, so the above 
  234.    limitations or exclusions may not apply to you. 
  235.  
  236. 13. NOT INTENDED FOR HIGH-RISK ACTIVITIES:
  237.  
  238. a. The Software is not designed, manufactured or intended for 
  239.    use as online equipment control equipment in hazardous 
  240.    environments requiring fail-safe performance, such as, but 
  241.    not limited to,  the operation of nuclear facilities, 
  242.    aircraft navigation or communication systems, air traffic 
  243.    control, direct life support machines, or weapons systems, 
  244.    in which the failure of the Software could lead directly to
  245.    death, personal injury, or severe physical or environmental
  246.    damage.  LIKNO SOFTWARE SPECIFICALLY DISCLAIMS ANY 
  247.    EXPRESS OR IMPLIED WARRANTY OF FITNESS FOR 
  248.    ANY HIGH RISK USES LISTED ABOVE.
  249.  
  250. 14. GOVERNING LAW AND INTERPRETATION:
  251.  
  252. a. The rights and obligation of the parties under this 
  253.    agreement shall not be governed by the United Nations 
  254.    Convention on Contracts for the International Sale of 
  255.    Goods;
  256. b. If any provision of this Agreement is held to be illegal, 
  257.    void or unenforceable by a court or tribunal of competent 
  258.    jurisdiction, the remaining provisions of this Agreement 
  259.    shall remain in force and effect and the invalid provision 
  260.    deemed modified to the least degree necessary to remedy 
  261.    such invalidity.

  263. 15. NOTICE TO U.S. GOVERNMENT END USERS:
  264.  
  265. a. The Software may be "Commercial Items" as that term is 
  266.    defined at 48 C.F.R. 2.101, consisting of "Commercial 
  267.    Computer Software" and "Commercial Computer Software 
  268.    Documentation", as such terms are used in 48 C.F.R. 12.212 
  269.    or 48 C.F.R. 227.7202, as applicable.  Consistent with 48 
  270.    C.F.R. 12.2112 or 48 C.F.R. 227.7202-1 through 227.7202-4, 
  271.    as applicable, the Commercial Computer Software and 
  272.    Commercial Computer Software Documentation are being 
  273.    licensed in this Agreement to United States Government 
  274.    licensees (A) only as Commercial Items and (B) with only 
  275.    those rights as are granted to all other licensees pursuant
  276.    to the terms and conditions herein.
  277.  
  278. 16. ENTIRE AGREEMENT:
  279.  
  280. a.  This Agreement is the entire agreement between you and 
  281.     Likno Software and supersedes all prior agreements, oral or written
  282.     with respect to this license.
  283.
