  7.   document.write("you (\"you,\" \"your\" or \"user\") for the use of the Altnet Software, \n" );
  8.   document.write("Network and Services, as those terms are defined below. You \n" );
  9.   document.write("must enter into this agreement in order to install and use the \n" );
  10.   document.write("Altnet Software. \n" );
  11.   document.write("<p class=textSml>\n" );
  12.   document.write("BY CLICKING ON THE \"I AGREE\" BUTTON AND BY \n" );
  13.   document.write("INSTALLING AND USING THE ALTNET SOFTWARE, YOU \n" );
  14.   document.write("AGREE TO BE BOUND BY:\n" );
  15.   document.write("<p class=textSml>\n" );
  16.   document.write("* THE TERMS OF THIS AGREEMENT WITH ALTNET; AND <br>\n" );
  17.   document.write("* THE TERMS OF THE AGREEMENT WITH FOCUS INTERACTIVE, INC., \n" );
  18.   document.write("APPENDED TO THE END OF THIS \n" );
  19.   document.write("AGREEMENT IN CONNECTION WITH THE INSTALLATION \n" );
  20.   document.write("OF THE MY SEARCH TOOLBAR SOFTWARE THAT IS \n" );
  21.   document.write("INCLUDED IN YOUR DOWNLOAD.\n" );
  22.   document.write("<p class=textSml>\n" );
  23.   document.write("IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT \n" );
  24.   document.write("AND THE MY SEARCH AGREEMENT, DO NOT CONTINUE \n" );
  25.   document.write("WITH INSTALLATION.\n" );
  26.   document.write("<p class=textSml>\n" );
  27.   document.write("\n" );
  28.   document.write("The \"Altnet Software\" includes the Peer Points Manager, the \n" );
  29.   document.write("Altnet Download Manager, related components, Joltid LimitedÆs \n" );
  30.   document.write("Joltid P2P Networking peer-to-peer software (the \"Joltid P2P \n" );
  31.   document.write("Networking Software\"), any online or enclosed documentation, \n" );
  32.   document.write("and any updates, fixes and upgrades provided to you.\n" );
  33.   document.write("<p class=textSml>\n" );
  34.   document.write("The Altnet Software and the Services are not intended for use by \n" );
  35.   document.write("or availability to persons under the age of 13 residing in the \n" );
  36.   document.write("United States.  IF YOU ARE UNDER 13 YEARS OF AGE AND \n" );
  37.   document.write("RESIDE IN THE UNITED STATES, YOU MAY NOT DOWNLOAD, \n" );
  38.   document.write("INSTALL OR USE ANY ALTNET SOFTWARE AND YOU MAY NOT \n" );
  39.   document.write("ACCESS THE SERVICES. \n" );
  40.   document.write("<p class=textSml>\n" );
  41.   document.write("  <strong>1. License Grant\n" );
  42.   document.write("  </strong>\n" );
  43.   document.write("<p class=textSml>\n" );
  44.   document.write("When you accept this license you are granted a limited, non-\n" );
  45.   document.write("exclusive, personal, non-sublicensable, non-assignable license to \n" );
  46.   document.write("download, install the Altnet Software onto, and use the Altnet \n" );
  47.   document.write("Software on, a single computer owned or controlled by you solely \n" );
  48.   document.write("for your personal use to install, interact with and utilize the Altnet \n" );
  49.   document.write("Software. \n" );
  50.   document.write("<p class=textSml>\n" );
  51.   document.write("Using the Altnet Software, you may access some or all of the \n" );
  52.   document.write("services (the \"Services\") offered by Altnet and its licensors and \n" );
  53.   document.write("authorized business partners (the \"Altnet Providers\"). The \n" );
  54.   document.write("Services include, but are not limited to the management and \n" );
  55.   document.write("distribution, through AltnetÆs proprietary points management \n" );
  56.   document.write("system (the \"Points Program\") of Altnet points (\"Points\") awarded \n" );
  57.   document.write("to end users based on rules established by us from time to time \n" );
  58.   document.write("(\"Points Manager Rules\") that are redeemable for various \n" );
  59.   document.write("products and/or services through the Altnet Software, the \n" );
  60.   document.write("Services and/or third party redemption partners and Promotional \n" );
  61.   document.write("Program administrators of Altnet. You are only entitled to \n" );
  62.   document.write("participate in the Points Program if you have downloaded and/or \n" );
  63.   document.write("installed the Peer Points Manager and complied with the Points \n" );
  64.   document.write("Manager Rules which will be posted on the Altnet Website under a \n" );
  65.   document.write("link entitled \"Points Manager Rules.\" The Points Manager Rules \n" );
  66.   document.write("may be amended as set forth in Section 16 of this Agreement.\n" );
  67.   document.write("The Altnet Software may only be used in connection with the \n" );
  68.   document.write("Services. \n" );
  69.   document.write("<p class=textSml>\n" );
  70.   document.write("When we refer to the \"Network\" we mean all or part of the \n" );
  71.   document.write("universe of computers connected to the Internet that are \n" );
  72.   document.write("operating the Joltid P2P Networking Software as a component part \n" );
  73.   document.write("of and in conjunction with the Altnet Software.\n" );
  74.   document.write("<p class=textSml>\n" );
  75.   document.write("When we refer to \"Promotional Programs\" we mean sweepstakes, \n" );
  76.   document.write("games of chance, skill contests and other promotions which are \n" );
  77.   document.write("administered by Altnet or third party administrators on AltnetÆs \n" );
  78.   document.write("behalf and made available as part of the Points Program.\n" );
  79.   document.write("<p class=textSml>\n" );
  80.   document.write("  <strong>2. License Restrictions\n" );
  81.   document.write("  </strong>\n" );
  82.   document.write("<p class=textSml>\n" );
  83.   document.write("(a) Notwithstanding anything to the contrary, you may not:\n" );
  84.   document.write("<ul>\n" );
  85.   document.write("<li class=textSml>remove any proprietary notices from the Services, Altnet \n" );
  86.   document.write("Software or any copy thereof; cause, permit or authorize \n" );
  87.   document.write("the modification, creation of derivative works, translation, \n" );
  88.   document.write("reverse engineering, decompiling or disassembling of the \n" );
  89.   document.write("Altnet Software;\n" );
  90.   document.write("<li class=textSml> sell, assign, rent, lease, act as a service bureau, or grant \n" );
  91.   document.write("rights in the Altnet Software or Services, including, \n" );
  92.   document.write("without limitation, through sublicense, to any other entity \n" );
  93.   document.write("without the prior written consent of Altnet;\n" );
  94.   document.write("<li class=textSml>export or re-export the Software in violation of U.S. \n" );
  95.   document.write("export laws; \n" );
  96.   document.write("\n" );
  97.   document.write("<li class=textSml>use the Software or Services for any commercial purpose \n" );
  98.   document.write("or the benefit of any third party or any manner not \n" );
  99.   document.write("permitted by the license grant;\n" );
  100.   document.write("\n" );
  101.   document.write("<li class=textSml>use the Altnet Software or Services to access any content \n" );
  102.   document.write("files accessible through the Altnet Software without the \n" );
  103.   document.write("permission of the publisher of the content files; \n" );
  104.   document.write("<li class=textSml>copy the Altnet Software (other than a single copy for \n" );
  105.   document.write("your own backup purposes);\n" );
  106.   document.write("\n" );
  107.   document.write("<li class=textSml>access, create or modify source code of the Software in \n" );
  108.   document.write("any way; \n" );
  109.   document.write("\n" );
  110.   document.write("<li class=textSml>use the Altnet Software or Services to, or in any way that \n" );
  111.   document.write("would, violate any applicable law, regulation or ordinance; \n" );
  112.   document.write("or\n" );
  113.   document.write("\n" );
  114.   document.write("<li class=textSml>use the Altnet Software or Services to develop, generate, \n" );
  115.   document.write("transmit or store information that: (A) infringes any third \n" );
  116.   document.write("party's intellectual property or other proprietary right; (B) \n" );
  117.   document.write("is defamatory or harmful; or (C) in any way obstructs or \n" );
  118.   document.write("otherwise interferes with the normal performance of \n" );
  119.   document.write("another person's use of the Altnet Software or Services. \n" );
  120.   document.write("</ul>\n" );
  121.   document.write("<p class=textSml>\n" );
  122.   document.write("(b) The Altnet Software and Services may be incorporated into, \n" );
  123.   document.write("and may incorporate, software and services owned and controlled \n" );
  124.   document.write("by third parties. Use of such third party software or services is \n" );
  125.   document.write("subject to the terms and conditions of the applicable third party \n" );
  126.   document.write("license agreements, and you agree to look solely to the applicable \n" );
  127.   document.write("third party and not to Altnet to enforce any of your rights.  All \n" );
  128.   document.write("modifications or enhancements to the Altnet Software remain the \n" );
  129.   document.write("sole property of Altnet. You understand that Altnet, in its sole \n" );
  130.   document.write("discretion, may modify or discontinue or suspend your right to \n" );
  131.   document.write("access any of its Services or use any of the Altnet Software at any \n" );
  132.   document.write("time, and may at any time suspend or terminate any license \n" );
  133.   document.write("hereunder and disable any Altnet Software you may already have \n" );
  134.   document.write("accessed or installed without prior notice or further obligation to \n" );
  135.   document.write("you.  Altnet reserves the right to add additional features or \n" );
  136.   document.write("functions to the Altnet Software.  When installed on your \n" );
  137.   document.write("computer, the Altnet Software periodically communicates with \n" );
  138.   document.write("Altnet Servers.  You acknowledge and agree that Altnet has no \n" );
  139.   document.write("obligation to make available to you any subsequent versions of its \n" );
  140.   document.write("software applications.\n" );
  141.   document.write("<p class=textSml>\n" );
  142.   document.write("<strong>3. Permission to Utilize</strong>\n" );
  143.   document.write("<p class=textSml>\n" );
  144.   document.write("In order to receive the benefits provided by the Altnet Software, \n" );
  145.   document.write("you hereby grant permission for Altnet and/or the Altnet Providers \n" );
  146.   document.write("to utilize the disk space and bandwidth of your computer to share \n" );
  147.   document.write("out files that you have downloaded using the Network. The Altnet \n" );
  148.   document.write("Software will protect the privacy and integrity of your computer \n" );
  149.   document.write("resources and files to the extent set forth in the Altnet Privacy \n" );
  150.   document.write("Policy.\n" );
  151.   document.write("<p class=textSml>\n" );
  152.   document.write("<strong>4. Proprietary Rights</strong>\n" );
  153.   document.write("<p class=textSml>\n" );
  154.   document.write("The Altnet Software and Services contain proprietary and \n" );
  155.   document.write("confidential information of Altnet, including copyrights, trade \n" );
  156.   document.write("secrets and trademarks and are protected by United States and \n" );
  157.   document.write("international copyright laws. The Altnet Software, including \n" );
  158.   document.write("without limitation all intellectual property rights therein and \n" );
  159.   document.write("thereto, are and shall remain the exclusive property of Altnet and \n" );
  160.   document.write("its suppliers, and except for the limited license granted to you, \n" );
  161.   document.write("Altnet reserves all right, title and interest in and to the Altnet \n" );
  162.   document.write("Software. You agree not to take any action to jeopardize, limit or \n" );
  163.   document.write("interfere with Altnet's ownership of and rights with respect to the \n" );
  164.   document.write("Altnet Software and Services. You acknowledge that any \n" );
  165.   document.write("unauthorized copying or unauthorized use of the Altnet Software \n" );
  166.   document.write("or Services is a violation of this Agreement and copyright laws \n" );
  167.   document.write("and is strictly prohibited.\n" );
  168.   document.write("<p class=textSml>\n" );
  169.   document.write("<strong>5. Your Representations, Promises and Warranties</strong>\n" );
  170.   document.write("<p class=textSml>\n" );
  171.   document.write("You represent, promise and warrant that:\n" );
  172.   document.write("<ul>\n" );
  173.   document.write("<li class=textSml> you possess the legal right and ability to enter into this \n" );
  174.   document.write("Agreement and to comply with its terms; \n" );
  175.   document.write("<li class=textSml> you will use the Altnet Software and Services for lawful \n" );
  176.   document.write("purposes only and in accordance with this Agreement and \n" );
  177.   document.write("all applicable laws, regulations and policies;\n" );
  178.   document.write("<li class=textSml> you will not attempt to decompile, reverse engineer or \n" );
  179.   document.write("hack the Altnet Software, the Services or the Network or \n" );
  180.   document.write("to defeat or overcome any encryption and/or digital \n" );
  181.   document.write("rights management technology implemented by Altnet \n" );
  182.   document.write("with respect to the Altnet Software, the Services and/or \n" );
  183.   document.write("data transmitted, processed or stored by Altnet, the \n" );
  184.   document.write("Altnet Software or the Services;\n" );
  185.   document.write("<li class=textSml>you will not attempt to tamper with, violate, breach, \n" );
  186.   document.write("circumvent, disrupt, hack or in any manner compromise \n" );
  187.   document.write("any security measures employed by Altnet or AltnetÆs \n" );
  188.   document.write("third party redemption partners and Promotional \n" );
  189.   document.write("Programs administrators to protect the Points Program, \n" );
  190.   document.write("including, but not limited to altering, duplicating, \n" );
  191.   document.write("transferring, deleting, eliminating, manipulating or \n" );
  192.   document.write("tampering with Points; \n" );
  193.   document.write("<li class=textSml>you will not take any steps to interfere with or in any \n" );
  194.   document.write("manner compromise any of Altnet's security measures, \n" );
  195.   document.write("the security measures of AltnetÆs third party redemption \n" );
  196.   document.write("partners, Promotional Programs administrators, other \n" );
  197.   document.write("Altnet Providers, or any other individual's or entity's \n" );
  198.   document.write("computer on the Network and/or otherwise sharing \n" );
  199.   document.write("Services; and\n" );
  200.   document.write("\n" );
  201.   document.write("<li class=textSml> you will only use the Altnet Software and Services on a \n" );
  202.   document.write("computer on which such use is authorized by the \n" );
  203.   document.write("computer's owner. \n" );
  204.   document.write("</ul>\n" );
  205.   document.write("<p class=textSml>\n" );
  206.   document.write("\n" );
  207.   document.write("\n" );
  208.   document.write("You agree that you will not use any automatic or manual \n" );
  209.   document.write("device or process to interfere or attempt to interfere with the \n" );
  210.   document.write("proper working of any of the Altnet Software, Points, Services \n" );
  211.   document.write("or content, except to remove Altnet Software from a \n" );
  212.   document.write("computer of which you are an owner or authorized user in a \n" );
  213.   document.write("manner permitted by this Agreement. You may not violate or \n" );
  214.   document.write("attempt to violate the security of Services provided by Altnet.   \n" );
  215.   document.write("Altnet reserves the right to investigate occurrences which \n" );
  216.   document.write("may involve such violations, and may involve, and cooperate \n" );
  217.   document.write("with, law enforcement authorities in prosecuting users who \n" );
  218.   document.write("have participated in such violations.  \n" );
  219.   document.write("<p class=textSml>\n" );
  220.   document.write("If Altnet has reasonable grounds to suspect that your \n" );
  221.   document.write("representations, warranties or promises are inaccurate or \n" );
  222.   document.write("breached, Altnet may suspend or terminate your account, \n" );
  223.   document.write("deny any or all use of the Altnet Software and/or Services, \n" );
  224.   document.write("and pursue any appropriate legal remedies.  You agree Altnet \n" );
  225.   document.write("shall have the right to use the information you provide to it \n" );
  226.   document.write("for the purposes described in this Agreement and in \n" );
  227.   document.write("furtherance of your use of the Services.  \n" );
  228.   document.write("<p class=textSml>\n" );
  229.   document.write("<strong>6. Points</strong>\n" );
  230.   document.write("<p class=textSml>\n" );
  231.   document.write("You hereby acknowledge and agree that:\n" );
  232.   document.write("<ul> \n" );
  233.   document.write("<li class=textSml> the Points are the sole property of Altnet and that you \n" );
  234.   document.write("have no claim, right, title or interest in and to the Points \n" );
  235.   document.write("awarded to you, other than your right to redeem with \n" );
  236.   document.write("express permission of Altnet if any; \n" );
  237.   document.write("\n" );
  238.   document.write("<li class=textSml> the Points are nontransferable and you shall not give, \n" );
  239.   document.write("assign, transfer, trade, bargain, sell or otherwise \n" );
  240.   document.write("distribute Points to any other end user or third party \n" );
  241.   document.write("which is not an Altnet redemption partner; and \n" );
  242.   document.write("\n" );
  243.   document.write("<li class=textSml> Altnet has the right to amend, change or modify the \n" );
  244.   document.write("Points Manager Rules or AltnetÆs policies regarding the \n" );
  245.   document.write("Points at any time and at AltnetÆs sole discretion, \n" );
  246.   document.write("including, but not limited to, the cancellation, removal \n" );
  247.   document.write("and/or termination of the Points, Promotional Programs \n" );
  248.   document.write("and/or the Points Program in its entirety without any \n" );
  249.   document.write("recourse to you whatsoever.\n" );
  250.   document.write("</ul> \n" );
  251.   document.write("<p class=textSml>\n" );
  252.   document.write("<strong>7. Further Agreements.</strong>\n" );
  253.   document.write("<p class=textSml>\n" );
  254.   document.write("By accepting and agreeing to the terms of this Agreement, you \n" );
  255.   document.write("hereby accept and agree to the terms of the Altnet Privacy Policy.  \n" );
  256.   document.write("The Altnet Privacy Policy may be amended as set forth in Section \n" );
  257.   document.write("16 of this Agreement.\n" );
  258.   document.write("<p class=textSml>\n" );
  259.   document.write("<strong>8. Joltid P2P Networking Software Component of Altnet Software</strong>\n" );
  260.   document.write("<p class=textSml>\n" );
  261.   document.write("The Joltid P2P Networking Software included in the Altnet \n" );
  262.   document.write("Software provides peer to peer communication and can be utilized \n" );
  263.   document.write("and distributed separately from the Altnet Software by third \n" );
  264.   document.write("parties that do not provide Points (\"Other JP2PEnabled Parties\").\n" );
  265.   document.write("<p class=textSml>\n" );
  266.   document.write("When Other JP2PEnabled Parties download files via the Joltid P2P \n" );
  267.   document.write("Networking Software the files will generally be saved to and \n" );
  268.   document.write("shared from a cache folder (the \"Joltid Cache Folder\") maintained \n" );
  269.   document.write("by the Joltid P2P Networking Software.  You can control and \n" );
  270.   document.write("manage the cache folder by going to \"P2P Networking\" in your \n" );
  271.   document.write("Windows Control Panel area.  \n" );
  272.   document.write("<p class=textSml>\n" );
  273.   document.write("Where other JP2PEnabled Parties download files using the Joltid \n" );
  274.   document.write("P2P Networking Software you will not earn Points when those files \n" );
  275.   document.write("are shared from your computer.   You can turn off sharing of non-\n" );
  276.   document.write("Altnet files by selecting the \"Only share Altnet Files\" option.\n" );
  277.   document.write("<p class=textSml>\n" );
  278.   document.write("ALL OTHER JP2PENABLED PARTIES ARE REQUIRED BY JOLTID TO NOTIFY YOU \n" );
  279.   document.write("OR OBTAIN YOUR PERMISSION BEFORE THEIR FILES ARE DOWNLOADED AND/OR \n" );
  280.   document.write("SHARED VIA JOLTID P2P NETWORKING SOFTWARE (THE \"JOLTID \n" );
  281.   document.write("P2P NETWORKING OBLIGATIONS\").  \n" );
  282.   document.write("<p class=textSml>\n" );
  283.   document.write("<strong>9. Indemnity</strong>\n" );
  284.   document.write("<p class=textSml>\n" );
  285.   document.write("You agree to indemnify, hold harmless and defend Altnet, Altnet \n" );
  286.   document.write("Providers, AltnetÆs third party redemption partners and \n" );
  287.   document.write("promotional programs administrators, their affiliates, parent \n" );
  288.   document.write("companies, subsidiaries, officers, directors, employees, \n" );
  289.   document.write("advertising and promotions agencies, representatives or agents \n" );
  290.   document.write("(collectively, the \"Indemnified Parties\"), at your expense, against \n" );
  291.   document.write("any and all third-party claims, actions, proceedings, and suits and \n" );
  292.   document.write("all related liabilities, damages, settlements, penalties, fines, costs \n" );
  293.   document.write("and expenses (including, without limitation, reasonable attorneys' \n" );
  294.   document.write("fees and other dispute resolution expenses) incurred by any \n" );
  295.   document.write("Indemnified Party arising out of or relating to your (a) violation or \n" );
  296.   document.write("breach of any term of this Agreement or any policy or guidelines \n" );
  297.   document.write("referenced herein, or (b) use or misuse of the Altnet Software \n" );
  298.   document.write("and/or Services.\n" );
  299.   document.write("<p class=textSml>\n" );
  300.   document.write("<strong>10. Disclaimer of Warranties</strong>\n" );
  301.   document.write("<p class=textSml>\n" );
  302.   document.write("(a) THE ALTNET SOFTWARE AND SERVICES ARE PROVIDED \"AS \n" );
  303.   document.write("IS\" AND THERE ARE NO WARRANTIES, CLAIMS OR \n" );
  304.   document.write("REPRESENTATIONS MADE BY ALTNET, EITHER EXPRESS, \n" );
  305.   document.write("IMPLIED, OR STATUTORY, WITH RESPECT TO THE ALTNET \n" );
  306.   document.write("SOFTWARE OR SERVICES, INCLUDING WARRANTIES OF \n" );
  307.   document.write("QUALITY, PERFORMANCE, NON-INFRINGEMENT, \n" );
  308.   document.write("MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE, \n" );
  309.   document.write("NOR ARE THERE ANY WARRANTIES CREATED BY COURSE OF \n" );
  310.   document.write("DEALING, COURSE OF PERFORMANCE, OR TRADE USAGE. ALTNET \n" );
  311.   document.write("FURTHER DOES NOT REPRESENT OR WARRANT THAT THE \n" );
  312.   document.write("ALTNET SOFTWARE OR ANY SERVICES WILL ALWAYS BE \n" );
  313.   document.write("AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE, \n" );
  314.   document.write("ACCURATE, COMPLETE OR ERROR-FREE. \n" );
  315.   document.write("<p class=textSml>\n" );
  316.   document.write("(b) YOU ACKNOWLEDGE THAT THE ENTIRE RISK ARISING OUT \n" );
  317.   document.write("OF THE USE OR PERFORMANCE OF THE ALTNET SOFTWARE AND \n" );
  318.   document.write("SERVICES REMAINS WITH YOU TO THE MAXIMUM EXTENT \n" );
  319.   document.write("PERMITTED BY LAW. \n" );
  320.   document.write("<p class=textSml>\n" );
  321.   document.write("(c) As some jurisdictions do not allow some of the exclusions set \n" );
  322.   document.write("forth in this Section 10, some of these exclusions may not apply \n" );
  323.   document.write("to you.\n" );
  324.   document.write("<p class=textSml>\n" );
  325.   document.write("(d) THIS DISCLAIMER OF WARRANTY CONSTITUTES AN \n" );
  326.   document.write("ESSENTIAL PART OF THIS AGREEMENT.\n" );
  327.   document.write("<p class=textSml>\n" );
  328.   document.write("<strong>11. Limitation of Liability</strong>\n" );
  329.   document.write("<p class=textSml>\n" );
  330.   document.write("(a) IN NO EVENT SHALL ALTNET, ANY OTHER ALTNET PROVIDER, \n" );
  331.   document.write("ALTNETÆS THIRD PARTY REDEMPTION PARTNERS OR ALTNETÆS \n" );
  332.   document.write("PROMOTIONAL PROGRAMS ADMINISTRATORS OR THEIR \n" );
  333.   document.write("AFFILIATES, PARENT COMPANIES, SUBSIDIARIES, OFFICERS, \n" );

  381.   document.write("<strong>14. Termination</strong>\n" );
  382.   document.write("<p class=textSml>\n" );
  383.   document.write("You may terminate this Agreement at any time provided you \n" );
  384.   document.write("cease all use of the Altnet Software and Services AND destroy or \n" );
  385.   document.write("remove from all hard drives, networks, and other storage media \n" );
  386.   document.write("all copies of the Altnet Software. Altnet may terminate this \n" );
  387.   document.write("Agreement at any time, with or without cause, by providing notice \n" );
  388.   document.write("to you and/or preventing your access to the Altnet Software \n" );
  389.   document.write("and/or Services.  Sections 2, 3, 4, 5 and 7 through 16 shall \n" );
  390.   document.write("survive such termination.\n" );
  391.   document.write("<p class=textSml>\n" );
  392.   document.write("<strong>15. Electronic Signatures and Agreements  </strong>\n" );

  394.   document.write("You acknowledge and agree that by clicking on the button labeled \n" );
  395.   document.write("\"SUBMIT\", \"DOWNLOAD\", \"I ACCEPT\" or such similar links as may \n" );
  396.   document.write("be designated by Altnet or Sharman Networks to download the \n" );
  397.   document.write("Altnet Software to accept the terms and conditions of this \n" );
  398.   document.write("Agreement, you are submitting a legally binding electronic \n" );
  399.   document.write("signature and are entering into a legally binding contract.  You \n" );
  400.   document.write("acknowledge that your electronic submissions constitute your \n" );
  401.   document.write("agreement and intent to be bound by this Agreement.  Pursuant \n" );
  402.   document.write("to any applicable statutes, regulations, rules, ordinances or other \n" );
  403.   document.write("laws, including without limitation the United States Electronic \n" );
  404.   document.write("Signatures in Global and National Commerce Act, P.L. 106-229 \n" );
  405.   document.write("(the \"E-Sign Act\") or other similar statutes, YOU HEREBY AGREE \n" );
  406.   document.write("TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, \n" );

  412.   document.write("ordinances or other laws in any jurisdiction which require an \n" );
  413.   document.write("original signature or delivery or retention of non-electronic \n" );
  414.   document.write("records, or to payments or the granting of credits by other than \n" );

  417.   document.write("<strong>16. General Provisions</strong>\n" );

  419.   document.write("Altnet reserves all rights not expressly granted herein. Altnet may \n" );
  420.   document.write("modify this Agreement at any time upon seven (7) days notice by \n" );
  421.   document.write("providing such revised Agreement to you or posting the revised \n" );

  423.   document.write("agreement, privacy policy, and/or Points Manager Rules on its \n" );
  424.   document.write("website located at www.altnet.com. Your continued use of the \n" );
  425.   document.write("Altnet Software and/or Services shall constitute your acceptance \n" );
  426.   document.write("of such revised Agreement, privacy policy and/or Points Manager \n" );
  427.   document.write("Rules. You may not assign this Agreement or any rights \n" );
  428.   document.write("hereunder. Nothing in this Agreement shall constitute a \n" );
  429.   document.write("partnership or joint venture between you and Altnet. Should any \n" );
  430.   document.write("term or provision hereof be deemed invalid, void or unenforceable \n" );
  431.   document.write("either in its entirety or in a particular application, the remainder \n" );
  432.   document.write("of this Agreement shall nonetheless remain in full force and \n" );
  433.   document.write("effect. The failure of Altnet at any time or times to require \n" );
  434.   document.write("performance of any provision hereof shall in no manner affect its \n" );
  435.   document.write("right at a later time to enforce the same unless the same is \n" );
  436.   document.write("waived in writing. This Agreement shall be governed by and \n" );
  437.   document.write("construed in accordance with the laws of the State of California \n" );
  438.   document.write("without regard to its conflict of law rules. Any legal proceeding \n" );
  439.   document.write("arising out or relating to this Agreement against or relating to \n" );
  440.   document.write("Altnet or any Indemnified Party other than Joltid Limited will be \n" );
  441.   document.write("subject to the exclusive jurisdiction of any state or federal court \n" );
  442.   document.write("sitting in Los Angeles, California and you irrevocably consent to \n" );
  443.   document.write("the jurisdiction of such courts. Any legal proceeding arising out or \n" );
  444.   document.write("relating to this Agreement against Joltid Limited or relating \n" );
  445.   document.write("primarily to the Joltid P2P Networking Software will be subject to \n" );
  446.   document.write("the exclusive jurisdiction of the courts of the Netherlands sitting \n" );
  447.   document.write("in Amsterdam, and you irrevocably consent to the jurisdiction of \n" );
  448.   document.write("such courts. The terms set forth in this Agreement and any \n" );
  449.   document.write("agreements included or referred to in this Agreement constitute \n" );
  450.   document.write("the final, complete and exclusive agreement with respect to the \n" );
  451.   document.write("Altnet Software and Services and may not be contradicted, \n" );
  452.   document.write("explained or supplemented by evidence of any prior agreement, \n" );

  498.   document.write("My Search Application (including all updates thereto) and (b) use the My \n" );

  502.   document.write("  <strong>2. License Conditions\n" );

  513.   document.write("not have the right to and may not create derivative works of the My \n" );
  514.   document.write("Search Application. All modifications or enhancements to the My Search \n" );
  515.   document.write("Applications remain the sole property of My Way. You understand that we, \n" );
  516.   document.write("in our sole discretion, may modify or discontinue or suspend your right to \n" );
  517.   document.write("access any of our services or use the My Search Application at any time, \n" );
  518.   document.write("and we may at any time suspend or terminate any license hereunder and \n" );
  519.   document.write("disable the My Search Applications.\n" );
  520.   document.write("<p class=textSml>\n" );
  521.   document.write("We reserve the right to add additional features or functions to the existing \n" );
  522.   document.write("My Search Application. When installed on your computer, the My Search \n" );
  523.   document.write("Application periodically communicates with our servers. We may require \n" );
  524.   document.write("the updating of the My Search Application on your computer when we \n" );
  525.   document.write("release a new version of a My Search Application, or when we make new \n" );
  526.   document.write("features available. This update may occur, after notification to you, \n" );
  527.   document.write("automatically or through other means and may occur all at once or over \n" );
  528.   document.write("multiple sessions. You understand that we may require your review and \n" );
  529.   document.write("acceptance of our then-current privacy policy and end user license \n" );
  530.   document.write("agreement before you will be permitted a limited license for any \n" );

  553.   document.write("  <strong>4. Content and Infringement\n" );

  556.   document.write("You understand that all content, including, without limitation all data, \n" );
  557.   document.write("links, articles, search results, graphic or video messages and all \n" );
  558.   document.write("information, text, software, music, sound, graphics or other materials \n" );
  559.   document.write("(\"Content\") made available or accessible through the My Search \n" );
  560.   document.write("Applications or our services, whether publicly available or privately \n" );
  561.   document.write("transmitted, is the sole responsibility of the entity from whom it \n" );
  562.   document.write("originated. You understand and agree that by using an My Search \n" );
  563.   document.write("Application, you may be exposed to Content that may be offensive, \n" );
  564.   document.write("indecent or objectionable in your community. You agree to accept all risks \n" );
  565.   document.write("associated with the use of any Content, including any reliance on the \n" );
  566.   document.write("accuracy or completeness of such Content. Under no circumstances will \n" );
  567.   document.write("My Way be liable in any way for any Content, including, but not limited to, \n" );
  568.   document.write("for any errors or omissions in any Content, or for loss or damage of any \n" );
  569.   document.write("kind incurred as a result of the use of any Content posted or transmitted \n" );

  573.   document.write("We are not responsible for any content such as audio, video, text or any \n" );

  575.   document.write("Search Applications are exposed to various security issues, and should be \n" );
  576.   document.write("regarded as unsecure. By accepting this Agreement, you indicate that you \n" );
  577.   document.write("understand, acknowledge and agree that by using the My Search \n" );
  578.   document.write("Applications, you may be subject to various risks, including the exposure \n" );
  579.   document.write("of data you have downloaded or have offered to share, and that you \n" );
  580.   document.write("accept all such risk as solely your risk and responsibility.\n" );

  589.   document.write("holders.  On notice, My Way will act appropriately to remove content \n" );

  591.   document.write("reserves the right to disable the access to the My Search Applications and \n" );
  592.   document.write("our services by anyone who uses them to repeatedly infringe the \n" );
  593.   document.write("Intellectual Property Rights of others.  If you believe that our services \n" );
  594.   document.write("contain elements that infringe your copyrights in your work, please follow \n" );

  604.   document.write("However, by uninstalling the My Search Application, you may be unable to \n" );
  605.   document.write("access some of our services and, in some instances, unable to use \n" );
  606.   document.write("software with which the My Search Application was bundled.\n" );

  608.   document.write("You understand, acknowledge and agree that installation of a My Search \n" );
  609.   document.write("Application permits the downloading to your computer by My Way of software \n" );
  610.   document.write("which allows us to update the My Search Application, and that such \n" );
  611.   document.write("updates may occur without notice to you unless the terms of this \n" );
  612.   document.write("Agreement change in a material way.  You agree to accept all such \n" );
  613.   document.write("updates and agree that they are and shall be governed by this Agreement \n" );
  614.   document.write("unless superceded by a successor agreement as described below.\n" );

  616.   document.write("You further understand, acknowledge and agree that in consideration of \n" );
  617.   document.write("the My Search Applications, services and information provided to you by \n" );
  618.   document.write("My Way, and in order to make our services functional and robust, the My \n" );
  619.   document.write("Search Application will communicate with our servers.  Such \n" );
  620.   document.write("communication may occur, for example, in connection with product \n" );
  621.   document.write("updates and fixes, verifying and updating your settings, processing search \n" );
  622.   document.write("queries or requests made by you through use of the My Search Application \n" );
  623.   document.write("and as otherwise required to maintain and operate the My Search \n" );
  624.   document.write("Application. The My Search Application does not report back to My Way \n" );
  625.   document.write("with information about the sites you visit on the Internet or collect any \n" );
  626.   document.write("information that you provide you to any such web sites.  If you wish to \n" );
  627.   document.write("withdraw your consent to the communication and data usage as described \n" );
  628.   document.write("herein, uninstall any and all My Search Applications from your computer.\n" );

  630.   document.write("<strong>6. Your Obligations </strong>\n" );

  632.   document.write("You represent and warrant that you are either the owner or an authorized \n" );
  633.   document.write("user of the computer where the My Search Application is installed. No \n" );
  634.   document.write("registration is required to use the My Search Applications, However, if you \n" );
  635.   document.write("elect to provide any information in connection with the use of any other \n" );
  636.   document.write("services My Way offers, you agree to provide and to maintain fully \n" );
  637.   document.write("accurate, complete and current information.  If My Way has reasonable \n" );
  638.   document.write("grounds to suspect that such information is inaccurate, not current or not \n" );
  639.   document.write("complete, My Way has the right to suspend or terminate your use of the \n" );
  640.   document.write("My Search Applications or our services, and pursue any appropriate legal \n" );
  641.   document.write("remedies.  You agree that we shall have the right to use the information \n" );
  642.   document.write("you provide to us for the purposes described in this Agreement and in \n" );
  643.   document.write("furtherance of your use of our services.  You may use our services only for \n" );
  644.   document.write("lawful purposes.  The services described herein are subject to, and you \n" );
  645.   document.write("agree that you shall at all times comply with, all local, state, national, \n" );
  646.   document.write("and international laws, statutes, rules, regulations, ordinances and the like \n" );

  655.   document.write("You agree that you will not use any robot, spider, other automatic or \n" );
  656.   document.write("manual device or process to interfere or attempt to interfere with the \n" );
  657.   document.write("proper working of any of our My Search Applications, services or content, \n" );
  658.   document.write("except to remove our My Search Applications from a computer of which \n" );
  659.   document.write("you are an owner or authorized user. You may not violate or attempt to \n" );
  660.   document.write("violate the security of our services.   We reserve the right to investigate \n" );
  661.   document.write("occurrences which may involve such violations, and may involve, and \n" );
  662.   document.write("cooperate with, law enforcement authorities in prosecuting users who \n" );
  663.   document.write("have participated in such violations.  You agree that it is your \n" );
  664.   document.write("responsibility to install anti-virus software and related protections against \n" );
  665.   document.write("viruses, Trojan horses, worms, time bombs, cancelbots or other \n" );
  666.   document.write("techniques that may have the effect of damaging, destroying, disrupting \n" );
  667.   document.write("or otherwise impairing a computerÆs functionality or operation, which may \n" );
  668.   document.write("inadvertently be transferred to your computer through your use of our My \n" );
  669.   document.write("Search Applications.\n" );
  670.   document.write("<p class=textSml>\n" );
  671.   document.write("In order to access certain services which may from time to time be offered \n" );
  672.   document.write("by My Way, you may be required to pay fees, accept additional terms and \n" );
  673.   document.write("conditions and/or, establish an account including an unique identification \n" );
  674.   document.write("code or name (an \"ID\") and password (a \"Password\").  You are the sole \n" );
  675.   document.write("and exclusive owner of any Password and ID combination issued or \n" );
  676.   document.write("chosen by to you.  Maintaining the confidentiality and security of your \n" );
  677.   document.write("Password(s) and ID(s) is solely your responsibility.  You are fully \n" );
  678.   document.write("responsible for the use and protection of each Password and ID issued to \n" );
  679.   document.write("or chosen by you and for all transactions undertaken by means of any \n" );
  680.   document.write("account opened, held, accessed or used via such Password and ID.  You \n" );
  681.   document.write("shall notify us immediately and confirm in writing any unauthorized use of \n" );

  741.   document.write("BE AVAILABLE OR WILL OPERATE IN AN UNINTERRUPTED OR ERROR-\n" );
  742.   document.write("FREE MANNER, (C) THAT ERRORS OR DEFECTS RELATED TO THE MY \n" );
  743.   document.write("SEARCH APPLICATIONS OR THE SERVICES WILL BE CORRECTED OR (D) \n" );
  744.   document.write("THAT WE CAN IDENTIFY AND IDENTITY THEFT.  WE ALSO DO NOT \n" );
  745.   document.write("WARRANT THAT THE MY SEARCH APPLICATIONS OR THE SERVICES OR \n" );
  746.   document.write("THE INFORMATION AVAILABLE THROUGH THE SERVICES, IS \n" );
  747.   document.write("APPROPRIATE, ACCURATE OR AVAILABLE FOR USE IN ANY PARTICULAR \n" );
  748.   document.write("JURISDICTION. \n" );
  749.   document.write("<p class=textSml>\n" );
  750.   document.write("THIS DISCLAIMER OF WARRANTY CONSTITUTES AN ESSENTIAL PART OF \n" );

  764.   document.write("<strong>11. Limitation of Liability </strong>\n" );

  766.   document.write("YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT IN NO EVENT WILL MY \n" );
  767.   document.write("WAY, ITS PARENTS, SUBSIDIARIES, OR AFFILIATES OR THEIR \n" );

  776.   document.write("LOST OPPORTUNITY, GOODWILL, OR OTHER INTANGIBLE LOSSES (EVEN \n" );
  777.   document.write("IF MY WAY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH \n" );
  778.   document.write("DAMAGES). \n" );
  779.   document.write("<p class=textSml>\n" );
  780.   document.write("SOLELY TO THE EXTENT THE FOREGOING LIMITATION OF LIABILITY IS, \n" );
  781.   document.write("FOR ANY REASON, HELD TO BE INAPPLICABLE OR UNENFORCEABLE IN \n" );
  782.   document.write("WHOLE OR IN PART, THEN MY WAYÆS AGGREGATE LIABILITY, FOR ANY \n" );
  783.   document.write("REASON AND FOR ANY CAUSE OF ACTION AND ANY THEORY OF \n" );
  784.   document.write("LIABILITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THIS \n" );
  785.   document.write("AGREEMENT SHALL BE LIMITED TO THE LESSER OF DAMAGES ACTUALLY \n" );
  786.   document.write("INCURRED OR THE AVERAGE REVENUE RECEIVED BY MY WAY PER USER \n" );
  787.   document.write("OF THE MY SEARCH APPLICATION PER MONTH AS CALCULATED BY MY \n" );
  788.   document.write("WAY BASED ON THE USE OF THE MY SEARCH APPLICATIONS (AND NOT \n" );
  789.   document.write("OTHER PRODUCTS OR SERVICES OFFERED BY MY WAY) MULTIPLIED BY \n" );
  790.   document.write("THE NUMBER OF COMPLETE MONTHS YOU HAVE BEEN A MY SEARCH \n" );
  791.   document.write("APPLICATION USER. THE PROTECTED PARTIES ASSUME NO LIABILITY \n" );
  792.   document.write("HEREUNDER FOR, AND SHALL HAVE NO OBLIGATION TO DEFEND YOU OR \n" );
  793.   document.write("TO PAY COSTS, DAMAGES OR ATTORNEYSÆ FEES FOR, ANY CLAIM BASED \n" );
  794.   document.write("UPON: (I) ANY METHOD OR PROCESS IN WHICH THE MY SEARCH \n" );
  795.   document.write("APPLICATION MAY BE USED BY YOU; (II) ANY RESULTS OF USING THE \n" );
  796.   document.write("MY SEARCH APPLICATION; (III) ANY USE OF OTHER THAN A CURRENT \n" );
  797.   document.write("UNALTERED RELEASE OF ONE OF THE MY SEARCH APPLICATIONS; OR \n" );
  798.   document.write("(IV) THE COMBINATION, OPERATION OR USE OF ANY OF THE MY SEARCH \n" );
  799.   document.write("APPLICATION(S) WITH THIRD PARTY PROGRAMS OR DATA.\n" );
  800.   document.write("<p class=textSml>\n" );
  801.   document.write("BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE \n" );
  802.   document.write("EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR \n" );
  803.   document.write("INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, OUR \n" );
  804.   document.write("LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW. \n" );
  805.   document.write("<p class=textSml>\n" );
  806.   document.write("<strong>12. Export Controls</strong> \n" );
  807.   document.write("<p class=textSml>\n" );
  808.   document.write("The My Search Applications and the underlying information and \n" );
  809.   document.write("technology may not be downloaded or otherwise exported or re-exported \n" );
  810.   document.write("(i) into (or to a national or resident of) Afghanistan, Cuba, Iraq, Libya, \n" );
  811.   document.write("Yugoslavia, North Korea, Iran, Syria or any other country to which the \n" );
  812.   document.write("U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury \n" );
  813.   document.write("DepartmentÆs list of Specially Designated Nationals or the U.S. Commerce \n" );
  814.   document.write("DepartmentÆs Table of Deny Orders. By downloading or using our My \n" );
  815.   document.write("Search Applications, you agreeing to the foregoing and you represent and \n" );
  816.   document.write("warrant that you are not located in, under the control of, or a national or \n" );
  817.   document.write("resident of any such country or on any such list, and that you will \n" );
  818.   document.write("otherwise comply with all applicable export control laws.\n" );
  819.   document.write("<p class=textSml>\n" );
  820.   document.write("13. Notice to Government End Users\n" );
  821.   document.write("<p class=textSml>\n" );
  822.   document.write("Any My Search Applications, software and documentation hereunder \n" );
  823.   document.write("downloaded or otherwise installed for or on behalf of the United States of \n" );
  824.   document.write("America, its agencies and/or instrumentalities (\"U.S. Government\"), is \n" );
  825.   document.write("provided with Restricted Rights as \"Commercial Items,\" as that term is \n" );
  826.   document.write("defined at 48 C.F.R. º2.101, consisting of \"Commercial Computer \n" );
  827.   document.write("Software\" and \"Commercial Computer Software Documentation,\" as such \n" );
  828.   document.write("terms are used in 48 C.F.R. º12.212 or 48 C.F.R. º227.7202, as \n" );
  829.   document.write("applicable. Pursuant to Federal Acquisition Regulation 12.212 (48 C.F.R. º \n" );
  830.   document.write("12.212), the U.S. Government shall have only those rights specified in the \n" );
  831.   document.write("license contained herein.  The U.S. Government shall not be entitled to (i) \n" );
  832.   document.write("technical information that is not customarily provided to the public or to \n" );
  833.   document.write("(ii) use, modify, reproduce, release, perform, display, or disclose \n" );
  834.   document.write("commercial computer software or commercial computer software \n" );
  835.   document.write("documentation except as specified herein.  Use, duplication, or disclosure \n" );

  837.   document.write("subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer \n" );
  838.   document.write("Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) \n" );
  839.   document.write("of the Commercial Computer Software - Restricted Rights at 48 C.F.R. \n" );
  840.   document.write("52.227-19, as applicable.\n" );
  841.   document.write("<p class=textSml>\n" );
  842.   document.write("<strong>14. Applicable Law </strong>\n" );
  843.   document.write("<p class=textSml>\n" );
  844.   document.write("By accessing or using our My Search Applications or our services, you \n" );
  845.   document.write("agree that the substantive laws of the State of New York in the United \n" );
  846.   document.write("States of America shall govern all matters relating to or arising from this \n" );
  847.   document.write("Agreement, and the use (or inability to use) any or all of the services or \n" );
  848.   document.write("the My Search Application, and that such laws shall apply without regard \n" );
  849.   document.write("to principles of conflict of laws.  Subject to the dispute resolution \n" );
  850.   document.write("procedures set forth below, you hereby submit to the exclusive jurisdiction \n" );
  851.   document.write("and venue of the appropriate State and Federal courts located in \n" );
  852.   document.write("Westchester County, New York, with respect to all matters arising out of \n" );
  853.   document.write("or relating to this Agreement. The United Nations Convention on Contracts \n" );
  854.   document.write("for the International Sale of Goods does not apply to this Agreement. You \n" );
  855.   document.write("agree that regardless of any statute or law to the contrary, any claim or \n" );
  856.   document.write("cause of action arising out of or related to use of the My Way Service, any \n" );
  857.   document.write("My Search Application or the My Way Privacy Policy must be filed within \n" );
  858.   document.write("one (1) year after such claim or cause of action arose or be forever \n" );
  859.   document.write("barred.  \n" );
  860.   document.write("<p class=textSml>\n" );
  861.   document.write("<strong>15. Arbitration </strong>\n" );
  862.   document.write("<p class=textSml>\n" );
  863.   document.write("Any claim or controversy arising out of or related to this Agreement, or \n" );
  864.   document.write("the products or services we provide or distribute shall be settled by \n" );
  865.   document.write("individual binding arbitration in accordance with the rules of the American \n" );
  866.   document.write("Arbitration Association then effective. Any such claim or controversy shall \n" );
  867.   document.write("be arbitrated on an individual basis and shall not be consolidated with a \n" );
  868.   document.write("claim of any other party. Further, in any such dispute, under no \n" );
  869.   document.write("circumstances will you be permitted to obtain awards for, and you hereby \n" );
  870.   document.write("waive all rights to claim punitive, incidental or consequential damages, \n" );
  871.   document.write("and you further waive all rights to have damages multiplied or increased. \n" );
  872.   document.write("This shall not preclude My Way from seeking any injunctive relief for \n" );
  873.   document.write("protection of our Intellectual Property Rights.  The arbitration shall take \n" );
  874.   document.write("place in Irvington, New York or such other location as the parties may \n" );
  875.   document.write("mutually agree.  The arbitrator(s) shall issue a reasoned award, and any \n" );
  876.   document.write("judgment on the award rendered by the arbitrator(s) may be entered in \n" );
  877.   document.write("any court of competent jurisdiction.  The arbitrator(s) will each be a \n" );
  878.   document.write("natural person who has never been employed (either as an employee or \n" );
  879.   document.write("as an independent consultant) by either of the parties, or any parent, \n" );
  880.   document.write("subsidiary or affiliate thereof, and will be generally familiar with the \n" );
  881.   document.write("business of the parties.  The arbitrator(s) may upon request exclude from \n" );
  882.   document.write("use in the arbitration proceeding any evidence not made available to the \n" );
  883.   document.write("other party pursuant to a proper discovery request.  The cost of the \n" );
  884.   document.write("arbitration will be borne equally by the parties.  The parties, their \n" );
  885.   document.write("representatives, other participants, the arbitrator(s) and the \n" );
  886.   document.write("administrator(s) of the arbitration will hold in confidence the existence, \n" );
  887.   document.write("content and outcome of the arbitration.  The parties understand that:  (i) \n" );
  888.   document.write("arbitration is final and binding on the parties; (ii) the parties are waiving \n" );
  889.   document.write("their right to seek remedies in court, including the right to a jury trial; (iii) \n" );
  890.   document.write("pre-arbitration discovery is generally more limited than and different from \n" );
  891.   document.write("court procedures; and (iv) any partyÆs right to appeal or to seek \n" );
  892.   document.write("modification of rulings by the arbitrators is strictly limited.\n" );
  893.   document.write("<p class=textSml>\n" );
  894.   document.write("<strong>16. Successor Agreements </strong>\n" );
  895.   document.write("<p class=textSml>\n" );
  896.   document.write("The terms of this Agreement may change from time to time. You should \n" );
  897.   document.write("check back at the website regularly to determine if any material changes \n" );
  898.   document.write("have been made. We will prominently post material changes on the My \n" );
  899.   document.write("Way website at least 14 days prior to the effective date of the change and \n" );
  900.   document.write("will also attempt to provide you with an on-line notice informing you when \n" );
  901.   document.write("such material changes have been made to this Agreement, which notice \n" );
  902.   document.write("shall contain an active link that you can use to view a web page \n" );
  903.   document.write("containing or linking to the revised Agreement.\n" );
  904.   document.write("<p class=textSml>\n" );
  905.   document.write("You agree that your continued use of any My Search Application or our \n" );
  906.   document.write("services after the effective date of any change will constitute your \n" );
  907.   document.write("affirmative consent to this revised Agreement.  If you do not accept such \n" );
  908.   document.write("revisions, you must affirmatively indicate to us by e-mail to \n" );
  909.   document.write("uninstall@help.myway.com that you do not accept the successor Agreement \n" );
  910.   document.write("and remove all of our My Search Applications from your computer and \n" );
  911.   document.write("cease all access to and use of our services hereunder. Failure to remove \n" );
  912.   document.write("our My Search Applications from your computer will be deemed an \n" );
  913.   document.write("acceptance of the terms of the most current Agreement.\n" );
  914.   document.write("<p class=textSml>\n" );
  915.   document.write("<strong>17. Order of Precedence </strong> \n" );
  916.   document.write("<p class=textSml>\n" );
  917.   document.write("This Agreement and any accepted successor Agreement governs your use \n" );
  918.   document.write("of our My Search Applications and our services as described herein. To the \n" );
  919.   document.write("extent that any provision of this Agreement, or any supplemental \n" );
  920.   document.write("agreement offered as any part of any registration for additional My Search \n" );
  921.   document.write("Applications or services, conflicts with any provision of other agreements \n" );
  922.   document.write("between you and My Way or any of its related or affiliated entities, the \n" );
  923.   document.write("terms of the then-current Agreement, shall, as to the specific subject \n" );
  924.   document.write("matter of this Agreement, take precedence over the conflicting term(s) of \n" );
  925.   document.write("that other agreement\n" );
  926.   document.write("<p class=textSml>\n" );
  927.   document.write("<strong>18. General </strong>\n" );

  936.   document.write("obligations under this Agreement.  Upon termination, cancellation, \n" );
  937.   document.write("suspension or expiration of this Agreement for any reason and by either \n" );
  938.   document.write("party, you agree to cease all use of the My Search Applications and our \n" );
  939.   document.write("services.  Except as otherwise provided in this Agreement, you shall not \n" );
  940.   document.write("thereby be entitled to any refund or credit.  No delay or failure to enforce \n" );
  941.   document.write("any provision of this Agreement will constitute a waiver of such provision \n" );
  942.   document.write("by My Way or acts as estoppel against later enforcement.  Subject to the \n" );
  943.   document.write("terms of the Order of Precedence set forth above, this Agreement \n" );
  944.   document.write("constitutes the entire agreement between you and My Way with respect to \n" );
  945.   document.write("the specific subject matter addressed herein, and governs your use of the \n" );
  946.   document.write("My Search Applications and our services, superseding any prior \n" );
  947.   document.write("agreements between you and My Way or its affiliates or related entities \n" );
  948.   document.write("relating to such subject matter, but this Agreement may be supplemented \n" );
  949.   document.write("by any other agreement you enter into with My Way or its affiliates or \n" );
  950.   document.write("related entities pursuant to a registration to access additional My Search \n" );
  951.   document.write("Applications or services provided by My Way.  You may not assign any of \n" );
  952.   document.write("your rights or delegate any of your obligations under this Agreement \n" );
  953.   document.write("without the prior written consent of My Way.   My Way shall not be \n" );
  954.   document.write("deemed to be in breach of this Agreement due to any delay or failure of \n" );
  955.   document.write("performance or interruption in the availability of the Services resulting \n" );
  956.   document.write("directly or indirectly from any act of nature or other cause beyond the \n" );
  957.   document.write("reasonable control of My Way.  If any provision of this Agreement is found \n" );
  958.   document.write("by a court of competent jurisdiction to be invalid, the parties nevertheless \n" );
  959.   document.write("agree that the court should endeavor to give effect to the partiesÆ \n" );
  960.   document.write("intentions as reflected in the provision, and that the other provisions of \n" );
  961.   document.write("this Agreement remain in full force and effect.  Sections 2-4, 7-15 and 18 \n" );
  962.   document.write("of this Agreement will survive any expiration, cancellation or termination \n" );
  963.   document.write("of this Agreement.  The section headings used in this Agreement are for \n" );
  964.   document.write("convenience only and have no legal or contractual effect.  \n" );
