  1. IBM DARWIN INFORMATION TYPING ARCHITECTURE SPECIFICATION AGREEMENT

  3. PLEASE READ THIS IBM DARWIN INFORMATION TYPING ARCHITECTURE
  4. SPECIFICATION AGREEMENT (called the "Agreement") CAREFULLY. Your receipt
  5. of the DTD specifications relating to the Darwin Information Typing
  6. Architecture (the "Specifications") and the associated documentation
  7. files indicates your acceptance of the following terms and conditions.
  8. If you do not agree to these terms and conditions, you may not accept
  9. the Specifications or exercise any of the rights granted hereunder.
  10.  
  11. IBM hereby grants to you a worldwide, irrevocable, royalty free, non-
  12. exclusive license under IBM's copyrights in the Specifications, to copy,
  13. modify, publish and distribute the Specifications.
  14.  
  15. No other licenses are granted hereunder by implication, estoppel or
  16. otherwise.
  17.  
  18. You agree to distribute the Specifications under a license agreement
  19. that: 1) is sufficient to notify all licensees of the Specifications
  20. that IBM assumes no liability for any claim that may arise regarding the
  21. Specifications; and 2) disclaims all warranties, both express and
  22. implied, from IBM regarding the Specifications.
  23.  
  24. IBM encourages your feedback and suggestions and wants to use your
  25. feedback to improve the Specifications.  You hereby grant to IBM a
  26. royalty-free, irrevocable license under all intellectual property rights
  27. (including copyright) to use, copy, distribute, sublicense, display,
  28. perform and prepare derivative works based upon any feedback, including
  29. modifications to the Specifications, materials, fixes, error
  30. corrections, enhancements, suggestions and the like that you provide to
  31. IBM.  You represent and warrant that you possess the necessary rights in
  32. the modifications and other feedback you provide to IBM to grant the
  33. foregoing license.
  34.  
  35. IBM PROVIDES THE SPECIFICATIONS TO YOU ON AN "AS IS" BASIS, WITHOUT
  36. WARRANTY OF ANY KIND.   IBM EXPRESSLY DISCLAIMS ALL WARRANTIES AND
  37. CONDITIONS, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE
  38. IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, NON-INFRINGEMENT
  39. AND FITNESS FOR A PARTICULAR PURPOSE.

  41. NEITHER IBM NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY DIRECT OR INDIRECT
  42. DAMAGES, INCLUDING WITHOUT LIMITATION, LOST PROFITS, LOST SAVINGS, OR
  43. ANY INCIDENTAL, SPECIAL, OR OTHER ECONOMIC CONSEQUENTIAL DAMAGES,  EVEN
  44. IF IBM IS INFORMED OF THEIR POSSIBILITY.  SOME JURISDICTIONS DO NOT
  45. ALLOW  THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL
  46. DAMAGES, SO THE ABOVE EXCLUSION OR LIMITATION MAY NOT APPLY TO YOU.

  48. This Agreement does not grant you or your licensees the right to use any
  49. IBM trademark or name, except for the sole purpose of providing the
  50. required license disclaimers.
  51.  
  52. This Agreement is governed by the laws of the State of New York. You
  53. agree to comply with all applicable laws, rules and regulations,
  54. including without limitation all export and import laws, rules and
  55. regulations.

  57. This Agreement is the only understanding and agreement IBM and you have
  58. regarding your use of the Specifications.  It supersedes all other
  59. communications, understandings or agreements IBM and you may have had
  60. prior to this Agreement.
