  1. LICENSE AGREEMENT

  3. Use of "iOpus Secure Email Attachments" (hereinafter "SOFTWARE")
  4. is contingent on your agreement to the following terms:
  5.  
  6. 1. GRANT OF LICENSE
  7.  
  8. This SOFTWARE is distributed as "FREEWARE".
  9.  
  10.  
  11. 2. LIMITATION OF LIABILITY 
  12. IN NO EVENT WILL IOPUS BE LIABLE TO ANY PARTY (a) FOR ANY INDIRECT, 
  13. SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, 
  14. BUT NOT LIMITED TO, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS 
  15. INTERRUPTION, LOSS OF PROGRAMS OR INFORMATION, AND THE LIKE), OR ANY 
  16. OTHER DAMAGES ARISING IN ANY WAY OUT OF THE AVAILABILITY, USE, 
  17. RELIANCE ON, OR INABILITY TO USE THE SOFTWARE, THE IOPUS SERVICES 
  18. AND INFORMATION, VARIOUS DIRECTORIES AND LISTINGS OR ANY OTHER 
  19. 'INFORMATION', EVEN IF IOPUS SHALL HAVE BEEN ADVISED OF THE POSSIBILITY
  20. OF SUCH DAMAGES, AND REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT,
  21. TORT, OR OTHERWISE; OR (b) FOR ANY CLAIM ATTRIBUTABLE TO ERRORS, 
  22. OMISSIONS, OR OTHER INACCURACIES IN, OR DESTRUCTIVE PROPERTIES OF 
  23. ANY INFORMATION. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW 
  24. THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR 
  25. INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, IOPUS LIABILITY
  26. SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

  29. 3. DISCLAIMER OF WARRANTY
  30. THE SOFTWARE IS PROVIDED AS IS WITHOUT WARRANTY OF ANY KIND. 
  31. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IOPUS FURTHER 
  32. DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED 
  33. WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, 
  34. AND NONINFRINGEMENT.  THE ENTIRE RISK ARISING OUT OF THE USE OR 
  35. PERFORMANCE OF THE PRODUCT AND DOCUMENTATION REMAINS WITH RECIPIENT. 
  36. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 
  37. IOPUS BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, 
  38. SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT 
  39. LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, 
  40. LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF 
  41. THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE PRODUCT, EVEN 
  42. IF IOPUS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  45. 4. HIGH RISK ACTIVITIES 
  46. The Software is not fault- tolerant and is not
  47. designed or intended for use in hazardous environments requiring fail-safe
  48. performance, including without limitation, in the operation of nuclear
  49. facilities, aircraft navigation or communication systems, air traffic
  50. control, weapons systems, direct life-support machines, or any other
  51. application in which the failure of the Software could lead directly to
  52. death, personal injury, or severe physical or property damage (collectively,
  53. "High Risk Activities"). IOPUS expressly disclaims any express or implied
  54. warranty of fitness for High Risk Activities.

  57. 5. SCOPE OF GRANT
  58. You may not reverse engineer, decompile or disassemble the SOFTWARE.  
  59. IOPUS shall retain title and all ownership rights to the SOFTWARE.
  60.  
  61. 6. COPYRIGHT
  62. This SOFTWARE is protected by copyright laws and international copyright 
  63. treaties, as well as other intellectual property laws and treaties.
  64.  
  65. 7. MAINTENANCE
  66. IOPUS is not obligated to provide maintenance or updates for the SOFTWARE. 
  67. However, any maintenance or updates provided by IOPUS shall be covered by 
  68. this Agreement.
  69.  
  70. 8. DISTRIBUTION
  71. The unregistered evaluation version of the SOFTWARE may be freely distributed 
  72. provided that it is not modified and the original archive remains intact with
  73.  all accompanying files and provided that no fee is charged (except for any 
  74. reasonable fees necessary to cover costs of distribution media). Should a fee 
  75. be charged or any of the distribution package need to be modified you must 
  76. contact IOPUS for explicit written permission.

  78. BETA versions of the SOFTWARE may not be distributed without 
  79. explicit written permission.
