  10. DNEWS a NetWin LTD Product. You may for the purpose of evaluating 
  11. this product use this software for a single period, not exceeding 
  12. 2 months following the month of installation at no charge.
  13.     
  14. After that period you MUST register your copy and pay the 
  15. appropriate fee or stop using it, if you are a University or School 
  16. using this software for a NON PROFIT purpose then you can register 
  17. for free.  Schools or Universities may still wish to purchase a 
  18. support contract.
  19.  
  20. License and Support Fees:
  21. Full version with unlimited user access and 12 months standard 
  22. support and upgrades US$485 
  23. Lite version with two concurrent user access and 12 months 
  24. standard support and upgrades US$222
  25. 12 Months email support and upgrades for School or University 
  26. using DNEWS US$350
  27. Extending standard email support and upgrades for 12 months US$350
  28. Priority support with remote assistance for 12 months US$2950

  33. Standard Support/Updates includes: 
  34.     Email advice on installation configuration and management. 
  35. Free upgrades to new versions of the software during the supported period. 
  36. This level of support is provided free for the first 12 months when you 
  37. purchase a DNEWS Server license. It is recommended you continue this level
  38. of support  when you have some technical expertise in house but do not have 
  39. years of experience running news software. Response will vary depending on 
  40. your time-zone but in general all messages are responded to by the next 
  41. working day. 
  42.  
  43. Priority Support includes: 
  44.     Standard support plus direct telnet support on your machine if/when 
  45. requested. In addition your problems will be given priority when multiple 
  46. fault calls are waiting.  This level of support is recommended for commercial
  47. customers who cannot afford any down time.  Basically with this support, we 
  48. drop what we are doing and work on your problem. 
  49.  
  50.     In future support may be moved from NetWin to a nominated company 
  51. specializing in this service.
  52.  
  53. License life time: 
  54.     The license to continue using your version of the software does 
  55. not expire with your support contract. However if you wish to run  new 
  56. versions after the 1 year period then you must purchase a new license or 
  57. take up a support contract.

  60. How to register?
  61.         Open DOS Window (or from shell prompt)
  62.         tellnews register
  63.     This will ask a few questions and then create a file REGISTER.TXT
  64.     which you then email to:netwin@netwinsite.com or registerred DNEWS 
  65.     reseller. You will receive an email reply confirming your registration 
  66.     or license or support contract depending on which options you selected.

  68.     The confirmation will also include your registration key which will
  69.     disable the registration reminder notices. If your key was
  70.     ax343acd3, then to enter it you would type:
  71.         $ tellnews key ax343acd3
  72.  
  73.         We require payment before issuing a permanent license key.  Payment 
  74. by Credit Card is preferred. Payment may be made by Visa, Mastercard,
  75. American Express, cheque or bank transfer.

  84. IMPORTANT - Read this License Agreement Carefully: 
  85.  
  86. This License Agreement (LA) is a legal agreement between you 
  87. (either an individual or a single entity) and Netwin Limited for the 
  88. Netwin Software Product identified above, which includes computer software, 
  89. and may include associated media and online or other documentation 
  90. "Software Product" or "Software"). By installing, copying, or otherwise 
  91. using the Software Product, you agree to be bound by the terms of this LA. 
  92. If you do not agree to the terms of this LA, you may not install, copy or 
  93. otherwise use the above software.

  96. Software Product License
  97.  
  98. The Software Product is protected by copyright laws and international 
  99. copyright treaties, as well as other interlectual property laws and treaties. 
  100. The Software Product is licensed, not sold.
  101.  
  102. 1 Grant of License. This License Agreement grants you the following rights:
  103.  
  104. 1.1  Systems Software. You may install and use one copy of the Software Product 
  105. on a single computer,which may be connected at any point in time to an unlimited 
  106. number of computers operating on one or more networks.
  107.  
  108. 1.2  License FEES. You may use the software for a single period not exceeding 2 
  109. calendar months following the month of installation for the purpose of evaluating 
  110. the software (the evaluation period) at no charge. To use the Software beyond the 
  111. evaluation period you MUST register your copy and pay the applicable fee(s).

  113. 2. Description of other Rights and Limitations
  114.  
  115. 2.1 Limitations on Reverse Engineering, Decompilation, and Disassembly. You may 
  116. not reverse engineer, decompile, or disassemble the Software Product, except and 
  117. only to the extent that such activity is expressly permitted by applicable law 
  118. notwithstanding this limitation.

  120. 2.2  Rental. You may not lease or rent the Software Product.
  121.  
  122. 2.3  Proprietary notices. You may not remove any proprietary notices or labels 
  123. on the Software Product.
  124.  
  125. 2.4 Software Transfer. You may permanently transfer all of your rights under this 
  126. LA, provided you retain no copies, you transfer all of the Software Product 
  127. (including all component parts, the media and printed materials and any upgrades), 
  128. AND the recipient agrees to the terms of this LA. If the  Software Product is an 
  129. upgrade, any transfer  must include all prior versions of the Software Product.

  131. 2.5 Termination. You may terminate this Software Product License at any time. 
  132. In addition, without prejudice to any other rights, this Agreement and the license 
  133. granted hereunder will terminate automatically if you fail to comply with the terms 
  134. and  conditions described herein. Upon termination, you must destroy all copies of 
  135. the Software and Documentation. Your obligations to pay accrued charges and fees 
  136. shall survive any termination of this Agreement.

  138. 3. Copyright
  139. All title and copyrights in and to the Software Product, and accompanying printed 
  140. materials are owned by Netwin LTD. The Software Product is protected by copyright 
  141. laws and International treaty provisions. Therefore you must treat the software 
  142. product like any other copyrighted material except that you may either (a) make 
  143. one copy of the SOFTWARE PRODUCT solely for backup or archival purposes, or 
  144. (b) install the software product on a single computer provided you keep the 
  145. original solely for backup or archival purposes.
  146. The software DNEWS is Copyright (C) 1995 NetWin LTD, New Zealand, All rights 
  147. reserved. The software remains the sole and exclusive property of NetWin at 
  148. all times.

  150. 4. Updates and Technical Support:
  151. Upon registration and payment of appropriate fee(s) Netwin LTD for the specified 
  152. period from the date of registration of the Licensed Software will make available 
  153. to you Technical Support in the manner and under the quidelines set forth in the 
  154. Licensed Software User Documentation, which may be modified from time to time by 
  155. Netwin at its discretion without notice. Netwin may, from time to time, revise or 
  156. update the licensed software. In so doing, Netwin incurs no obligation to furnish 
  157. such revision or updates to you. Updates and further support terms are available 
  158. to you on the same basis as Netwin makes them available to its other licensees at 
  159. then current prices.

  161. 5. Disclaimer of Warranty
  162. The Software is provided on an "AS IS" basis, without warranty of any kind,
  163. including without limitation the warranties of merchantability, fitness for a 
  164. particular purpose and non-infringement. The entire risk as to the quality and 
  165. performance of the Software is borne by you. Should the Software prove defective, 
  166. you and not Netwin or its suppliers assume the entire cost of any service and repair. 
  167. In addition, the security mechanisms implemented by Netwin software have inherent 
  168. limitations, and you must determine that the Software sufficiently meets your 
  169. requirements. This disclaimer of warranty constitutes an essential part of the agreement.

  171. 6  Limitation of Liability
  172. To the maximum extent  permitted by applicable law, any conditions or warranties 
  173. imposed or implied by law are hereby excluded. Consumers may however have the 
  174. benefit of certain rights or remedies in respect of which liability may not be 
  175. excluded. Insofar as such liability may not be excluded then to the maximum extent 
  176. permitted by law, such liability is limited, at Netwin's exclusive option, to  
  177. either (a) the price paid for the SOFTWARE or (b)replacement of the SOFTWARE.

  179. 7.Exclusion of Liability/Damages
  180. The following is without prejudice to any rights you may have at law which cannot 
  181. legally be excluded or restricted. You acknowledge that no promise, representation, 
  182. warranty or undertaking has been made or given by Netwin (or related company ) to 
  183. any person or company on its behalf in relation to the profitability of or any other 
  184. consequences or benefits to be obtained from the delivery or use of the SOFTWARE and 
  185. any accompanying Netwin Supplied software, manuals or other materials. You have relied 
  186. upon your own skill and judgment in deciding to acquire the SOFTWARE and any 
  187. accompanying manuals and other materials for use by you. Except as and to the extent 
  188. provided in this agreement, neither Netwin nor any related company will in any 
  189. circumstances be liable for any other damages whatsoever (including, without 
  190. limitation, damages for loss of business, business interruption, loss of business 
  191. information or other indirect or consequential loss) arising out of the use, or 
  192. inability to use, or supply or non-supply, of the software and any accompanying 
  193. written materials). Netwin's total liability under any provision of this agreement 
  194. is in any case limited to the amount actually paid by you for the software.

  197. NetWin will make reasonable efforts to solve any reported problems but we must limit 
  198. our legal liability for obvious reasons to an extent which is proportionate to the 
  199. commercial value of this transaction.
