  1. CLIENT LICENSE AGREEMENT
  2. "THE PALACE(tm)" SOFTWARE
  3.  
  4. BEFORE CLICKING ON THE "I AGREE" BUTTON,
  5. CAREFULLY READ THIS LICENSE AGREEMENT.
  6. TPI IS WILLING TO GRANT TO YOU A RIGHT TO USE "THE PALACE" SOFTWARE
  7. PRODUCT ONLY IF YOU AGREE TO THE TERMS OF THIS LICENSE AGREEMENT.
  8. BY CLICKING ON THE "I AGREE" BUTTON, YOU AGREE TO THE TERMS OF 
  9. THIS LICENSE AGREEMENT.  IF YOU DO NOT AGREE TO THE TERMS OF 
  10. THIS LICENSE AGREEMENT, DO NOT CLICK ON THE "I AGREE" BUTTON 
  11. AND DO NOT USE THIS PRODUCT.

  13. 1. Scope of License.
  14. The Palace Inc. ("TPI") grants to you a nonexclusive right to use a 
  15. single copy of the "THE PALACE" software product (the "Software").  
  16.  
  17. 2. No Illegal, Tortious or Indecent Use.
  18. You agree that your use of the Software will comply with all applicable 
  19. laws, and that you will not use the Software to transmit illegal, 
  20. pornographic or indecent material, to commit tortious or 
  21. disruptive acts, or to violate any rights of any person.  
  22. TPI takes no responsibility for monitoring any internet site or any 
  23. use of any TPI products by any person.  However, TPI retains the 
  24. right to rescind this agreement and terminate your right to use 
  25. the Software, without notice, if your use of the Software violates 
  26. any law or the rights of any person.

  28. 3. List of "THE PALACE" Internet Sites.
  29. TPI may publish one or more lists and/or links to internet sites 
  30. operated by TPI customers.  The existence of any such list 
  31. and/or link does not imply TPI's control, endorsement, approval 
  32. or sponsorship of  such sites.  TPI may add or remove sites 
  33. on the list(s) and/or links at its sole discretion.  You have no 
  34. right to be included on any such list and/or link.  
  35.  
  36. 4. Restrictions.  
  37. You may not use the Software for any commercial use.  You 
  38. agree that you shall not (a) decompile, disassemble, reverse 
  39. engineer or otherwise attempt to discover any source code or 
  40. underlying trade secrets pertaining to the Software, or (b) modify the Software or any graphic generated by use of the Software.

  42. 5. Rights Retained by TPI.  
  43. TPI retains all intellectual property rights in the Software, including 
  44. copyrights, trademarks and trade names.  The copyright to the 
  45. Software is protected by United States copyright laws and international 
  46. treaty provisions.

  48. 6. Remedies for Breach.  
  49. TPI may terminate your right to use the Software if you breach 
  50. any provision of this agreement.
  51.  
  52. 7. No Warranties.  
  53. TPI DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY 
  54. OR FITNESS FOR A PARTICULAR PURPOSE.

  56. 8. Limitations of Liability.  
  57. TPI WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR 
  58. CONSEQUENTIAL DAMAGES, EVEN IF TPI SHALL HAVE BEEN INFORMED OF 
  59. THE POSSIBILITY OF SUCH DAMAGES.  
  60.  
  61. THESE LIMITATIONS OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR 
  62. DEATH OR PERSONAL INJURY TO THE EXTENT APPLICABLE LAW PROHIBITS 
  63. SUCH LIMITATION.  
  64.  
  65. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL 
  66. OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND EXCLUSION MAY NOT 
  67. APPLY TO YOU.

  69. 9. Miscellaneous.  
  70. This agreement may be amended only by a written agreement executed 
  71. by both parties.  If any provision of this agreement is held to 
  72. be unenforceable, this agreement and your right to use the Software 
  73. shall terminate.  This agreement shall be governed by and construed 
  74. under California law, except as preempted by Federal law.  This agreement 
  75. will not be governed by the United Nations Convention on Contracts 
  76. for the International Sale of Goods, the application of which is 
  77. hereby expressly excluded.

  79. 10. U.S. Government Restrict Rights.  
  80. The Software and documentation are provided with restricted rights.  
  81. Use, duplication, or disclosure by the Government is subject to 
  82. restrictions as set forth in subparagraph (c)(1)(ii) of the Rights 
  83. in Technical Data and Computer Client clause at DFARS 252.227-7013 
  84. or subparagraphs (c)(1) and(2) of the 
  85. Commercial Computer Client - Restrict Rights at 48 CFR 52.227.19, 
  86. as applicable.  Contractor/manufacturer is
