  5. Corporate and Governmental Site License

  7. This is a license for use of the software within your company or
  8. goverment agency, and is not transferable.  This allows internal
  9. use and copying of the software for as many sites / computers as
  10. contracted for.  (See MAILER.TXT for Site License price
  11. schedule).  An unlimited Site License allows unlimited copying
  12. of the software for internal use by your company or government
  13. agency.  Distributing, repackaging, or reselling of the software
  14. to third parties is not allowed.  All licenses are prepaid.

  19. Commercial and Governmental Use
  20. This allows distribution of the SPUTTER software with software
  21. that is distributed by your company or government agency.
  22. This license is non-exclusive and non-transferable.  Please
  23. complete and return the application for a distribution license
  24. on the reverse side of this form.  Once we receive the completed
  25. application, you will be sent a written quote for a one time
  26. Distribution License fee.  A sample Distribution Agreement
  27. is enclosed.  All licenses are prepaid.

  29. Private Use

  31. This license is not necessary for clubs or user groups distributing 
  32. the software on a SHAREWARE basis, providing that the entire 
  33. SPUTTER package with accompanying documentation files is 
  34. included in the distribution, and no more than a nominal fee (not to 
  35. exceed $10) is charged for such distribution.

  38. Custom Versions of the Software
  39.  
  40. If you require any modifications or changes to the software,
  41. please include detailed written information describing all
  42. changes you are interested in.  Customization fees will be based
  43. on the extent of the modifications required to the software so
  44. it performs as you describe.  Depending on the changes
  45. requested, please allow six to eight weeks for custom versions
  46. of the software.

  48. Availability of Source Code

  50. It is the policy of VERSAWARE, Inc. not to release source code of
  51. its products.

  78. warranties of merchantability or fitness for a particular purpose. 
  79. VERSAWARE will not be liable for any special, incidental, consequential, 
  80. indirect or similar damages due to loss of data or any other reason, 
  81. even if VERSAWARE or an agent of VERSAWARE has been advised of the possibility 
  82. of such damages.  In no event shall VERSAWARE's liability for any damages 
  83. ever exceed the price paid for the license to use the software, 
  84. regardless of the form of the claim.  The person using the software 
  85. bears all risk as to the quality and performance of the software.

  87. This agreement shall be construed and enforced in accordance with the 
  88. laws of the STATE OF MASSACHUSETTS.  Any action or proceeding brought by 
  89. either party against the other arising out of or related to this 
  90. agreement shall be brought only in a STATE or FEDERAL COURT of competent 
  91. jurisdiction located in Middlesex county, Massachusetts.  The parties hereby 
  92. consent to in personam jurisdiction of said courts.

  121. This agreement entered into, by and between VERSAWARE, a Massachusetts 
  122. company, located at 30 Jennifer Street, Littleton, Massachusetts 01460
  123. (herein after referred to as "LICENSOR"), and <COMPANY NAME> a <STATE>

  125. referred to as "LICENSEE").
