  1.                CMB SOFTWARE LICENSE AGREEMENT

  4.      1. GRANT OF LICENSE. CMB SOFTWARE grants to you the
  5. nonexclusive right to use one copy of the identified CMB SOFTWARE
  6. program (the "SOFTWARE") on a single terminal connected to a single
  7. computer in accordance with the terms of this Software License. You
  8. may use the SOFTWARE on a network server only if you have obtained
  9. a separate license for each terminal or computer that has the ability to
  10. access the SOFTWARE from such network server.  CMB SOFTWARE
  11. reserves all rights not expressly granted to you.  This license is effective
  12. on the date you install the SOFTARE and will remain in force until
  13. terminated.  CMB SOFTWARE may terminate this license if you fail to
  14. comply with this License Agreement.  If this package is an update to a
  15. previously licensed version of the SOFTWARE, you must either keep the
  16. preceding versions of the SOFTWARE (including disks and
  17. documentation)with the update or you must destroy the prior versions of
  18. the SOFTWARE.

  20.      2. COPYRIGHT.  The SOFTWARE is owned by CMB
  21. SOFTWARE and is protected by United States copyright
  22. laws and international treaty provisions.  Therefore, you must comply
  23. with such laws and treaties in your use of the SOFTWARE.  You may not
  24. copy the SOFTWARE except that you may either (a) make one copy of
  25. the SOFTWARE solely for backup or archival purposes, or (b) you may
  26. transfer the SOFTWARE to a single hard disk provided that you keep the
  27. original solely for backup or archival purposes.  You may not copy the
  28. written materials accompanying the SOFTWARE. You may not publish,
  29. sublicense, distribute or modify the SOFTWARE or documentation or
  30. any copy without prior written consent of CMB SOFTWARE.

  32.      3.  OTHER RESTRICTIONS.  You may not sell, rent, lease or
  33. assign the SOFTWARE, but you may transfer your rights under this
  34. Agreement, provided you transfer all copies of the SOFTWARE along
  35. with written materials and the recipient agrees to the terms if this License
  36. Agreement.  Any transfer must include the most recent update and all
  37. prior versions.  Exportation of technical materials is controlled by the
  38. United States government and you must comply with the then applicable
  39. United States export laws in your use or transfer of the SOFTWARE and
  40. accompanying materials.  You may not reverse engineer, decompile, or
  41. disassemble the SOFTWARE.

  44.                     LIMITED WARRANTY
  45.  
  46. LIMITED WARRANTY.  CMB SOFTWARE warrants that the
  47. SOFTWARE will perform substantially in accordance with the
  48. accompanying written materials for a period of 90 days from the date of
  49. receipt.
  50.  
  51. CUSTOMER REMEDIES.  CMB SOFTWARE'S entire liability for any
  52. failure of the SOFTWARE to comply with the forgoing Limited
  53. Warranty and your exclusive remedy shall be, at CMB SOFTWARE╞S
  54. option, either (a) return of price paid or (b) repair or replacement of the
  55. SOFTWARE that does not meet CMB SOFTWARE╞S Limited
  56. Warranty and which is returned to CMB SOFTWARE with a copy of
  57. your receipt.  This Limited Warranty is void if failure of the SOFTWARE
  58. has resulted from accident, abuse, or misapplication.  Any replacement
  59. SOFTWARE will be warranted for the remainder of the original warranty
  60. or 30 days, whichever is longer.  In the event of refund this License
  61. Agreement shall terminate.

  63. NO OTHER WARRANTIES.  CMB SOFTWARE DISCAIMS ALL
  64. OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED,
  65. INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF
  66. MERCHANTABILITY AND FITNESS FOR A PARTICULAR
  67. PURPOSE, WITH RESPECT TO THE SOFTWARE, THE
  68. ACCOMPANYING WRITTEN MATERIALS, AND ANY
  69. ACCOMPANYING HARDWARE.

  71. NO LIABILITY FOR DAMAGES.  IN NO EVENT SHALL CMB
  72. SOFTWARE OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES
  73. WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DIRECT
  74. DAMAGES, CONSEQUENTIAL DAMAGES AND OTHER
  75. PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY
  76. TO USE THIS CMB SOFTWARE PRODUCT, EVEN IF CMB
  77. SOFTWARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
  78. DAMAGES.

  81.                U.S. GOVERNMENT RESTRICTED RIGHTS
  82.  
  83. The SOFTWARE and documentation are provided with RESTRICTED
  84. RIGHTS.  Use, duplication by the Government is subject to restrictions
  85. as set forth in subdivision (c)(1)(ii) of The Rights in Technical Data and
  86. Computer Software clause at DFARS 252.227-7013 or subparagraphs
  87. (c)(1) and (2) of the Commercial Computer Software-Restricted Rights at
  88. 48 CFR 52.227-19, as applicable.  Contractor/manufacturer is CMB

  91. This Software License Warranty statement constitutes the entire
  92. agreements between you and CMB SOFTWARE regarding the
  93. SOFTWARE and all accompanying materials.  If any provision is found
  94. to be invalid by a court competent jurisdiction, the balance of the
  95. provisions shall remain in full force  and effect.  THIS AGREEMENT IS
  96. GOVERNED BY THE LAWS OF THE STATE OF ILLINOIS, U.S.A.,
  97. BUT NOT INCLUDING THE 1980 U.N. CONVENTION ON
  98. CONTRACTS FOR INTERNATIONAL SALES OF GOODS.
