  1.                   ENTERTAINMENT ONLINE LIMITED
  2.                   ("E-On") SUBSCRIBER AGREEMENT
  3.  
  4.                        NOTICE
  5.  
  6.                        1. E-On provides an online computer games and
  7.                        communications service. Access to the E-On Homepage, Digital
  8.                        Shop and Magazines is free of charge. This Agreement relates to
  9.                        the Subscriber's access to, and use of, E-On's interactive Online
  10.                        and Downloadable computer games ("the Games Service")
  11.                        which are accessed via a hotlink on E-On's homepage and for
  12.                        which a charge is levied. You must be a Subscriber to access
  13.                        and use the Games Service. 
  14.  
  15.                        2. You become an authorised user of the Games Service
  16.                        ("Subscriber") by completing the enrolment process. To
  17.                        complete the enrolment process, you must agree to all the terms
  18.                        and conditions contained in this Agreement and your continued
  19.                        acceptance of this Agreement is a condition of subscription. This
  20.                        Agreement is between you and E-On. 
  21.  
  22.                        3. If you accept the terms of this Agreement, please click the
  23.                        "Accept" button at the bottom of this page. If you do not accept
  24.                        the terms of this Agreement and do not wish to become a
  25.                        Subscriber, please click "Stop" to discontinue the enrolment
  26.                        process. You may save a copy of this Agreement now or at any
  27.                        time in the future by choosing the "Save As" option from the
  28.                        "File" menu in your browser whilst displaying this page.

  30.                        THIS IS A LEGAL DOCUMENT. BY
  31.                        COMPLETING THE ENROLMENT PROCESS,
  32.                        YOU AGREE TO THE TERMS AND
  33.                        CONDITIONS OF THIS AGREEMENT JUST AS
  34.                        IF YOU HAD SIGNED A PRINTED VERSION.

  36.                        CONDITIONS OF USE
  37.  
  38.                        4. E-On shall assign the Subscriber a password to be used for
  39.                        gaining access to the Games Service. The Subscriber shall keep
  40.                        the password safe, secure and confidential. The confidentiality of
  41.                        the Subscriber's password is the Subscriber's sole responsibility.
  42.                        The Subscriber should change the password regularly. The
  43.                        Subscriber's right to use the Games Service is not transferable
  44.                        and the Subscriber should not divulge the password to any third
  45.                        party. However, with the Subscriber's permission and
  46.                        supervision, this password may be used by another person in the
  47.                        Subscriber's own household to access the Games Service. Only
  48.                        one person is authorised to access the Games Service at any
  49.                        given time with one password. The Subscriber shall be
  50.                        responsible for all use of the Games Service accessed with the
  51.                        Subscriber's password.

  53.                        5. The Subscriber agrees to supervise usage of the Games
  54.                        Service by minors whom the Subscriber permits access to the
  55.                        Games Service. 
  56.  
  57.                        6. The Subscriber agrees to indemnify E-On against liability for
  58.                        any and all use of the Subscriber's account. 
  59.  
  60.                        7. Access to, and use of, the Games Service is charged at the
  61.                        rates displayed in the Registration and Questions and Answers
  62.                        section of the E-On Web Site. The Subscriber shall be billed
  63.                        monthly in advance. The Subscriber agrees to pay all the monthly
  64.                        charges incurred on the Subscriber's account in accordance with
  65.                        this Agreement and the rates in effect for the billing period in
  66.                        which those charges are incurred. The Subscriber shall pay the
  67.                        applicable local sales tax on any charges incurred by the
  68.                        Subscriber. The monthly charge is payable either by direct debit
  69.                        or is charged to the Subscriber's credit or debit card.

  71.                        8. The Subscriber is responsible for and must provide all
  72.                        telephone and other equipment and services and any browser
  73.                        software necessary to access the Games Service. 
  74.  
  75.                        9. The Subscriber expressly agrees that use of the Games
  76.                        Service is at the Subscriber's sole risk. Neither E-On nor any of
  77.                        its licensors, employees, agents, or third party suppliers warrant
  78.                        that the Games Service will be uninterrupted or error free. The
  79.                        Games Service is provided on an "as is" basis without warranties
  80.                        of any kind, either express or implied, including but not limited to
  81.                        warranties of title or implied warranties of merchantability or
  82.                        fitness for a particular purpose or otherwise, other than those
  83.                        warranties which are implied by and incapable of exclusion,
  84.                        restriction, or modification under the laws applicable to this
  85.                        Agreement. Neither E-On nor anyone else involved in creating,
  86.                        producing or delivering the Games Service shall be liable for any
  87.                        direct, indirect, incidental, special or consequential damages
  88.                        arising out of use of the service or inability to use the service or
  89.                        out of any breach of any warranty. The Subscriber expressly
  90.                        acknowledges that the provision of this paragraph shall also
  91.                        apply to all third party content and any other content available
  92.                        through the Games Service. The Subscriber agrees that it will not
  93.                        in any way hold E-On responsible for any selection or retention
  94.                        of, or the acts or omissions of, third parties in connection with
  95.                        the service.

  97.                        10. The Subscriber may not reproduce, redistribute, retransmit,
  98.                        publish or otherwise transfer, or commercially exploit, any
  99.                        information, software or other content to which they have access
  100.                        in the Games Service. 
  101.  
  102.                        11. The Subscriber agrees not to publish in the Games Service
  103.                        any information or other content which violates or infringes upon
  104.                        the rights of any other individual or which would be abusive,
  105.                        profane, indecent, or obscene or any information containing any
  106.                        advertising, promotion or solicitation of goods or services for
  107.                        commercial purposes. The Subscriber agrees not to use the
  108.                        Games Service to conduct any business or activity or to solicit
  109.                        the performance of any activity which is prohibited by law or to
  110.                        solicit Subscribers to become subscribers of any other online
  111.                        games service.

  113.                        12. Notwithstanding the acknowledgement by E-On of any
  114.                        communication from the Subscriber, any provision or condition
  115.                        in any communication from the Subscriber which is in any way
  116.                        inconsistent with, or in addition to, the provisions of this
  117.                        Agreement is null and void. Neither the course of conduct
  118.                        between parties nor trade practice shall act to modify the
  119.                        provisions of this Agreement. If any provision of this Agreement
  120.                        is determined to be invalid, all other provisions shall remain in full
  121.                        force and effect.

  123.                        13. The Subscriber agrees to indemnify and hold E-On harmless
  124.                        from any and all claims and expenses, including reasonable legal
  125.                        fees, incurred by E-On due to the Subscriber's violation of this
  126.                        Agreement. 
  127.  
  128.                        14. This Agreement may be terminated at any time either by the
  129.                        Subscriber or E-On. If the Subscriber terminates this Agreement
  130.                        prior to the end of a billing period, E-On shall be under no
  131.                        obligation to refund to the Subscriber any charges paid by the
  132.                        Subscriber for that billing period. In order for you to cancel your
  133.                        E-on subscription you must give notice in writing. (There is a
  134.                        section entitled: 'How do I change or view my personal details'
  135.                        within the 'Questions and Answers' area which offers the facility
  136.                        to cancel your subscription) 
  137.  
  138.                        15. E-On reserves the right at its sole discretion to modify this
  139.                        Agreement and to discontinue or revise any or all content in the
  140.                        Games Service. E-On reserves the right at its sole discretion to
  141.                        suspend or terminate access to any Subscriber at any time.

  143.                        16. This Agreement constitutes the entire and only agreement
  144.                        between E-On and the Subscriber. 
  145.  
  146.                        17. This Agreement is governed by and construed in accordance
  147.                        with the law of England and English jurisdiction shall apply. The
  148.                        Subscriber agrees that any cause of action of the Subscriber or
  149.                        its designated user(s) with respect to the Games Service must be
  150.                        instituted within one year after the claim or cause of action has
  151.                        arisen or it shall be barred.
