  1. CALIDO SOFTWARE INC. LICENSE AGREEMENT

  5. This is a legal agreement between you (either an individual or an
  6. entity) and Calido Software Inc.("Calido").  By accessing and
  7. using the software, you are agreeing to be bound by the terms of
  8. this Agreement.  If you do not agree to the terms of this Agreement,
  9. you are not authorized to use the software.
  10.  
  11. CALIDO LICENSE AGREEMENT
  12.  
  13.     1.    GRANT OF LICENSE TO USE.  Calido Software Inc.
  14. ("Calido") grants to you the non-exclusive right to use the
  15. Calido software and electronic text files comprising the
  16. documentation (the "SOFTWARE") on a single computer for the purpose
  17. for which the software was designed. Calido reserves all rights not 
  18. expressly granted.

  20.     2.    COPYRIGHT. The SOFTWARE is owned by Calido or its
  21. suppliers and is protected by Canadian copyright laws and
  22. international treaty provisions.  Therefore, you must treat the
  23. SOFTWARE like any other copyrighted material (e.g., a book or
  24. musical recording).  You may not use or copy the SOFTWARE for any
  25. other purpose than what is described in this Agreement.  Except as
  26. provided herein, Calido does not grant any express or implied
  27. right to you to or under Calido patents, copyrights, trademarks,
  28. or trade secret information.

  30.     3.    OTHER RESTRICTIONS. You may not rent or lease the
  31. SOFTWARE, but you may transfer the SOFTWARE and accompanying written
  32. materials on a permanent basis provided you retain no copies and the
  33. recipient agrees to the terms of this Agreement.  If the SOFTWARE is
  34. an update or has been updated, any transfer must include the most
  35. recent update and all prior versions.  You may not reverse engineer,
  36. decompile or disassemble the SOFTWARE except to the extent that the
  37. foregoing restriction is expressly prohibited by applicable law.

  40. NO WARRANTIES.  To the maximum extent permitted by applicable law,
  41. Calido expressly disclaims any warranty for the SOFTWARE.  The
  42. SOFTWARE and any related documentation is provided "as is" without
  43. warranty of any kind, either express or implied, including, without
  44. limitation, the implied warranties or merchantability or fitness for
  45. a particular purpose.  The entire risk arising out of use or
  46. performance of the SOFTWARE remains with you.

  48. NO LIABILITY FOR CONSEQUENTIAL DAMAGES.  To the maximum extent
  49. permitted by applicable law, in no event shall Calido or its
  50. suppliers be liable for any damages whatsoever (including, without
  51. limitation, damages for loss of business profit, business
  52. interruption, loss of business information, or any other pecuniary
  53. loss) arising out of the use or inability to use this Calido
  54. product, even if Calido has been advised of the possibility of
  55. such damages.  Because some jurisdictions do not allow the
  56. exclusion or limitation of liability for consequential or incidental
  57. damages, the above limitation may not apply to you.

  59. If you acquired this product in Canada, this Agreement is
  60. governed by the laws of the Province of Alberta.  If you acquired
  61. this product outside Canada, local law may apply.
