  2.                    SOFTWARE EVALUATION LICENSE

  4.     MADEIRA SOFTWARE, INC. ("LICENSOR") IS WILLING TO LICENSE THE
  5. ATTACHED  SOFTWARE TO YOU ONLY IF YOU ACCEPT ALL OF THE TERMS  IN
  6. THIS  LICENSE  AGREEMENT. PLEASE READ THE TERMS CAREFULLY  BEFORE
  7. YOU  INSTALL THIS PACKAGE, BECAUSE BY CONTINUING THE INSTALLATION
  8. YOU  ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT.  IF
  9. YOU  DO NOT AGREE TO THESE TERMS, LICENSOR WILL NOT LICENSE  THIS
  10. SOFTWARE  TO  YOU,  AND  IN  THAT  CASE  YOU  SHOULD  ABORT   THE
  11. INSTALLATION AND REMOVE THIS PACKAGE FROM YOUR MACHINE.

  13. OWNERSHIP OF THE SOFTWARE
  14.  
  15. 1.  The  enclosed Licensor software program ("Software") and  the
  16. accompanying  written materials are owned  by  Licensor  and  are
  17. protected  by  United States copyright laws,  by  laws  of  other
  18. nations, and by international treaties.
  19.  
  20. GRANT OF LICENSE
  21.  
  22. 2.  Licensor grants to you the right to use this Software  solely
  23. for  the purpose of evaluating whether to purchase a full license
  24. to  use the Software. The period of evaluation shall be not  more
  25. than 90 days from the date of first use.
  26.  
  27. RESTRICTIONS ON USE AND TRANSFER
  28.  
  29. 3.  You  may  freely transfer the Software to another  individual
  30. provided  the  complete package is transferred in  an  unmodified
  31. form, and the transferee agrees to be bound by the terms of  this
  32. Agreement.
  33.  
  34. 4.  Except as  provided in  section 5  below, you  may not redis-
  35. tribute  the Software on  any CDROM,  magnetic media,  electronic  
  36. bulletin  board, online  service, or Internet  site  without  the 
  37. express written permission of the Licensor.
  38.  
  39. 5.  Members of the  Association of  Shareware Professionals (ASP)
  40. are  free to redistribute the  Software under the  guidelines set
  41. forth  by  that  group;  all others  must  consult  the  attached 
  42. VENDINFO.DIZ data record,  which is hereby incorporated by refer-
  43. ence.  Any distribution  satisfying  all of the  requirements set 
  44. forth in that data record is hereby authorized.

  46. 6.  You  may not reverse engineer, decompile, or disassemble  the
  47. Software.

  49. LIMITATIONS
  50.  
  51. 7.  As this is a license for evaluation only, THE PRODUCT AND ANY
  52. SUPPORT  FROM SUPPLIER ARE PROVIDED "AS IS" AND WITHOUT WARRANTY,
  53. EXPRESS  OR IMPLIED. SUPPLIER SPECIFICALLY DISCLAIMS ANY  IMPLIED
  54. WARRANTIES  OF  MERCHANTABILITY  AND  FITNESS  FOR  A  PARTICULAR
  55. PURPOSE.  IN  NO EVENT WILL SUPPLIER BE LIABLE FOR  ANY  DAMAGES,
  56. INCLUDING  BUT NOT LIMITED TO ANY LOST PROFITS, LOST  SAVINGS  OR
  57. ANY  INCIDENTAL OR CONSEQUENTIAL DAMAGES, WHETHER RESULTING  FROM
  58. IMPAIRED OR LOST DATA, SOFTWARE OR COMPUTER FAILURE OR ANY  OTHER
  59. CAUSE,  EVEN  IF SUPPLIER IS ADVISED OF THE POSSIBILITY  OF  SUCH
  60. DAMAGES, OR FOR ANY OTHER CLAIM BY TESTER OR FOR ANY THIRD  PARTY
  61. CLAIM.

  63. MISCELLANEOUS

  65. 8.  This  Agreement  is  governed by the laws  of  the  State  of
  66. Massachusetts.
