  3.                                                   CREATIVE SOFTWARE LICENSE

  6. This Agreement sets forth the license terms and conditions for using
  7. the enclosed software Driver/Program ("Software").
  8.  
  9. This License is effective until terminated. You may terminate it at
  10. any time by destroying the Software together with any copies currently
  11. in your posession. The License also terminates if you fail to comply
  12. with the terms and conditions of this Agreement.

  15. 1.      GRANT OF LICENSE.  Creative Technology Limited ("Creative"),
  16.     grants to you the right to use all or a portion of this
  17.     Software provided that (i) the Software is not distributed
  18.     for profit; (ii) the Software is used only in conjunction
  19.     with Creative's family of products; (iii) the Software may
  20.     NOT be modified; (iv) all copyright notices are maintained
  21.     on the Software; and (v) the licensee/end user agrees to be
  22.     bound by the terms of this Agreement.

  24. 2.      COPYRIGHT.  The Software is owned by Creative and is
  25.     protected by United States copyright laws and international
  26.     treaty provisions. You may not remove the copyright notice
  27.     from any copy of the Software or any copy of the written
  28.     materials, if any, accompanying the Software.

  30. 3.      OTHER RESTRICTIONS.  This License Agreement is your proof
  31.     of license to exercise the rights granted herein and must
  32.     be retained by you.  You may not rent or lease the Software.
  33.     You may not reverse engineer, decompile or disassemble the
  34.     Software.

  36.     NO WARRANTY.  ANY USE BY YOU OF THE SOFTWARE IS AT YOUR
  37.     OWN RISK.  THE SOFTWARE IS PROVIDED FOR USE ONLY WITH 
  38.     CREATIVE'S HARDWARE AND RELATED SOFTWARE.  THE SOFTWARE
  39.     IS PROVIDED FOR USE "AS IS" WITHOUT WARRANTY OF ANY KIND.
  40.     TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREATIVE DISCLAIM
  41.     ALL WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED,
  42.     INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF
  43.     MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
  44.     CREATIVE IS NOT OBLIGATED TO PROVIDE ANY UPDATES TO THE
  45.     SOFTWARE.
  46.  
  47.     NO LIABILITY FOR CONSEQUENTIAL DAMAGES.  In no event shall
  48.     Creative be liable for any damages whatsoever (including,
  49.     without limitation, incidental, direct, indirect special and
  50.     consequential damages, damages for loss of business profits,
  51.     business interruption, loss of business information, or other
  52.     pecuniary loss) arising out of the use or inability to use
  53.     this Creative product, even if Creative has been advised of
  54.     the possibility of such damages.  Because some states/
  55.     countries do not allow the exclusion or limitation of
  56.     liability for consequential or incidental damages, the above
  57.     limitation may not apply to you.

  59.     INDEMNIFICATION BY YOU.  If you distribute the Software in
  60.     violation of this Agreement, you agree to indemnify, hold
  61.     harmless and defend Creative from and against any claims or
  62.     lawsuits, including attorney's fees that arise or result from
  63.     the use or distribution of the Software in violation of this
  64.     Agreement.

  67. This Agreement shall be construed, interpreted and governed by the
  68. laws of the State of California, except the federal laws which govern
  69. the copyrights and registered trademarks. You agree that this is the
  70. complete and exclusive statement of the Agreement between you and
  71. Creative which supersedes any proposal or prior agreement, oral or
  72. written, and any other communications between us regarding the subject
  73. of this Agreement. If any provision of this Agreement is found
  74. unenforceable, it will not affect the validity of this Agreement, which
  75. shall remain valid and enforceable according to its terms.
