  41. :       in a friendly manner how some major business decision should

  44. : Does anyone have suggestions on what type of "partnership" they should
  45. : set-up?  Do you have any suggestions on books which cover this
  46. : subject?  My brother wants to keep it simple, but I told him to make
  47. : sure it's all in writing.

  50. : lawyer to write the final document.  I suggested at a minimum that the
  51. : document should spell out:

  55. :     - Who will be legally responsible for the animals should they
  56. :       damage something or hurt someone.
  57. :     - What the terms and conditions for dissolving the partnership

  61. :     - Who retains ownership of the animals or the cages if the
  62. :       partnership is resolved or it one of the partners leaves.
  63. :     - What happens if they run out of capital before they get any

  65. :     - That binding arbitration would be used to resolve disputes.

  76. Being involved in one business gone bad, I'm glad that I had the following:
  77.  
  78.     -legal partnership agreements stating:
  79.                 -amount of intitial investment
  80.                 -role performance
  81.                 -legal obligations
  82.                 -penalties
  83.     -legal corporate stock in the company.
  84.     -exactly 50% ownership
  85.     -ledger of all APIC (additional paid in capitol)
  86.     -CPA doing all the acounting work.
  87.     -personally check the bank statements every month
  88.
