QVADIS EXPRESS READER GT 1.10

TERMS OF USE

This program contains or will install the software specified above, which
may be in a Beta, Demo, Evaluation, or Registered Version.

Beta Versions are still under development and can contain bugs; while we
welcome your feedback on Beta software, please be advised that Qvadis does
not provide support for Beta software.

Demo Versions provide a way to demonstrate or present a program. The
software is otherwise non-functioning, and may consist primarily of
screenshots of the software.

Evaluation Versions provide a way for users to try a program before
purchasing, or registering it. After using an Evaluation Version for a
defined trial period, the user must purchase a Registered Version, or remove
the software from their system.

Registered Versions are complete versions of the product, obtained after
paying a registration or license fee. Normally, after payment, the user is
provided with a registration key code to input to an Evaluation Version of
the software, turning it into a Registered Version.

These terms and conditions, licenses and limited warranties apply to all
versions of the software, unless specifically indicated.

Files necessary to operate the software will be installed onto your personal
computer, handheld, or palmtop system. Other system files may be installed
or updated and registry entries may be made. Uninstalling the program will
not necessarily remove all of the installed files or registry entries. As with
all installations, it is recommended that you back up your hard drive or
memory before you install this program. Prior to running a Windows-based
installation program, it is strongly recommended that you exit all other
Windows programs.

This software is protected by copyright laws and international treaty
provisions and may only be used in accordance with the following license
terms and conditions. Do not download, "unzip", open, install or use the
software, click on any "accept" button related to the software, or open any
related package, until you have read and accepted all of the license terms.
Any of these actions will be deemed to be complete and unconditional
acceptance of the license terms. Acceptance will bind you to the license
terms in a legally enforceable contract with Qvadis Corporation.

END USER LICENSE AGREEMENT AND WARRANTY DISCLAIMER

This is an agreement between you, the end user, and Qvadis Corporation
("Qvadis"). By downloading, "unzipping", opening, installing, copying, or
otherwise using this software, you agree to become bound by the terms of
this agreement.

IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO
NOT DOWNLOAD, "UNZIP", OPEN, INSTALL, COPY OR USE THIS
SOFTWARE. PROMPTLY REMOVE IT FROM YOUR COMPUTER.

1. COPYRIGHT, TITLE AND OWNERSHIP. Qvadis retains the
copyright, title and ownership of this software product, which
includes computer software and may include associated media,
printed materials, online or electronic documentation and any
associated materials regardless of the form of the media in which
the original and other copies may exist (hereinafter the
"software"). Any supplemental software code or materials provided
by Qvadis as part of any support or other service shall be
considered part of the software and subject to the same provisions.
This software is protected by copyright laws and international
treaty provisions, and is licensed, not sold.

2. GRANT OF LICENSE. Qvadis, as Licensor, grants to you, the
Licensee, a non-exclusive right to use this software during the term
of the evaluation period in accordance with the terms contained in
this license. You may install and use one copy of the software per
one personal computer and/or one palmtop device.

3. REPRODUCTION AND DISTRIBUTION.  You may not
reproduce or distribute any copies of the software without the prior
permission of Qvadis. If such permission is granted, the copy shall
be a true and complete copy, including all terms of use, copyright
and trademark notices, and shall be accompanied by a copy of this
End User License Agreement and Warranty Disclaimer. Qvadis
hereby grants you such permission for Demo and Evaluation
Versions of the software.

4. TRANSFER. You may permanently transfer all of your rights
under this software License and Limited Warranty, provided the
recipient and Qvadis both agree to the terms of this software
License and Limited Warranty.

5. TERM. This License commences upon the installation of the
software and, for all versions except Registered Versions of the
software, has a limitation on effectiveness of thirty (30) days
following the date you install the software. This License terminates
automatically without notice from Qvadis upon the expiration of
the evaluation term or if you fail to comply with any provision of
this License. Upon termination you must destroy all copies of the
software and all component parts in your possession.

6. REVERSE ENGINEERING AND COMPONENTS. You may not
reverse engineer, decompile or disassemble the software, except
and only to the extent that such activity is expressly permitted by
applicable law notwithstanding this limitation. This software is
licensed as a single product. Its component parts may not be
separated for use on more than one personal computer or more
than one palmtop device.

7. JURISDICTION. This License is governed by and construed in
accordance with the laws of the Province of Ontario, Canada, and
shall benefit Qvadis, its successors and assigns.

8. LIMITED WARRANTY. Qvadis warrants the media on which we
furnish the software to you to be free of defects in material and
workmanship, under normal use, for a period of thirty (30) days
following the date of delivery to you. In the event of defects,
Qvadis' sole liability shall be to replace the defective media which
has been returned to Qvadis or the supplier with your dated invoice
and is shown to be defective. In the event that Qvadis is unable to
replace defective media, Qvadis shall refund your money upon your
termination of this license.

9. THIS SOFTWARE AND ACCOMPANYING
DOCUMENTATION (INCLUDING INSTRUCTIONS FOR USE)
ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY
KIND. FURTHERMORE, QVADIS DOES NOT WARRANT,
GUARANTEE, OR MAKE ANY REPRESENTATIONS
REGARDING THE USE, OR THE RESULTS OF USE, OF THE
SOFTWARE OR DOCUMENTATION IN TERMS OF
CORRECTNESS, ACCURACY, RELIABILITY,
CURRENTNESS OR OTHERWISE. THE ENTIRE RISK
ARISING OUT OF USE OR PERFORMANCE OF THE
SOFTWARE IS ASSUMED BY YOU. IF THE SOFTWARE OR
ASSOCIATED MATERIALS ARE DEFECTIVE, YOU, AND
NOT QVADIS OR ITS DEALERS, DISTRIBUTORS, AGENTS,
OR EMPLOYEES, ASSUME THE ENTIRE COST OF ALL
NECESSARY SERVICING, REPAIR OR CORRECTION.

10. THE ABOVE IS THE ONLY WARRANTY OF ANY KIND,
EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT
LIMITED TO THE IMPLIED WARRANTIES OF
MERCHANTIBILITY, FITNESS FOR A PARTICULAR
PURPOSE, OR NONINFRINGEMENT, THAT IS MADE BY
QVADIS ON THIS PRODUCT. NO ORAL OR WRITTEN
INFORMATION GIVEN BY QVADIS, ITS DEALERS,
DISTRIBUTORS, AGENTS OR EMPLOYEES SHALL CREATE
A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF
THIS WARRANTY AND YOU MAY NOT RELY ON ANY
SUCH INFORMATION OR ADVICE.

11. NEITHER QVADIS NOR ANYONE ELSE WHO HAS BEEN
INVOLVED IN THE CREATION, PRODUCTION OR
DELIVERY OF THIS PRODUCT SHALL BE LIABLE FOR ANY
DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL
DAMAGES (INCLUDING, WITHOUT LIMITATION,
DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS
INTERRUPTION, LOSS OF BUSINESS INFORMATION, AND
THE LIKE) ARISING OUT OF THE USE OR INABILITY TO
USE SUCH PRODUCT EVEN IF QVADIS HAS BEEN
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Should any other warranties be found to exist, such warranties
shall be limited in duration to thirty (30) days following the date of
delivery to you. In no event will Qvadis' liability for any damages
to you or any other person exceed the amount paid for the license
to use the software.
