  1.            SyncIT.com License Agreement

  5. This legal document is an agreement between you,
  6. the end user ("Licensee"), and SyncIT.com  Inc.
  7. ("Licensor").  
  8. BY DOWNLOADING OR OBTAINING AND USING THE
  9. REGISTERED VERSION OF SYNCIT.COM SOFTWARE, YOU
  10. ARE CONSENTING TO BE BOUND BY THE TERMS OF THIS
  11. AGREEMENT, WHICH INCLUDES THE SOFTWARE LICENSE
  12. AND SOFTWARE DISCLAIMER OF WARRANTY.
  13.  
  14. THIS AGREEMENT CONSTITUTES THE COMPLETE AGREEMENT
  15. BETWEEN YOU AND SYNCIT.COM.  IF YOU DO NOT AGREE
  16. TO THE TERMS OF THIS AGREEMENT, CEASE TO USE THE
  17. PRODUCT IMMEDIATELY AND DESTROY ALL COPIES THAT
  18. YOU MADE.
  19.  
  20.           BOOKMARKSYNC SOFTWARE LICENSE
  21. -------------------------------------------------
  22. 1.  LIMITED WARRANTY: BookmarkSync is provided on
  23. an "AS IS" basis, without warranty of any kind,
  24. including without limitation the warranties of
  25. merchantability, fitness for a particular
  26. purpose, and non-infringement.  Do not use it in
  27. any situation in which correct functioning is
  28. critical.  The entire risk as to the results and
  29. performance of BookmarkSync is assumed by you,
  30. the Licensee.  If BookmarkSync is defective, you,
  31. and not SyncIT.com or any distributor, agent or
  32. employee of SyncIT.com, assume the entire cost of
  33. all necessary servicing, repair or correction.
  34. SOME JURISDICTIONS DO NOT ALLOW EXCLUSIONS OF AN
  35. IMPLIED WARRANTY, SO THIS DISCLAIMER MAY NOT
  36. APPLY TO YOU AND YOU MAY HAVE OTHER LEGAL RIGHTS
  37. THAT VARY BY JURISDICTION.

  40. To the best of SyncIT.com's knowledge, your use
  41. of BookmarkSync in accordance with its
  42. documentation will not, in and of itself,
  43. infringe any third party's copyright, patent, or
  44. other intellectual property right.  SyncIT.com is
  45. not liable or responsible in any way for any
  46. copyright violations you may commit as a result
  47. of using BookmarkSync.
  48.  
  49. THE FOREGOING LIMITED WARRANTIES ARE IN LIEU OF
  50. ALL OTHER WARRANTIES OR CONDITIONS, EXPRESS OR
  51. IMPLIED, AND SYNCIT.COM, DISCLAIMS ANY AND ALL
  52. EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS,
  53. EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT
  54. LIMITED TO THE IMPLIED WARRANTIES OF TITLE, OF
  55. NON-INFRINGEMENT, OF MERCHANTABILITY OR OF
  56. FITNESS FOR A PARTICULAR PURPOSE, regardless of
  57. whether we know or have reason to know of your
  58. particular needs.  No oral or written information
  59. or advice given by SyncIT.com, its dealers,
  60. distributors, agents or employees shall create a
  61. warranty or in any way increase the scope of the
  62. above warranties, and you may not rely on any
  63. such information or advice.  No action for breach
  64. of the above warranties may be commenced more
  65. than one (1) year following the expiration date
  66. of the warranty.  If implied warranties may not
  67. be disclaimed under applicable law, then any
  68. implied warranties are limited in duration to 90
  69. days after delivery of this copy of BookmarkSync
  70. to you.  Some states do not allow limitations on
  71. how long an implied warranty lasts, so the above
  72. limitation may not apply to you.  This warranty
  73. gives you specific legal rights.  You may have
  74. other rights, which vary from state to state.
  75.  
  76. IN NO EVENT SHALL SYNCIT.COM, OR ANYONE ELSE WHO
  77. HAS BEEN INVOLVED IN THE CREATION, DISTRIBUTION,
  78. OR DELIVERY OF THIS PRODUCT SHALL BE LIABLE FOR
  79. ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL,
  80. PUNITIVE, EXEMPLARY, CONSEQUENTIAL OR INCIDENTAL
  81. DAMAGES (INCLUDING BUT NOT LIMITED TO DAMAGES FOR
  82. LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION,
  83. LOSS OF BUSINESS INFORMATION, AND THE LIKE)
  84. ARISING OUT OF THE USE OR INABILITY TO USE SUCH
  85. PRODUCT EVEN IF SYNCIT.COM HAS BEEN ADVISED OF
  86. THE POSSIBILITY OF SUCH DAMAGES.  Because some
  87. states do not allow the exclusion or limitation
  88. of liability for consequential or incidental
  89. damages, the above limitation may not apply to
  90. you.

  92. 2.  TRANSFER RESTRICTIONS: This software,
  93. BookmarkSync, is licensed only to you, the
  94. Licensee.  You may not permit non-Licensees to
  95. use BookmarkSync or install it on computers or
  96. networks other than explicitly specified in this
  97. license without the prior written consent of
  98. SyncIT.com.  Any authorized transferee of
  99. BookmarkSync shall be bound by the terms and
  100. conditions of this License Agreement.  In no
  101. event may you transfer, assign, rent, lease, sell
  102. or otherwise dispose of the software on a
  103. temporary or permanent basis except as expressly
  104. provided herein.

  106. 3.  COPY RESTRICTIONS: This software and any
  107. accompanying materials are copyrighted.
  108. Unauthorized copying of BookmarkSync, including
  109. any BookmarkSync software that has been modified,
  110. merged or included with other software, or of any
  111. of the textual materials accompanying
  112. BookmarkSync is expressly forbidden.  You may be
  113. held legally responsible for copyright
  114. infringement that is caused or encouraged by your
  115. failure to abide by the terms of this License.
  116. Subject to these restrictions, you may make one
  117. (1) copy of BookmarkSync for backup purposes.
  118. You must reproduce and include the copyright
  119. notice on the backup copy.

  121. 4. You may not distribute copyrighted web pages
  122. or any other data modified by SyncIT.com to any
  123. other person, nor may you use such data for any
  124. purpose other than your own personal viewing.

  126. 5.  You may not modify, adapt, translate, reverse
  127. engineer, decompile, disassemble (except to the
  128. extent applicable laws specifically prohibit such
  129. restriction), or create derivative works based on
  130. BookmarkSync.
  131.  
  132. 6.  LIMITED NONEXCLUSIVE LICENSE: This license is
  133. not a sale of the original software or of any
  134. copy.  Title, ownership rights, and all
  135. intellectual property rights in BookmarkSync
  136. shall remain the property of SyncIT.com.
  137.  
  138. 7.  To the best of the SyncIT.com's knowledge,
  139. BookmarkSync is freely exportable from the United
  140. States.  However, SyncIT.com is in no way liable
  141. or responsible if you violate any laws of the
  142. United States or any other country by exporting
  143. or using BookmarkSync in any way.
  144.  
  145. 8.  This license does not entitle you to any
  146. future upgrades or updates of software or
  147. configuration files, although we may decide to
  148. make such upgrades or configuration file updates
  149. freely available.
  150.  
  151. 9.  ENTIRE AGREEMENT: This written License
  152. Agreement is the exclusive agreement between you
  153. and SyncIT.com concerning BookmarkSync and
  154. supersedes any and all prior oral or written
  155. agreements, negotiations or other dealings
  156. between us concerning BookmarkSync.  This
  157. Licence Agreement may be modified only by a
  158. writing signed by you and SyncIT.com,  Inc.  In
  159. the event of any litigation between you and
  160. SyncIT.com concerning BookmarkSync, the
  161. prevailing party will be entitled to recover
  162. attorney's fees and expenses from the other
  163. party.  This agreement is subject to the laws and
  164. jurisdiction of the courts of the State of New
  165. York, USA.  If a court of competent jurisdiction
  166. invalidates one or more of the terms of this
  167. contract, the surviving terms continue in force.
  168. This License Agreement is effective upon the
  169. earlier of your (1) use of BookmarkSync; or
  170. (2) your manifesting assent to these terms as by
  171. clicking on the "I Agree" button shown when you
  172. downloaded or installed the software.  You agree
  173. that SyncIT.com need not sign this License
  174. Agreement in order for it to take effect.
  175.  
  176.    These notices must be retained in any
  177.    copies of any part of this documentation
  178.    and/or software.
