ADDENDUM TO THE LICENSE AGREEMENT FOR MICROSOFT SOFTWARE
IMPORTANT: READ CAREFULLY - The Microsoft software which is listed above, including any "online" or electronic documentation (collectively referred to as "ADD-IN COMPONENT(S)"), are subject to the terms and conditions of the End User License Agreement for Microsoft Software ("EULA") for the applicable Microsoft software product which you previously licensed from Microsoft ("SOFTWARE PRODUCT"), or such other properly granted license that governs your use of the SOFTWARE PRODUCT, and the terms and conditions of this addendum ("Addendum"). By installing, copying, or otherwise using the ADD-IN COMPONENTS or any part(s) thereof, you agree to be bound by the terms of the EULA or the applicable agreement under which you licensed the SOFTWARE PRODUCT, and this Addendum. If you do not agree to these terms and conditions, do not install or use the ADD-IN COMPONENTS or any part thereof. Defined terms used herein have the meanings assigned to them in the EULA or the applicable agreement that governs your use of the SOFTWARE PRODUCT.
NOTE: IF YOU DO NOT HAVE A VALID LICENSE FOR MICROSOFT OFFICE, YOU ARE NOT AUTHORIZED AND DO NOT HAVE THE RIGHT TO INSTALL, COPY OR OTHERWISE USE THE ADD-IN COMPONENTS IDENTIFIED ABOVE.
1. ADDITIONAL RIGHTS AND/OR RESTRICTIONS. In addition to the rights and restrictions stated in the EULA or the applicable agreement that governs your use of the SOFTWARE PRODUCT, your use of the ADD-IN COMPONENTS is subject to the following rights and/or restrictions:
* SALE OR RENTAL. You may not sell, rent, lease, lend or otherwise distribute the ADD-IN COMPONENTS or derivative works of the ADD-IN COMPONENTS on a stand alone basis or as part of a collection, or as part of any product or service for resale unless you have previously specifically licensed such rights from Microsoft in the EULA or the applicable agreement that governs your use of the SOFTWARE PRODUCT.
* NO WARRANTIES. Microsoft expressly disclaims any warranty for the ADD-IN COMPONENTS. The ADD-IN COMPONENTS and any related documentation is provided "as is" without warranty of any kind, either express or implied, including, without limitation, the implied warranties or merchantability, fitness for a particular purpose, or noninfringement. The entire risk arising out of use or performance of the ADD-IN COMPONENTS remains with you.
* NO LIABILITY FOR DAMAGES. In no event shall Microsoft or its suppliers be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this Microsoft product, even if Microsoft has been advised of the possibility of such damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.
* The limitation of warranty and liability described above relates exclusively to your use of the ADD-IN COMPONENT and replaces and supercedes any and all warranty or liability language or customer remedy contained in the EULA or the applicable agreement that governs your use of the SOFTWARE PRODUCT.
2. OTHER TERMS AND CONDITIONS. Your use of the ADD-IN COMPONENT is subject to all remaining provisions of the EULA or the applicable agreement that governs your use of the SOFTWARE PRODUCT. At Microsoft's option, the terms and provisions of this Addendum shall govern in the event of a conflict between the terms and provisions of this Addendum and the terms and provisions of the EULA or the applicable agreement that governs your use of the SOFTWARE PRODUCT.
