  3. End User License Agreement for the StarBurn SDK (Software Development Kit)
  4.  
  5. This License is for COMMERCIAL version of the StarBurn SDK (Software Development 
  6. Kit). 
  7.  
  8. BEFORE YOU USE THE SOFTWARE DISTRIBUTED WITH THIS LICENSE AGREEMENT, 
  9. CAREFULLY READ THE TERMS AND CONDITIONS OF THIS AGREEMENT. BY USING THE 
  10. SOFTWARE, YOU ARE CONSENTING TO BE BOUND BY AND ARE BECOMING A PARTY TO 
  11. THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, 
  12. DO NOT USE THE SOFTWARE AND DESTROY ALL COPIES OF THE SOFTWARE FROM YOUR 
  13. COMPUTER.

  15. 1. Rocket Division Software (the "Company") grants you (the "Customer") 
  16. a worlwide, non-exclusive, restricted right and license to use the 
  17. accompanying StarBurn SDK (Software Development Kit) libraries and sample 
  18. code (the "Software"), in binary executable form for all the purposes 
  19. (including commercial use of any kind). The Software is formed of the StarBurn 
  20. libraries and sample source code.

  22. 2. The Software is licensed, not sold. The Software is protected by
  23. copyright law and international copyright treaty provisions, as well as
  24. other intellectual property laws and treaties. 
  25.  
  26. 3. The software may be distributed to the third parties as a part of the
  27. application or the solution or any other possible form offered the third
  28. parties by the customer in binary form. Current license permits use of the
  29. software in the one commercial project only.

  31. 4. The Software itself may not be rented, leased, or in any other manner
  32. commercially exploited without the Company's prior written permission.
  33. This License is personal to Customer and Customer agrees not to assign
  34. your rights herein.
  35.  
  36. 5. LIMITATION OF WARRANTY. THE COMPANY MAKES NO REPRESENTATIONS OR 
  37. WARRANTIES  ABOUT THE SUITABILITY OF THIS SOFTWARE OR ABOUT ANY CONTENT 
  38. OR INFORMATION PLAYED BY THE SOFTWARE, FOR ANY PURPOSE. THE SOFTWARE IS 
  39. PROVIDED 'AS IS' WITHOUT EXPRESS OR IMPLIED WARRANTIES, INCLUDING 
  40. WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE OR 
  41. NONINFRINGEMENT. THE COMPANY MAY NOT SUPPORT THIS SOFTWARE AND MAY NOT 
  42. ISSUE UPDATES TO THIS SOFTWARE.

  44. 6. All video, audio, and other content accessed through the Software is
  45. the property of the applicable content owner and may be protected by
  46. applicable copyright law.  This License gives Customer no rights to
  47. such content, and Company disclaims any liability for misuse of
  48. content.

  50. 7. While the Company intends to distribute a commercial release of the
  51. Software, it reserves the right at any time not to release a commercial
  52. release of the Software or, if released, to alter prices, features,
  53. specifications, capabilities, functions, licensing terms, release
  54. dates, general availability or other characteristics of the commercial
  55. release.

  57. 8. Title, ownership rights, and intellectual property rights in and to
  58. the Software shall remain in the Company and/or its suppliers.
  59. Customer agrees to abide by the copyright law and all other applicable
  60. laws of the United States including, but not limited to, export control
  61. laws.  Customer acknowledges that the Software remains proprietary and
  62. confidential information and intellectual property of the Company
  63. and/or its suppliers and therefore Customer agrees not to modify the
  64. Software or attempt to decipher, decompile, disassemble or reverse
  65. engineer the Software, except to the extent applicable laws
  66. specifically prohibit such restriction.  Reproduction and/or
  67. redistribution of any portion of the Software is specifically
  68. prohibited without the Company's prior written permission.

  70. 9. The Company may terminate this License at any time by delivering
  71. notice to Customer and Customer may terminate this License at any time
  72. by destroying or erasing Customer's copy of the Software.  Upon
  73. termination of this License, or in any event within thirty (30) days
  74. following the execution of a commercial license between Customer and
  75. the Company for the license of the Software, Customer agree to destroy
  76. or erase this evaluation version of Software, unless otherwise provided
  77. for in the commercial license.  However, in case of termination,
  78. Sections 5 through 10 of this Agreement shall indefinitely survive its
  79. termination. This License shall be governed by and construed in
  80. accordance with the laws of the State of California with exclusive
  81. venue in courts located in the San Francisco County, California, and,
  82. as to matters affecting copyrights, trademarks and patents, by U.S.
  83. federal law.  This License sets forth the entire agreement between the
  84. Company and Customer.

  86. 10. DISCLAIMER OF LIABILITY. THE COMPANY OR ITS SUPPLIERS  SHALL NOT BE 
  87. LIABLE FOR (a) DIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR INDIRECT 
  88. DAMAGES OF ANY SORT WHATSOEVER, WHETHER ARISING IN TORT, CONTRACT OR 
  89. OTHERWISE, (INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF BUSINESS 
  90. PROFITS, REVENUES, OR INFORMATION, OR FOR BUSINESS INTERRUPTION) RESULTING 
  91. FROM CUSTOMER'S USE OF THE SOFTWARE OR INABILITY TO USE THE SOFTWARE, EVEN 
  92. IF THE COMPANY HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR 
  93. (b) FOR ANY CLAIM BY ANY OTHER PARTY THAN CUSTOMER. THIS DISCLAIMER OF 
  94. LIABILITY SHALL NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY WHERE 
  95. THE APPLICABLE LAW PROHIBITS SUCH LIMITATION. FURTHERMORE, SOME STATES DO 
  96. NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL 
  97. DAMAGES, SO THIS LIMITATION AND EXCLUSION MAY NOT APPLY TO CUSTOMER.

  99. 11. HIGH RISK ACTIVITIES. The Software is not fault-tolerant and is
  100. not designed, manufactured or intended for use or resale as on-line
  101. control equipment in hazardous environments requiring fail-safe
  102. performance, such as in the operation of nuclear facilities, aircraft
  103. navigation or communication systems, air traffic control, direct life
  104. support machines, or weapons systems, in which the failure of the
  105. Software could lead directly to death, personal injury, or severe
  106. physical or environmental damage ("High Risk Activities"). The Company
  107. and its suppliers specifically disclaim any express or implied warranty
  108. of fitness for High Risk Activities.
