  1. PowerQuest(R) OEM End User License Agreement
  2.  
  3. IMPORTANT: Read this before using your copy of PowerQuest 
  4. software.
  5.  
  6. This document is a legal agreement between you, the "OEM 
  7. end user," and PowerQuest Corporation. Use of the software 
  8. indicates your acceptance of these terms. As used in this 
  9. License Agreement, the term "Software" means the PowerQuest 
  10. software included on the media or hardware provided with 
  11. this License Agreement.

  13. 1. PROPRIETARY RIGHTS. The Software is a proprietary product 
  14. of PowerQuest Corporation ("PowerQuest") or its licensors and 
  15. is protected under U.S. copyright laws and international 
  16. treaty provisions. Ownership of the Software and all copies, 
  17. modifications, and merged portions thereof shall at all times 
  18. remain with PowerQuest or its licensors.

  20. 2. GRANT OF LICENSE. The Software is being licensed to you, 
  21. which means you have the right to use the Software only in 
  22. accordance with this License Agreement. The Software is only 
  23. authorized for distribution together with specific products. 
  24. The Software is considered in use on a computer when it is 
  25. loaded into temporary memory or installed into permanent 
  26. memory.

  28. 3. NONPERMITTED USES. Without the express permission of 
  29. PowerQuest, you may not (a) use, copy, modify, alter, or 
  30. transfer, electronically or otherwise, the Software or 
  31. documentation except as expressly permitted in this License 
  32. Agreement, or (b) translate, reverse program, disassemble, 
  33. decompile, or otherwise reverse engineer the Software.

  35. 4. TECHNICAL SUPPORT. PowerQuest is NOT responsible to 
  36. provide technical support.  Any and all technical support 
  37. questions regarding the Software should be referred to the 
  38. place of purchase.
  39.  
  40. 5. U.S. GOVERNMENT RESTRICTED RIGHTS. If you are acquiring 
  41. the Software on behalf of any unit or agency of the United 
  42. States Government, the following provision applies: It is 
  43. acknowledged that the Software and the documentation were 
  44. developed at private expense and that no part is in the 
  45. public domain and that the Software and documentation are 
  46. provided with RESTRICTED RIGHTS. Use, duplication, or 
  47. disclosure by the Government is subject to restrictions as 
  48. set forth in subparagraph (c)(1)(ii) of the Rights in 
  49. Technical Data and Computer Software clause at DFARS 
  50. 252.227-7013 or subparagraphs (c)(1) and (2) of the 
  51. Commercial Computer Software-Restricted Rights at 
  52. 48 CFR 52.227-19, as applicable. Contractor/manufacturer 
  53. is PowerQuest Corporation, P.O. Box 1911, Orem, UT 84059.

  55. 6. NO WARRANTY. The Software is being provided to you AS IS.  
  56. PowerQuest does not warrant the Software to end users. If 
  57. the Software fails to perform substantially in accordance 
  58. with the documentation provided to your hardware supplier, 
  59. PowerQuest will repair or replace the copy of the Software 
  60. provided to your hardware supplier and will authorize your 
  61. hardware supplier to provide such repaired or replaced 
  62. Software to you without charge.

  64. 7. LIMITATION OF LIABILITY. NEITHER POWERQUEST NOR ITS 
  65. SUPPLIERS SHALL IN ANY EVENT BE LIABLE FOR ANY DAMAGES 
  66. WHATSOEVER ARISING OUT OF OR RELATED TO THE USE OF OR 
  67. INABILITY TO USE THE SOFTWARE, INCLUDING BUT NOT LIMITED 
  68. TO DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL 
  69. DAMAGES, AND DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS 
  70. INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY 
  71. LOSS, EVEN IF POWERQUEST CORPORATION HAS BEEN ADVISED OF THE 
  72. POSSIBILITY OF SUCH DAMAGES, WHETHER SUCH LIABILITY IS BASED 
  73. ON CONTRACT, TORT, WARRANTY, OR ANY OTHER LEGAL OR EQUITABLE 
  74. GROUNDS. BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR 
  75. LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL 
  76. DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

  78. 8. NO WAIVER. Any failure by either party to this agreement 
  79. to enforce a specific part of the agreement in a specific 
  80. situation is not a waiver of rights under the agreement. The 
  81. party may still enforce the rest of the agreement in that 
  82. situation and may still enforce some or all of the agreement 
  83. in other situations.

  85. 9. This License Agreement constitutes the entire agreement 
  86. between you and PowerQuest pertaining to its subject matter. 
  87. This License Agreement is governed by the laws of the State 
  88. of Utah. Any litigation arising from this license will be 
  89. pursued only in the state or federal courts located in the 
  90. State of Utah.
