This installation package was created to save you the work of cleaning the original Kazaa software from all third party software yourself. By installing the software included in this package you agree to take ALL responsibilities you would have if you personally modified the original Kazaa Media Desktop software instead of using this installer.

  19. All terms referencing to 'Kazaa Media Desktop' or 'Kazaa' in this document also apply to 'Kazaa Lite', since this is essentially the exact same piece of software, only without most of the advertising.

  21. Please note that installing this software is ILLEGAL and is in violation of the Kazaa Media Desktop Terms of Use. If you do, however, install the software contained in this package, you agree to take ALL responsiblity for your actions.

  27. 2: KAZAA MEDIA DESKTOP TERMS OF USE

  29. Welcome! It is important that you carefully read these terms before 
  30. installing the Kazaa Media Desktop software.
  31.  
  32. These terms when accepted by you form a licence ("Licence") 
  33. agreement between Sharman Networks Limited ("Sharman") and you 
  34. ("You," "Your" Or "User") for the use of the Kazaa Media Desktop, 
  35. including any and all versions or variations of the Kazaa Media Desktop 
  36. software (collectively, "Kazaa Media Desktop").
  37.  
  38. In order to use Kazaa Media Desktop, you must first read and accept 
  39. the terms of this Licence, and confirm your acceptance of the terms of 
  40. this Licence by pressing the 'Yes' button on the Kazaa Media Desktop 
  41. download screen. If you are a minor you will become eligible to use 
  42. Kazaa Media Desktop upon your parent or guardian reading and 
  43. accepting the terms of this Licence and confirming acceptance of the

  52. 1. What you can do under this Licence
  53.  
  54. 1.1 Subject to all the terms of this Licence, Sharman grants you a 
  55. limited, non-exclusive, personal, non-sublicensable, non-assignable 
  56. licence to install and use the Kazaa Media Desktop and any future fixes, 
  57. updates and upgrades provided to you (collectively, the "Software") on 
  58. a computer.

  60. 1.2 Unless explicitly stated otherwise, any new features that augment 
  61. or enhance the current Software, including the release of new 
  62. properties, shall be subject to terms of this Licence.
  63.  
  64.  
  65. 2 What you can't do under this Licence
  66.  
  67. You agree not to use the Software to:
  68.  
  69. 2.1 Transmit or communicate any data that is unlawful, harmful, 
  70. threatening, abusive, harassing, defamatory, vulgar, obscene, invasive 
  71. of another's privacy, hateful, or racially, ethnically or otherwise 
  72. objectionable;
  73.  
  74. 2.2 Harm minors in any way;
  75.  
  76. 2.3 Impersonate any person or entity or falsely state or otherwise 
  77. misrepresent your affiliation with a person or entity;
  78.  
  79. 2.4 Forge headers or otherwise manipulate identifiers in order to 
  80. disguise the origin of any data transmitted to other users;
  81.  
  82. 2.5 Transmit , access or communicate any data that you do not have a 
  83. right to transmit under any law or under contractual or fiduciary 
  84. relationships (such as inside information, proprietary and confidential 
  85. information learned or disclosed as part of employment relationships or 
  86. under non-disclosure agreements);
  87.  
  88. 2.6 Transmit ,access or communicate any data that infringes any 
  89. patent, trademark, trade secret, copyright or other proprietary rights of 
  90. any party;
  91.  
  92. 2.7 Transmit or communicate any data that contains software viruses or 
  93. any other computer code, files or programs designed to interrupt, 
  94. destroy or limit the functionality of any computer software or hardware 
  95. or telecommunications equipment;
  96.  
  97. 2.8 Disrupt the normal flow of dialogue, cause a screen to "scroll" faster 
  98. than other users are able to type, or otherwise act in a manner that 
  99. negatively affects other users' ability to engage in real time exchanges;
  100.  
  101. 2.9 Interfere with or disrupt the Software;
  102.  
  103. 2.10 Intentionally or unintentionally violate any applicable local, state, 
  104. national or international law, including securities exchange and any 
  105. regulations requirements, procedures or policies in force from time to 
  106. time relating to the Software;
  107.  
  108. 2.11 Monitor traffic or make search requests in order to accumulate 
  109. information about individual users;
  110.  
  111. 2.12 "Stalk" or otherwise harass another;
  112.  
  113. 2.13 Modify, delete or damage any information contained on the 
  114. personal computer of any Kazaa Media Desktop user; or
  115.  
  116. 2.14 Collect or store personal data about other users.

  118.  
  119. 3 More Do's and Don'ts
  120.  
  121.  
  122. 3.1 This Licence allows you to install and use the Kazaa Media Desktop 
  123. on a single computer. This Licence does not permit you to install the 
  124. Software on more than one computer at a time. You may make copies 
  125. of the Software in machine-readable form for backup purposes only. 
  126. The backup copy must include all copyright information contained on 
  127. the original.

  129. 3.2 Except as expressly permitted in this Licence, you agree not to 
  130. reverse engineer, de-compile, disassemble, alter, duplicate, modify, 
  131. rent, lease, loan, sublicense, make copies, create derivative works 
  132. from, distribute or provide others with the Software in whole or part, 
  133. transmit or communicate the application over a network.

  135. 3.3 You may not sell, transfer or communicate the Software to any third 
  136. party without our prior express written consent.

  139. 4 Things you need to know when using the Kazaa Media Desktop
  140.  
  141. 4.1 You are responsible for paying all applicable taxes and other costs 
  142. you may incur in connection with your use of the Software including but 
  143. not limited to all hardware and software costs and providing all 
  144. equipment and software necessary to connect to our web site and to 
  145. use the Software via the Internet and any royalties or other charges 
  146. relating to the use of data owned by third parties.

  148. 4.2 Sharman may from time to time present programming fixes, 
  149. updates and upgrades to you, including version updates to the Kazaa 
  150. Media Desktop. You may accept or reject such programming fixes, 
  151. updates and upgrades to you, including version updates at your sole 
  152. discretion.

  155. 5 Things you need to do when using the Kazaa Media Desktop
  156.  
  157. 5.1 It is your responsibility to ensure that you obtain all consents, 
  158. authorisations and clearances in any data owned or controlled by third 
  159. parties that you transmit, access or communicate to others using the 
  160. Kazaa Media Desktop. 
  161.  
  162. 5.2 Sharman will not be liable in any way:
  163.  
  164. 5.2.1 for any errors or omissions in any data, or for any loss or damage 
  165. of any kind incurred as a result of any data transmitted via the 
  166. Software; or
  167.  
  168. 5.2.2 if you are exposed to data that is offensive, indecent or 
  169. objectionable.
  170.  
  171. 5.2.3 for any allegations or findings of infringement of copyright or 
  172. other proprietary rights as a result of your use of the Software.

  175. 6  Copyright Infringement
  176.  
  177. 6.1 Sharman respects copyright and other laws. Sharman requires all 
  178. Kazaa Media Desktop users to comply with copyright and other laws.  
  179. Sharman does not by the supply of the Software authorise you to 
  180. infringe the copyright or other rights of third parties.
  181.  
  182. 6.2 As a condition to use the Software, you agree that you must not use 
  183. the Software to infringe the intellectual property or other rights of 
  184. others, in any way. The unauthorised reproduction, distribution, 
  185. modification, public display, communication to the public or public 
  186. performance of copyrighted works is an infringement of copyright.
  187.  
  188. 6.3 Users are entirely responsible for their conduct and for ensuring 
  189. that it complies with all applicable copyright and data-protection laws. 
  190. In the event a user fails to comply with laws regarding copyrights or 
  191. other intellectual property rights and data-protection and privacy, such 
  192. a user may be exposed to civil and criminal liability, including possible 
  193. fines and jail time.

  196. 7 Sharman's Right to Run Advertising without payment to Users
  197.  
  198. 7.1 Sharman reserves the right to run advertisements and promotions 
  199. on the Kazaa Media Desktop 7.2 By accepting the terms of this Licence, 
  200. you agree that we have the right to run such advertisements and 
  201. promotions without compensation to you.
  202.  
  203. 7.3 The timing, frequency, placement and extent of advertising by us 
  204. within the pages comprising the Kazaa Media Desktop  is subject to 
  205. change and shall be determined by us at our sole discretion.
  206.  
  207. 7.4 Your correspondence or business dealings with, or participation in 
  208. promotions of, advertisers found on or through the Kazaa web site or 
  209. Kazaa Media Desktop, including payment and delivery of related goods 
  210. or services, and any other terms, conditions, warranties or 
  211. representations associated with such dealings, are solely between you 
  212. and such advertiser.

  214. 7.5 You agree that Sharman is not be responsible or liable for any loss 
  215. or damage of any sort incurred as the result of any such dealings or as 
  216. the result of the presence of such advertisers on the Kazaa Media 
  217. Desktop and/ or the Kazaa web site.

  220. 8 Links to Third-Party Sites
  221.  
  222. 8.1 The Kazaa Media Desktop may provide, or third parties may 
  223. provide, links to World Wide Web sites or other Internet resources. Any 
  224. third-party sites to which the Kazaa Media Desktop may link are not 
  225. under control of Sharman. Sharman does not have any responsibility or 
  226. liability for any information, data, communications or materials 
  227. available on such third-party sites.

  230. 9 Third Party Software
  231.  
  232. 9.1 During the process of installing the Software, you may be offered 
  233. the possibility to download or install software from third party software 
  234. vendors pursuant to licences or other arrangements between such 
  235. vendors and yourself ("Third Party Software"). In the event you do not 
  236. wish to download this THIRD PARTY SOFTWARE you should uncheck the 
  237. appropriate boxes. Please note that the THIRD PARTY SOFTWARE is 
  238. subject to different licences or other arrangements, which you should 
  239. read carefully. By downloading and using this THIRD PARTY SOFTWARE 
  240. you accept these THIRD PARTY SOFTWARE licences or other 
  241. arrangements and acknowledge that you have read them and 
  242. understand them. Sharman does not sell, resell, or license any of this 
  243. THIRD PARTY SOFTWARE, and Sharman disclaims to the maximum 
  244. extent permitted by applicable law, any responsibility for or liability 
  245. related to the THIRD PARTY SOFTWARE. Any questions, complaints or 
  246. claims related to the THIRD PARTY SOFTWARE should be directed to the 
  247. appropriate vendor.

  249. 9.2 Sharman makes no representations or warranties of any kind 
  250. concerning the quality, safety or suitability of this software, either 
  251. express or implied, including without limitation any implied warranties 
  252. of merchantability, fitness for a particular purpose, or non-infringement 
  253. to the maximum extent permitted by applicable law, in no event will 
  254. Sharman be liable for any indirect, punitive, special, incidental or 
  255. consequential damages however they may arise and even if Sharman 
  256. has been previously advised of the possibility of such damages.

  258. 9.3 There are inherent dangers in the use of any software available for 
  259. downloading on the Internet, and Sharman cautions you to make sure 
  260. that you completely understand the potential risks before downloading 
  261. any of the THIRD PARTY SOFTWARE. You are solely responsible for 
  262. adequate protection and backup of the data and equipment used in 
  263. connection with any of the THIRD PARTY SOFTWARE, and Sharman will 
  264. not be liable for any damages that you may suffer in connection with 
  265. using, modifying or distributing any of the THIRD PARTY SOFTWARE.

  268. 10 Applicable Law
  269.  
  270. 10.1 This Licence as well as all disputes arising out of or in connection 
  271. with this Licence shall be governed by the laws of the New South Wales, 
  272. Australia, without regard to or application of choice of law rules or 
  273. principles.

  275. 10.2 Any dispute arising out of or in connection with this Licence, or in 
  276. future agreements resulting there from, shall be exclusively resolved 
  277. before the competent court in New South Wales, Australia.

  280. 11 Points to consider for International Use

  282. 11.1 Recognising the global nature of the Internet, you agree to comply 
  283. with all local rules regarding on-line conduct and acceptable data. 
  284. Specifically, you agree to comply with all applicable laws regarding 
  285. copyright and the transmission of technical data exported from the 
  286. country in which you reside.

  289. 12 Indemnification

  291. 12.1 YOU AGREE TO INDEMNIFY, HOLD HARMLESS AND DEFEND 
  292. SHARMAN, AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, 
  293. CO-BRANDERS OR OTHER PARTNERS, AND EMPLOYEES, AT YOUR 
  294. EXPENSE, AGAINST ANY AND ALL THIRD PARTY CLAIMS OR DEMANDS, 
  295. ACTIONS, PROCEEDINGS AND SUITS AND ALL RELATED LIABILITIES, 
  296. DAMAGES, SETTLEMENTS, PENALTIES, FINES COSTS AND EXPENSES 
  297. (INCLUDING, WITHOUT LIMITATION, REASONABLE ATTORNEY'S FEES 
  298. AND OTHER DISPUTE RESOLUTION EXPENSES) INCURRED BY 
  299. SHARMAN, DUE TO OR ARISING OUT OF DATA YOU SUBMIT, POST TO, 
  300. TRANSMIT OR COMMUNICATE  THROUGH THE SOFTWARE, YOUR USE 
  301. OR MISUSE OF THE SOFTWARE, YOUR CONNECTION TO OTHER USERS, 
  302. YOUR VIOLATION OF THE LICENSE, OR YOUR VIOLATION OF ANY 
  303. RIGHTS OF ANOTHER.

  306. 13 Disclaimers of Warranties

  308. 13.1 THE SOFTWARE IS PROVIDED "AS IS", AND ON AN "AS 
  309. AVAILABLE" BASIS AND THERE ARE NO CLAIMS, REPRESENTATIONS 
  310. AND WARRANTIES MADE BY SHARMAN, EITHER EXPRESS, IMPLIED OR 
  311. STATUTORY (TO THE EXTENT PERMITTED BY APPLICABLE LAW), WITH 
  312. RESPECT TO THE SOFTWARE, INCLUDING BUT NOT LIMITED TO, 
  313. WARRANTIES OF QUALITY, PERFORMANCE, TITLE, NON-
  314. INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR 
  315. PURPOSE, NOR ARE THERE ANY WARRANTIES CREATED BY COURSE OF 
  316. DEALING, COURSE OF PERFORMANCE OR TRADE USAGE.

  318. 13.2 ANY DATA DOWNLOADED THROUGH THE USE OF THE SOFTWARE 
  319. IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE 
  320. SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM 
  321. OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF

  325. 14 Limitation of Liability

  330. PRODUCT LIABILITY OR STRICT LIABILITY, EVEN IF SHARMAN HAS 
  331. BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, FOR ANY 
  332. DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR 
  333. EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES 
  334. FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE 
  335. LOSSES, RESULTING FROM:

  337. 14.1.1 THE USE OR THE INABILITY TO USE THE SOFTWARE;

  341. RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE 
  342. USE OF THE SOFTWARE;

  344. 14.1.3 UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR 
  345. TRANSMISSIONS OR DATA;

  347. 14.1.4 STATEMENTS OR CONDUCT OF ANY THIRD PARTY USING THE 
  348. SOFTWARE; OR

  350. 14.1.5 ANY OTHER MATTER RELATING TO THE USE OF THE SOFTWARE.
  351. IN NO EVENT SHALL SHARMAN'S TOTAL LIABILITY TO YOU FOR ALL 
  352. DAMAGES EXCEED THE AMOUNT OF FIFTY AUSTRALIAN DOLLARS 
  353. ($50).

  355. 14.2 WHERE THE TRADE PRACTICES ACT 1974 (CTH) OR SIMILAR 
  356. STATE AND TERRITORY LEGISLATION IMPLIES INTO THIS LICENCE ANY 
  357. CONDITION OR WARRANTY, AND THOSE LAWS AVOID OR PROHIBIT 
  358. CONDITIONS IN A CONTRACT EXCLUDING OR MODIFYING THEM, THEN 
  359. THE TERM, CONDITION OR WARRANTY SHALL BE DEEMED TO BE 
  360. INCLUDED IN THIS LICENCE, PROVIDED THAT TO THE FULL EXTENT 
  361. THAT SHARMAN IS ABLE TO THE LIABILITY OF SHARMAN FOR A 
  362. BREACH OF ANY SUCH CONDITION OR WARRANTY, INCLUDING AND 
  363. ECONOMIC OR CONSEQUENTIAL LOSS, SHALL BE LIMITED AT THE 
  364. OPTION OF SHARMAN TO ONE OR MORE OF THE FOLLOWING:

  366. 14.2.1 IF THE BREACH RELATED TO GOODS:
  367. (A) THE REPLACEMENT OF THE GOODS OR THE SUPPLY OF 
  368. EQUIVALENT GOODS;
  369. (B) THE REPAIR OF GOODS;
  370. (C) THE PAYMENT OF THE COST OF REPLACING THE GOODS OR 
  371. OBTAINING EQUIVALENT GOODS;
  372. (D) THE PAYMENT OF HAVING THE GOODS REPAIRED;
  373. OR
  374. 14.2.2 IF THE BREACH RELATES TO SERVICES:
  375. (A) THE SUPPLY OF THE SERVICE AGAIN; OR
  376. (B) THE PAYMENT OF THE COST OF HAVING THE SERVICE SUPPLIED 
  377. AGAIN.

  380. 15 Termination
  381.  
  382. 15.1 It is you responsibility to comply with the terms of this Licence and 
  383. to obey the laws of your jurisdiction. Your rights under this Licence will 
  384. terminate immediately and without prior notice if :
  385.  you violate any term of this License, including violating  any applicable 
  386. laws or rights of any third party including the intellectual property rights 
  387. of any such third party.  You may be subject to legal action if you 
  388. continue to use the Kazaa Media Desktop in violation of this Licence.

  391. 16 Trade marks
  392.  
  393. 17.1 The Kazaa name, the Kazaa logo, and other Kazaa related 
  394. properties are trademarks of Sharman. All other trademarks appearing 
  395. on Kazaa Media Desktop are trademarks of their respective owners.

  397.  
  398. 17 Miscellaneous
  399.  
  400. 17.1 This Licence constitutes the entire understanding of you, the Kazaa 
  401. Media Desktop and the Software with respect to the subject matter 
  402. hereof. There are no understandings, agreements, conditions or 
  403. representations, oral or written, express or implied, with reference to 
  404. the subject matter hereof that are not merged herein, expressly 
  405. referenced herein, or superseded hereby.

  407. 17.2 The failure or delay of Sharman to exercise or enforce any rights 
  408. or provision of the Licence does not constitute a waiver of such right or 
  409. provision.
  410.  
  411. 17.3 All provisions which must survive in order to give effect to their 
  412. meaning, shall survive any expiration or termination of this Licence, 
  413. including without limitation all of your representations, warranties and 
  414. indemnification obligations.
  415.  
  416. 17.4 Should any part of this Licence be held invalid by any court or 
  417. tribunal, such invalidity shall not affect the validity of any remaining 
  418. part, which will remain in full force and effect as if this License had been 
  419. executed without that part having been held to be invalid.
