               Decisoft Software License Agreement

IMPORTANT -- READ CAREFULLY BEFORE INSTALLING THE SOFTWARE.

If you do not agree with the terms and conditions of this Agreement, return the
software, documents and all other associated materials, immediately to Decisoft
or the location where you obtained it.
Decisoft's grant of license hereunder is conditioned upon the terms of
this license agreement, and Decisoft is not willing to enter into the
agreement if you are not willing to accept such terms.

                 SOFTWARE LICENSE AGREEMENT

This Agreement is between Decisoft, and you, ["Licensee"].
Decisoft grants Licensee a non-transferable, non-exclusive license to use the
versions of the programs contained in this package and accompanying materials
according to the following terms:

LICENSE:

You may:
a) make one (1) archival copy of the programs in machine readable form for the
sole purpose of backing up the software and protecting your investment from
loss, provided that you reproduce all proprietary notices on the copy;
b) physically install or transfer the programs to a computer, provided that the
programs are not used by more than the number of Authorized Users, defined
hereunder, at any one time; and
c) transfer the programs onto a hard disk only for use as described above
provided that you can immediately prove ownership of the original media issued
by Decisoft.

You may not:
a) modify, translate, reverse engineer, decompile, disassemble, create derivative
works based on, or copy (except for the archival copy) the programs or
accompanying materials;
b) rent, transfer or grant any rights in the programs in any form or accompanying
materials to any person or entity without the prior written consent of Decisoft
which, if given, is subject to the conferee's consent to the terms and
conditions of this license; or
c) remove any proprietary notices, labels or marks on the programs and
accompanying materials.
d) sublicensee shall not attempt to export the licensed products without the prior
written consent of Decisoft.
This license is not a sale.  Title and copyrights to the programs, accompanying
materials and any copy made by Licensee remain with Decisoft.

AUTHORIZED USERS

Unless otherwise agreed to between Decisoft and Licensee, the
number of Authorized Users for each program is equal to the number of unique
serial numbers issued to Licensee for that program.

TERMINATION

Unauthorized copying of the programs (alone or merged with other software) or
the accompanying materials, or unauthorized transfer of the programs or license,
or failure to comply with the above restrictions will result in automatic termination
of this license and will make available to Decisoft other legal remedies.
Upon termination you will destroy or return the programs, accompanying
materials and any copies to Decisoft or to the location where you
obtained them.

LIMITED WARRANTY AND DISCLAIMER

Decisoft warrants that the programs will substantially conform to
published specifications and to the accompanying documentation, provided that
they are used on the computer hardware and with the operating system for which
they were designed.  Decisoft also warrants that the media contained
herein and the accompanying documentation are free from defects in materials
and workmanship for a period of ninety (90) days from the date of delivery to
you, as evidenced by a copy of your receipt.  Decisoft will replace
defective media or accompanying materials or correct substantial program errors
during this warranty period.  The duration of any implied warranties is also limited
to the this period.

EXCEPT AS SPECIFICALLY PROVIDED ABOVE, DECISOFT
MAKES NO WARRANTY OR REPRESENTATION, EITHER EXPRESS OR
IMPLIED, WITH RESPECT TO THESE PROGRAMS OR ACCOMPANYING
MATERIALS, INCLUDING THEIR QUALITY, PERFORMANCE,
MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
SOME JURISDICTIONS DO NOT ALLOW LIMITATION ON HOW LONG AN
IMPLIED WARRANTY LASTS SO THE ABOVE LIMITATION MAY NOT APPLY
TO YOU.  THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS.  YOU
MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM JURISDICTION TO
JURISDICTION.

LIMITATION OF LIABILITY

IN NO EVENT WILL DECISOFT BE LIABLE FOR DIRECT,
INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES
ARISING OUT OF THE USE OR INABILITY TO USE THE PROGRAMS OR
ACCOMPANYING MATERIALS.  THIS LIMITATION WILL APPLY EVEN IF
DECISOFT OR AUTHORIZED DEALER HAS BEEN ADVISED OF
THE POSSIBILITY OF SUCH DAMAGE.  IN PARTICULAR, DECISOFT
IS NOT RESPONSIBLE FOR ANY COSTS INCLUDING BUT NOT
LIMITED TO THOSE INCURRED AS A RESULT OF LOSS OF PROFITS OR
REVENUE, LOSS OF USE OF THE PROVIDED PROGRAMS, LOSS OF DATA,
THE COST OF A SUBSTITUTE PROGRAM, CLAIMS BY THIRD PARTIES OR
FOR OTHER SIMILAR COSTS.  IN NO CASE SHALL DECISOFT'S
LIABILITY EXCEED THE AMOUNT OF THE LICENSE FEE FOR USE OF
THESE PROGRAMS.  YOU ACKNOWLEDGE THAT THE LICENSE FEE
REFLECTS THIS ALLOCATION OF RISK.
SOME JURISDICTIONS DO NOT ALLOW LIMITATION OR EXCLUSION OF
LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE
ABOVE LIMITATION MAY NOT APPLY TO YOU.

GENERAL

This Agreement shall be construed, interpreted and governed by the laws of the
State of California.  In any dispute arising out of this Agreement, Decisoft
and you each consent to the jurisdiction of the state and federal courts
of Los Angeles County, California, United States of America.
Use, duplication or disclosure by the U.S. Government is subject to restrictions
stated in paragraph (c) (l) (ii) of the Rights in Technical Data and Computer
Software clause at 252.227.7013.
This Agreement is the entire agreement between Decisoft and Licensee
and supersedes any other communications with respect to the programs and
accompanying materials.
If any provision of this Agreement is held to be unenforceable, the remainder of
this Agreement shall continue in full force and effect.
