Software Product. If you exercise the Development Use rights described above, you agree to: (a) only exercise the development rights described above for your Web site or application that uses the SOFTWARE PRODUCT;
(b) only allow access to the SOFTWARE PRODUCT by your end-users by
(i) providing instructions or a hyperlink URL so that your end-user customers can download the components from Microsoft's Web site located at http://www.microsoft.com/msagent (the "Microsoft Site") or
(ii) including the SOFTWARE PRODUCT's CLSID in an HTML Object tag on your Web site that will automatically download the SOFTWARE PRODUCT for your end-user customers from the Microsoft Site;
(c) place one of the following notices on your Web site or application that includes or uses the SOFTWARE PRODUCT:
(i) place the notice "Uses Microsoft Agent technology" on your Web site on the introductory page where the SOFTWARE PRODUCT is used or
(ii) place the notice "Includes Microsoft Agent technology" in your application's copyright information or packaging;
(d) not use Microsoft's name, logo, or trademarks to market your Web site or application; (e) include a valid copyright notice on your Web site or application; and (e) indemnify, hold harmless, and defend Microsoft from and against any claims or lawsuits, including attorney's fees, that arise or result from the use or distribution of your Web site or application.
Microsoft Character Animation Data and Image Files. If you use any of the Character Animation Data and Image Files, you agree to:
(a) only use the Character Animation Data and Image Files on your Web site or application that uses the SOFTWARE PRODUCT;
(b) display the character's name with the following copyright notice "(c) 1996-1998 Microsoft Corporation. All rights reserved." with the Web site's or application's copyright information or adjacent to the character's image;
(c) not use the Character Animation Data and Image Files to disparage Microsoft, its products or services or for promotional goods or for products which, in Microsoft's sole judgment, may diminish or otherwise damage Microsoft's goodwill in the SOFTWARE PRODUCT including but not limited to uses which could be deemed under applicable law to be obscene or pornographic, uses which are excessively violent, unlawful, or which purpose is to encourage unlawful activities;
(d) not use the Character Animation Data and Image files to imply Microsoft's sponsorship, endorsement or approval of your software application, service or content provided on your Internet site;
(e) not alter the Character Animation Data and Image Files in any way; and
(f) not combine the Animated Character(s) or Animation data files with any other object, including, but not limited to, other logos, words, graphics, photos, slogans, numbers, design features or symbols.
