  7. IMPORTANT--READ CAREFULLY: This End-User License Agreement (EULA)
  8. is a legal agreement between you (either an  individual or a
  9. single entity) and Northwest Performance Software, Inc. (NWPSW)
  10. for the NWPSW software accompanying this EULA, which includes the
  11. accompanying computer software, and may include associated media,
  12. printed materials and any "online" or electronic documentation
  13. ("SOFTWARE PRODUCT"). By installing the SOFTWARE PRODUCT, you
  14. agree to be bound by the terms of this EULA. If you do not agree
  15. to the terms of this EULA, do not install or use the SOFTWARE 
  16. PRODUCT; you may, however, return it to your place of purchase for
  17. a full refund.

  19. Be sure to carefully read and understand all of the rights and
  20. restrictions described in this Northwest Performance Software, 
  21. Inc. EULA. You will be asked to review and either accept or not
  22. accept the terms of the EULA. This software will not install on 
  23. your computer unless or until you accept the terms of this EULA.

  25. BY REMOVING THE SHRINK WRAP AND/OR JEWEL CASE SEAL AND INSTALLING
  26. THIS SOFTWARE PRODUCT, YOU ACCEPT THE TERMS OF THIS EULA. If this
  27. EULA is viewed during the running of the installation program,
  28. your click of the "yes" button is a symbol of your signature that
  29. you accept the terms of the EULA.

  31. The following license agreement contains sections explicitly
  32. marked for TRIAL USE users and REGISTERED VERSION users.
  33. If you are evaluating this software, then the TRIAL USE
  34. sections apply to you. Users who have purchased this software
  35. are additionally bound by the terms of the REGISTERED
  36. VERSION sections. ALL OTHER SECTIONS NOT EXPLICITLY MARKED
  37. APPLY TO ALL USERS.

  39. For your reference, you may refer to the copy of this EULA that
  40. can be found in the license.txt file of this SOFTWARE PRODUCT.

  44. SOFTWARE PRODUCT LICENSE
  45.  
  46. The SOFTWARE PRODUCT is protected by copyright laws and
  47. international copyright treaties, as well as other intellectual
  48. property laws and treaties.  The SOFTWARE PRODUCT is licensed,
  49. not sold.
  50.  
  51. 1.  GRANT OF LICENSE.  This EULA grants you the following rights:
  52.  
  53.   Applications Software--TRIAL USE. NWPSW grants to you the
  54. right to use one copy of the SOFTWARE PRODUCT on a single
  55. computer for evaluation purposes during a Trial Usage Period
  56. not to exceed thirty (30) days. If you want to continue using
  57. this software after the Trial Usage Period, you MUST make a
  58. registration/purchase payment to Northwest Performance Software,
  59. Inc. or its authorized representatives. Using this software
  60. after the Trial Usage Period without purchasing the software
  61. is a violation of the terms of this limited license. 
  62.   Applications Software--REGISTERED VERSION.  You may install
  63. and use one copy of the SOFTWARE PRODUCT on a single computer.
  64.   Storage/Network Use.  You may also store or install a copy of
  65. the SOFTWARE PRODUCT on a storage device, such as a network
  66. server, used only to install or run the SOFTWARE PRODUCT on
  67. your other computers over an internal network; however, you must
  68. acquire and dedicate a license for each separate computer on
  69. which the SOFTWARE PRODUCT is installed or run from the storage
  70. device.  A license for the SOFTWARE PRODUCT may not be shared or 
  71. used concurrently on different computers.
  72.   Additional Installation Licenses.  If you have acquired this
  73. EULA in a SOFTWARE PRODUCT with an accompanying Additional License
  74. Certificate, you may make the number of additional copies of the
  75. computer software portion of the SOFTWARE PRODUCT authorized on
  76. the printed copy of the Additional License Certificate, and you
  77. may use each copy in the manner specified above.

  79.   Reservation of Rights. All rights not expressly granted are
  80. reserved by NWPSW.
  81.  
  82. 2.  DESCRIPTIONS OF OTHER RIGHTS AND LIMITATIONS.
  83.  
  84.   Limitations on Reverse Engineering, Decompilation, and
  85. Disassembly. You may not reverse engineer, decompile, 
  86. or disassemble the SOFTWARE PRODUCT, except and only to the
  87. extent that such activity is expressly permitted by 
  88. applicable law notwithstanding this limitation.
  89.   Separation of Components.  The SOFTWARE PRODUCT is licensed
  90. as a single product.  Its component parts may not be separated
  91. for use on more than one computer.
  92.   Trademarks. This EULA does not grant you any rights in connection
  93. with any trademarks or service marks of NWPSW.
  94.   Rental. You may not rent, lease or lend the SOFTWARE PRODUCT.
  95.   Support Services. NWPSW may provide you with support services
  96. related to the SOFTWARE PRODUCT ("Support Services"). Use of
  97. Support Services is governed by the NWPSW policies and programs
  98. described in the user manual, in "online" documentation, and/or
  99. other NWPSW-provided materials. Any supplemental software code
  100. provided to you as a part of Support Services shall be considered
  101. part of the SOFTWARE PRODUCT and subject to the terms and
  102. conditions of this EULA. With respect to technical information
  103. you provide to NWPSW as part of the Support Services, NWPSW may use
  104. such information for its business purposes, including for product
  105. support and development. NWPSW will not utilize such technical
  106. information in a form that personally identifies you.
  107.   Software Transfer. You may permanently transfer all of your
  108. rights under this EULA, provided you retain no copies, you transfer
  109. all of the SOFTWARE PRODUCT (including all component parts, the
  110. media and printed materials, any upgrades, this EULA and, if
  111. applicable, the Certificate of Authenticity), and the recipient
  112. agrees to the terms of this EULA. If the SOFTWARE PRODUCT portion
  113. is an upgrade, any transfer must include all prior versions of the
  114. SOFTWARE PRODUCT.
  115.    Termination.  Without prejudice to any other rights, NWPSW may
  116. terminate this EULA if you fail to comply with the terms and
  117. conditions of this EULA. In such event, you must destroy all
  118. copies of the SOFTWARE PRODUCT and all of its component parts.

  120. 3.  UPGRADES.  If the SOFTWARE PRODUCT is labeled as an upgrade,
  121. you must be properly licensed to use a product identified by NWPSW
  122. as being eligible for upgrade in order to use the SOFTWARE PRODUCT.
  123. A SOFTWARE PRODUCT labeled as an upgrade replaces and/or
  124. supplements the product that formed the basis for your eligibility
  125. for the upgrade.  You may use the resulting upgraded product only in
  126. accordance with the terms of this EULA. If the SOFTWARE PRODUCT is
  127. an upgrade of a component of a package of software programs that you
  128. licensed as a single product, the SOFTWARE PRODUCT may be used and
  129. transferred only as part of that single product package and may not
  130. be separated for use on more than one computer.
  131.  
  132. 4.  COPYRIGHT. All title and copyrights in and to the SOFTWARE PRODUCT
  133. (including but not limited to any images, photographs, animations,
  134. video, audio, music, text and "applets," incorporated into the
  135. SOFTWARE PRODUCT), the accompanying printed materials, and any copies
  136. of the SOFTWARE PRODUCT, are owned by NWPSW or its suppliers. All title
  137. and intellectual property rights in and to the content which may be
  138. accessed through use of the SOFTWARE PRODUCT is the property of the
  139. respective content owner and may be protect by applicable copyright or
  140. the intellectual property laws and treaties. This EULA grants you no
  141. rights to use such content. If this SOFTWARE PRODUCT contains
  142. documentation which is provided only in electronic form, you may print
  143. one copy of such electronic documentation. You may not copy the printed
  144. materials accompanying the SOFTWARE PRODUCT.

  146. 4a. TRIAL USE COPYRIGHT ADDENDUM.
  147. "Unregistered" trial versions of the SOFTWARE may be uploaded
  148. to World Wide Web Software repositories or CDROM collections for the
  149. strict purpose of download and distribution to other users. This
  150. paragraph does not apply to purchased or registered copies of the
  151. SOFTWARE PRODUCT.

  153. 5.  U.S. GOVERNMENT RESTRICTED RIGHTS. The SOFTWARE PRODUCT and
  154. documentation are provided with RESTRICTED RIGHTS. Use, duplication, or
  155. disclosure by the Government is subject to restrictions as set forth in
  156. subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer
  157. Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2)
  158. of the Commercial Computer Software-Restricted Rights at
  159. 48 CFR 52.227-19, as applicable. Manufacturer Northwest Performance

  162. 6.  EXPORT RESTRICTIONS. You agree that neither you nor your customers
  163. intend to or will, directly or indirectly, export or transmit the
  164. SOFTWARE PRODUCT or related documentation and technical data to any
  165. country to which such export or transmission is restricted by any
  166. applicable U.S. regulation or statute, without the prior written
  167. consent, if required, of the Bureau of Export Administration (BXA) of
  168. the U.S. Department of Commerce, or such other governmental entity as
  169. may have jurisdiction over such export or transmission. You warrant
  170. and represent that neither the BXA nor any other U.S. federal agency
  171. has suspended, revoked, or denied your export privileges.

  173. 7.  GOVERNING LAW. If you acquired the SOFTWARE in the United States of
  174. America, the laws of the State of Washington, U.S.A will apply to this
  175. contract. If this product was acquired outside the United States, then
  176. local law may apply.

  182. WARRANTY INFORMATION
  183.  
  184. DISCLAIMER OF WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED
  185. BY APPLICABLE LAW, NWPSW AND ITS SUPPLIERS PROVIDE THE
  186. SOFTWARE 'AS IS' AND WITH ALL FAULTS, AND HEREBY DISCLAIM
  187. ALL OTHER WARRANTIES AND CONDITIONS, EITHER EXPRESS OR
  188. IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES
  189. OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
  190. TITLE, AND NON-INFRINGEMENT, WITH REGARD TO THE SOFTWARE
  191. PRODUCT, AND THE PROVISION OF OR FAILURE TO PROVIDE
  192. SUPPORT SERVICES.  THIS LIMITED WARRANTY GIVES YOU
  193. SPECIFIC LEGAL RIGHTS.  YOU MAY HAVE OTHERS, WHICH VARY
  194. FROM STATE/JURISDICTION TO STATE/JURISDICTION.
  195.  
  196. LIMITATION OF LIABILITY.  TO THE MAXIMUM EXTENT PERMITTED
  197. BY APPLICABLE LAW, IN NO EVENT SHALL NWPSW OR ITS
  198. SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT,
  199. OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT
  200. LIMITATION, DAMAGES FOR ANY INJURY TO PERSON OR PROPERTY,
  201. DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS
  202. INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER
  203. PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO
  204. USE THE SOFTWARE PRODUCT OR THE PROVISION OF OR FAILURE TO 
  205. PROVIDE SUPPORT SERVICES, EVEN IF NWPSW HAS BEEN ADVISED
  206. OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, NWPSWÆS
  207. ENTIRE LIABILITY UNDER ANY PROVISION OF THIS EULA SHALL BE
  208. LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE
  209. SOFTWARE PRODUCT. BECAUSE SOME STATES AND JURISDICTIONS
  210. DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY,
  211. THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
