  1. NOTICE:

  3. This software is licensed as evaluation software free of 
  4. charge for thirty (30) days from date of first installation,
  5. at which time, this license will expire.  During this
  6. 30 day evaluation period, the following license agreement
  7. will apply, or upon the purchase of one license for each 
  8. computer on which this software is used, the following 
  9. license agreement will also apply:

  11. Software License Agreement between Akrontech and the End-User
  12. ========================================================

  14. PLEASE READ THIS DOCUMENT CAREFULLY.  BY INSTALLING
  15. THE SOFTWARE, YOU ARE AGREEING TO BECOME BOUND BY 
  16. THE TERMS AND CONDITIONS OUTLINED BELOW.  IF YOU DO NOT 
  17. AGREE TO THE TERMS OF THIS AGREEMENT, YOU ARE NOT 
  18. AUTHORIZED TO USE THIS SOFTWARE.

  20. This is a legal agreement between you and Akrontech
  21. ("Akrontech").  This Agreement states the terms and conditions 
  22. upon which Akrontech offers to license the software with all 
  23. related documentation and accompanying items including, but not 
  24. limited to, the executable programs, drivers, libraries and data 
  25. files associated with such programs (collectively, the "Software").
  26.  
  27. This software is protected by copyright laws and international 
  28. copyright treaties, as well as other intellectual property laws 
  29. and treaties. This software is only licensed for use, not sold.
  30.  
  31. LICENSE
  32.  
  33. 1.    Grant of License.
  34.     The Software is licensed, not sold, to you for use only 
  35.     under the terms of this Agreement.  You own the disk or 
  36.     other media on which the Software is originally or 
  37.     subsequently recorded or fixed; but, as between you and 
  38.     Akrontech (and, to the extent applicable, its licensors), 
  39.     Akrontech retains all title to and ownership of the 
  40.     Software and reserves all rights not expressly granted 
  41.     to you.

  43. 2.    For Use on a Single Computer after 30 days.
  44.     During the initial 30-day evaluation period, the software 
  45.     can be freely installed onto any computer by anyone.
  46.     Following the 30-day trial period and provided that you 
  47.     have registered and paid for your copy of ENUFF,
  48.     the Software may be used by you only on a single computer 
  49.     with a single CPU. If there is a need for the Software to 
  50.     operate on more than one computer, please contact Akrontech
  51.     and discuss multi-user arrangement options.

  53. 3.    Stand Alone Basis.
  54.     You may use the Software only on a stand-alone basis, such 
  55.     that the Software and the functions it provides are 
  56.     accessible only to persons who are physically present at 
  57.     the location of the computer on which the Software is 
  58.     loaded.

  60. 4.    No Merger or Integration.
  61.     You may not merge any portion of the Software into, or 
  62.     integrate any portion of the Software with, any other 
  63.     program, except to the extent expressly permitted by the 
  64.     laws of the jurisdiction where you are located.  Any portion 
  65.     of the Software merged into or integrated with another 
  66.     program, if any, will continue to be subject to the terms 
  67.     and conditions of this Agreement, and you must reproduce on
  68.     the merged or integrated portion all copyright and other 
  69.     proprietary rights notices included on the originals of the 
  70.     Software.

  72. 5.    Network Version.
  73.     This software will operate on a network for the purpose of 
  74.         having one set of "user configurations" on one computer. Each 
  75.         computer on the network will require a separate license. 
  76.         In the case of a network, the user "client" computer must 
  77.         use the Windows 95/98 operating system.  The server (where the
  78.         user configurations will reside), could operate with 
  79.         Windows 95/98 or NT.  If the "server" computer runs Windows NT
  80.         however, then that computer will not be protected with Enuff.
  81.         Its sole function will be to host the user configuration files. 
  82.         
  83. 6.    Transfer of License.
  84.     You may not transfer your license of this Software to another 
  85.         person.  You may however transfer your license to another 
  86.         computer you own, up to three times.

  88. 7.    Limitations on Using, Copying, and Modifying the Software.
  89.     Except to the extent expressly permitted by this Agreement or 
  90.     by the laws of the jurisdiction where you acquired the 
  91.     Software, you may not modify the Software nor may you 
  92.     sub-license any of your rights under this Agreement.

  94. 8.    Decompiling, Disassembling, or Reverse Engineering.
  95.     You acknowledge that the Software contains trade secrets and 
  96.     other proprietary information of Akrontech and its licensors.  
  97.     Except to the extent expressly permitted by this Agreement or 
  98.     by the laws of the jurisdiction where you are located, you 
  99.     may not decompile, disassemble or otherwise reverse engineer 
  100.     the Software, or engage in any other activities to obtain 
  101.     underlying information that is not visible to the user in 
  102.     connection with normal use of the Software.  In any event, 
  103.     you will notify Akrontech of any information derived from 
  104.     reverse engineering or such other activities, and the results 
  105.     thereof will constitute the confidential information of 
  106.     Akrontech that may be used only in connection with the 
  107.     Software.

  109. 9.      Copyright
  110.     All title and copyrights in and to this software and any 
  111.     copies thereof are owned by Akrontech or its suppliers. All
  112.     title and intellectual property rights in and to the content 
  113.     which may be accessed through use of this software is the 
  114.     property of the respective content owner and may be protected 
  115.     by applicable copyright or other intellectual property laws 
  116.     and treaties.  This license grants you no rights to use such
  117.     content.

  120. TERMINATION
  121.  
  122. Within  the first 30 day trial period, you can terminate this 
  123. agreement by simply removing the program from your computer.
  124.  
  125. Following the initial 30-day evaluation period, you must register and 
  126. pay for the use of this software.  There is no refund after the 
  127. registartion and payment of the software.
  128.  
  129. In certain cases, resellers may sell the software with a 30-day money 
  130. back guarantee.  During these 30 days the software will function as a 
  131. 30-day trial version.  If the purchaser is not satisfied with the 
  132. benefits of the program, the purchaser will be entitled to a full 
  133. refund provided that the purchaser has not registered the software
  134. and obtained a serial number.  Registering the software and obtaining 
  135. a serial number, waives the purchaser's entitlement to a refund.
  136.  
  137. The license will also terminate automatically without any notice 
  138. from Akrontech if you fail to comply with any term or condition of 
  139. this Agreement.  You agree upon such termination to return the Software
  140. (including any portions or copies thereof) to Akrontech.  Upon 
  141. termination, Akrontech may also enforce any rights provided by law.  
  142. The provisions of this Agreement that protect the proprietary rights 
  143. of Akrontech will continue to be in force after termination.

  146. U.S. GOVERNMENT RESTRICTED RIGHTS
  147.  
  148. All Software and related documentation are provided with restricted 
  149. rights. Use, duplication or disclosure by the U.S. Government is 
  150. subject to restrictions as set forth in subdivision (b)(3)(ii) of 
  151. the Rights in Technical Data and Computer Software Clause at 
  152. 252.227-7013.  If you are sub-licensing or using the Software 
  153. outside of the United States, you will comply with the applicable 
  154. local laws of your country, U.S. export control law, and the 
  155. English version of this Agreement.

  158. LIMITED WARRANTY
  159.  
  160. Akrontech warrants, as the sole warranty, that the disks on which the
  161. Software is furnished will be free of defects.  No distributor, dealer 
  162. or any other entity or person is authorized to expand or alter this 
  163. warranty or any other provisions of this Agreement.  Any representation, 
  164. other than the warranties set forth in this Agreement, will not bind 
  165. Akrontech.  
  166.  
  167. Akrontech does not warrant that the functions contained in the 
  168. Software will meet your requirements or that the operation of the 
  169. Software will be uninterrupted or error-free.  EXCEPT AS STATED 
  170. ABOVE IN THIS AGREEMENT, THE SOFTWARE IS PROVIDED AS-IS 
  171. WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED,
  172. INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF 
  173. MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

  175. You assume full responsibility for the selection of the Software to 
  176. achieve your intended results, and for the installation, use and 
  177. results obtained from the Software.  You also assume the entire 
  178. risk as it applies to the quality and performance of the Software.  
  179.  
  180. This warranty gives you specific legal rights, and you may also have 
  181. other rights which vary from country/state to country/state.  Some 
  182. countries/states do not allow the exclusion of implied warranties, 
  183. so the above exclusion may not apply to you.  Akrontech disclaims all 
  184. warranties of any kind if the Software was customized, repackaged or 
  185. altered in any way by any third party other than Akrontech.

  188. LIMITATION OF REMEDIES AND DAMAGES
  189.  
  190. Akrontech's entire liability and your exclusive remedy under this
  191. license shall not exceed twenty five dollars (US$25.00). In
  192. no event will Akrontech or its licensors be liable for any indirect, 
  193. incidental, special or consequential damages or for any lost 
  194. profits, lost savings, lost revenues or lost data arising from or 
  195. relating to the Software or this Agreement, even if Akrontech or its
  196. licensors have been advised of the possibility of such damages.  
  197.  
  198. Some countries/states do not allow the limitation or exclusion of 
  199. liability for incidental or consequential damages, so the above 
  200. limitation or exclusion may not apply to you.  In no event will 
  201. Akrontech's liability or damages to you or any other person ever 
  202. exceed the amount paid by you to use the Software, regardless of 
  203. the form of the claim.

  219. GENERAL
  220.  
  221. This Agreement is binding on you as well as your employees, 
  222. employers, contractors and agents, and on any successors and 
  223. assignees. This Agreement is 
  224. governed by the laws of the State of  New York and Ontario, Canada
  225.  (except to the extent federal law governs copyrights and federally 
  226. registered trademarks). This Agreement is the entire agreement between 
  227. us and supersedes any other understandings or agreements, including, 
  228. but not limited to, advertising, with respect to the Software.  
  229.  
  230. If any provision of this Agreement is deemed invalid or 
  231. unenforceable by any country or government agency having 
  232. jurisdiction, that particular provision will be deemed modified 
  233. to the extent necessary to make the provision valid and 
  234. enforceable, and the remaining provisions will remain in full 
  235. force and effect.
