  5. *** LICENSE AGREEMENT ***

  7. This license ("License")  contains rights and restrictions associated
  8. with use of the accompanying software. Read the License carefully
  9. before utilizing the software. Unless you have a different license
  10. agreement signed by Interactive Information R&D, LLC ("I2RD") your use
  11. of this software indicates your acceptance of this license agreement and
  12. warranty.

  14. 1.    Evaluation License Grant.
  15.  
  16. This section applies to unlicensed copies of the software.
  17.  
  18. I2RD grants to you ("Licensee") a nonexclusive, nontransferable, evaluation
  19. license to use this software subject to the terms below.
  20.  
  21. This is not free software.  Subject to the terms below, you are
  22. hereby licensed to use this software for evaluation purposes
  23. without charge for a period of 60 days.  If you use this software
  24. after the 60 day evaluation period a license fee is
  25. required. License fees can be paid according to instructions
  26. at http://www.cdeverywhere.com.

  28. Unlicensed use of CDEveryWhere after the 60-day evaluation period
  29. is in violation of U.S. and international copyright laws.
  30.  
  31. 2.      Limited License Grant.
  32.  
  33. This section applies to licensed copies of the software.
  34.  
  35. I2RD grants to you ("Licensee") a nonexclusive, nontransferable, license
  36. to use this software subject to the terms below.
  37.  
  38. 3.      Restrictions.
  39.  
  40. One unlicensed copy of CDEveryWhere may be used by a single
  41. person who uses the software personally on one or more computers.
  42. Licensee agrees that it shall use the software solely for Licensee's
  43. internal evaluation purposes and not for computer operations of any
  44. critical nature.
  45.  
  46. One personal licensed copy of CDEveryWhere may be used by a single
  47. person who uses the software personally on one computer.
  48. Licensee agrees that it shall use the software solely for Licensee's
  49. personal use, and not for business or work related purposes.
  50.  
  51. One standard or professional licensed copy of CDEveryWhere may be used
  52. on a single workstation used nonsimultaneously by one or more people.
  53.  
  54. You may access the standard or professional licensed version of CDEveryWhere
  55. through a network, provided that you have obtained individual licenses for the
  56. software covering all workstations that will access the software
  57. through the network.  For instance, if 8 different workstations
  58. will access CDEveryWhere on the network, each workstation must have its
  59. own CDEveryWhere standard or professional license, regardless of whether
  60. they use CDEveryWhere at different times or concurrently.

  62. 3.      Copyright and Title.
  63.  
  64. The Software is copyrighted and title to all copies is retained by
  65. I2RD.  Licensee shall not make copies of Software, other than a single copy
  66. of software in machine-readable format for back-up or archival purposes and, if
  67. applicable, Licensee may print one copy of on-line documentation, in
  68. which event all proprietary rights notices on Software and on-line
  69. documentation shall be reproduced and applied to all copies.  Unless
  70. enforcement of this provision is prohibited by applicable law, Licensee
  71. shall not modify, decompile, disassemble, decrypt, extract, or
  72. otherwise reverse engineer Software.  Software may not be transferred,
  73. leased, assigned, or sublicensed, in whole or in part.  No right, title
  74. or interest in and to any trademarks or trade names of I2RD or I2RD's
  75. licensors is granted hereunder.

  78. 4.      Distribution of Created Compact Disc (CD) Images
  79.  
  80. If you are evaluating an unlicensed copy of the software, you may not
  81. distribute CD image files or compact discs created from said
  82. CD image files for any purpose other than evaluation of the software.
  83.  
  84. If you purchased a personal license you may not distribute CD image files
  85. or compact discs created from said CD image files for purposes other
  86. than personal use. You are strictly forbidden to distribute CD image files
  87. or compact discs created from said CD image files for business or
  88. work-related purposes, or for public distribution.

  90. If you purchased a standard or professional license you may distribute
  91. CD image files and compact discs created from said CD image files without
  92. limitation.
  93.  
  94. 5.      Governing Law
  95.  
  96. This Agreement is made under, shall be governed by and construed
  97. in accordance with the laws of the State of Nebraska, U.S.A.,
  98. excluding its choice of law provisions.

  100. 6.      Disclaimer of Warranty
  101.  
  102. THIS SOFTWARE AND THE ACCOMPANYING FILES ARE SOLD "AS IS" AND
  103. WITHOUT WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY
  104. OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. Because of the
  105. various hardware and software environments into which the software may
  106. be used, NO WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE IS
  107. OFFERED.
  108.  
  109. 7.      Limitation of Liability.
  110.  
  111. IN NO EVENT WILL I2RD BE LIABLE FOR ANY LOST REVENUE,
  112. PROFIT OR DATA,  OR FOR DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL,
  113. INCIDENTAL OR PUNITIVE DAMAGES HOWEVER CAUSED AND REGARDLESS OF THEORY
  114. OF LIABILITY ARISING OUT OF THE USE OF OR INABILITY TO USE  SOFTWARE,
  115. EVEN IF I2RD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  117. 8.      Termination.
  118.  
  119. Licensee may terminate this License at any time
  120. by destroying all copies of the software including any documentation.  This
  121. License will terminate immediately without notice from I2RD if Licensee
  122. fails to comply with any provision of this License.  Upon termination,
  123. Licensee must destroy all copies of Software.  
  124.  
  125. 9.      Export Regulations.
  126.  
  127. Software, including technical data, is subject to U.S.
  128. export control laws, including the U.S. Export Administration Act and
  129. its associated regulations, and may be subject to export or import
  130. regulations in other countries.  Licensee agrees to comply strictly
  131. with all such regulations and acknowledges that it has the
  132. responsibility to obtain licenses to export, re-export, or import
  133. Software.

  135. 10.     Severability.
  136.  
  137. If any of the above provisions are held to be in violation of applicable law,
  138. void, or unenforceable  in any jurisdiction, then such provisions are
  139. herewith waived to the extent necessary for the License to be otherwise
  140. enforceable in such jurisdiction,   However, if in I2RD's opinion
  141. deletion of any provisions of the License by operation of this
  142. paragraph  unreasonably compromises the rights or liabilities of I2RD or
  143. its licensors, I2RD reserves the right to terminate the License and
  144. refund the fee paid by Licensee as Licensee's sole and exclusive
  145. remedy.

  147. 11.     Integration.
  148.  
  149. This Agreement is the entire agreement between Licensee and I2RD relating
  150. to the software and: (i) supersedes all prior or contemporaneous oral or
  151. written communications, proposals and representations with respect to its
  152. subject matter; and (ii) prevails over any conflicting or additional terms
  153. of any quote, order, acknowledgment, or similar communication between the
  154. parties during the term of this Agreement. No modification to the Agreement
  155. will be binding, unless in writing and signed by a duly authorized
  156. representative of each party.
