  25.  1. PRODUCT OVERVIEW

  27.  BS/1 Professional is a fully integrated, network ready 
  28.  time billing and accounting system. Accounts Payable, 
  29.  Accounts Receivable, General Ledger, and Time Billing.
  30.  
  31.  Client projects/jobs are tracked by priority and due date. 
  32.  Project leaders may be assigned to jobs and the tasks which 
  33.  make up the jobs may be assigned to general employees. 
  34.    
  35.  Time is billed against the tasks which make up a job. The 
  36.  hourly rate charged is based on the "Task Type" or from an 
  37.  optional custom rate for the task.
  38.  
  39.  Multi-currency features facilitate selling and purchasing
  40.  internationally. Payables and receivables are tracked
  41.  separately for each currency. Also the GL system shows
  42.  revenue and expenses converted from foreign currency to
  43.  domestic currency, so you can trade in multiple currencies
  44.  while your books remain in domestic currency.
  45.  
  46.  Taxes are very flexible to facilitate VAT, GST, PST, HST, 
  47.  etc. in various countries.

  49.  Invoices and checks may be handwritten or computer printed.
  50.  
  51.  User-defined financial statements can be created through a 
  52.  simple set-up process. GL account balances can be viewed on
  53.  screen with drill-down to original source transactions.

  55.  An integrated dialer is linked to customers, invoices, etc. 
  56.  plus email and browser links.

  58.  The system comes with sample data to provide a quick 
  59.  overview of it's capabilities and there is an optional 
  60.  Getting Started wizard to assist with entering initial live
  61.  data. The wizard sets up common GL accounts which can later
  62.  be changed, deleted, or added to.

  64.  BS/1 Professional has a very simple and intuitive interface,
  65.  suitable for use by non-accountants while powerful enough to 
  66.  satisfy experienced accountants.

  73.  2. MINIMUM SYSTEM REQUIREMENTS

  75.  BS/1 Professional requires Windows 95, 98, or NT 3.51
  76.  or a 100% compatible operating system, an 80486 or better
  77.  processor, and 16Mb of system memory.

  79.  About 10Mb of disk space is required for program files.

  84.  3. INSTALLATION
  85.  ---------------------------------------------------------
  86.  Before installing, you MUST un-install any previous version.
  87.  BUT FIRST! To save your data you should first copy the folder
  88.  (directory) containing your tables. eg. create folder named
  89.  C:\BS1Pro\DataOld and copy to it the contents of C:\BS1Pro\Data.
  90.  You should also back up your data. After installation, import  
  91.  your old data via the "Import" option on menu File -> General.
  92.  This will also automatically import your license information.
  93.  
  94.  Note: If upgrading from prior to version 1.6, any "shipto" 
  95.  customers linked to a different "billto" are NOT imported.
  96.  
  97.  If you downloaded bs1pr.zip (or bs1pr1xx.zip etc.) you must 
  98.  unzip (decompress) the file using PKZip, WINZip or a similar
  99.  utility. PKZip is available from www.pkware.com.

  101.  To start the installation, run the SETUP.EXE program by double- 
  102.  clicking on it or via Control Panel -> Add/Remove Programs.

  188. LICENSE AGREEMENT

  190. This is a legal agreement between you and Davis Business Systems Ltd. ("DBS").  
  191. YOU SHOULD CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS BEFORE RUNNING THE 
  192. INSTALL PROCEDURE FOR THE SOFTWARE PACKAGE.  INSTALLING THE SOFTWARE PACKAGE 
  193. INDICATES YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS.  IF YOU DO NOT AGREE TO 
  194. THE TERMS OF THIS AGREEMENT, DELETE THE BS/1 PROFESSIONAL SOFTWARE FILES FROM 
  195. YOUR COMPUTER.  PLEASE PRINT A COPY OF THIS AGREEMENT FOR YOUR FILES.  DBS MAY 
  196. MODIFY THIS AGREEMENT AT ANY TIME, FOR ANY REASON WITHOUT PRIOR NOTICE TO YOU.

  198. 1.  DBS grants you a non-exclusive, royalty-free license, as provided for herein, 
  199. for the use of DBS's computerized accounting system ("BS/1 PROFESSIONAL") in 
  200. association with your IBM or compatible personal computer, modem and printer and 
  201. for no other purpose.  You agree to adhere to DBS's instructions as provided in 
  202. BS/1 PROFESSIONAL and its related materials for the installation and use of BS/1 
  203. PROFESSIONAL.  DBS may modify or upgrade BS/1 PROFESSIONAL at any time for any 
  204. reason. 
  205.  
  206. 2.  BS/1 PROFESSIONAL is owned by DBS and is protected by Canadian copyright laws, 
  207. international treaty provisions and all other applicable national laws.  Therefore, 
  208. you must treat BS/1 PROFESSIONAL like any other copyrighted material (e.g. book).  
  209. You may not copy any written materials accompanying BS/1 PROFESSIONAL.
  210.  
  211. 3.  You may not rent or lease BS/1 PROFESSIONAL, sub-license or otherwise transfer 
  212. or encumber its rights or obligations hereunder without the prior written approval of DBS.
  213.  
  214. 4.  You understand and acknowledge that the License is strictly limited to its terms 
  215. and, in particular, grants no rights to any other person and is restricted in its 
  216. application solely for use by you.  You may not transfer, transmit, disclose, modify, 
  217. translate, adapt, reproduce, decompile, reverse engineer or disassemble BS/1 PROFESSIONAL 
  218. or any documentation related thereto without DBS's written approval.
  219.  
  220. 5.  You shall indemnify and save harmless DBS from and against any and all claims, suits, 
  221. actions, costs (including reasonable legal fees and disbursements) or other liabilities 
  222. to any person whatsoever arising in any way out of or in respect of any breach by you of 
  223. your obligations or the restrictions set forth in this Agreement.

  225. 6.  DBS represents and warrants that BS/1 PROFESSIONAL is provided "as is" without 
  226. warranty of any kind, for your use and at your sole risk.  DBS DISCLAIMS ALL OTHER WARRANTIES, 
  227. EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY 
  228. AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO BS/1 PROFESSIONAL AND ANY ACCOMPANYING 
  229. WRITTEN MATERIALS.  THERE ARE NO WARRANTIES THAT BS/1 PROFESSIONAL WILL MEET ALL OF YOUR 
  230. REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT ANY DEFECT 
  231. IN BS/1 PROFESSIONAL WILL BE CORRECTED.  DBS MAKES NO WARRANTIES OR REPRESENTATIONS RELATING 
  232. TO THE RESULTS OF YOUR USE OF BS/1 PROFESSIONAL WITH RESPECT TO ITS CAPABILITY, CORRECTNESS, 
  233. ACCURACY, RELIABILITY OR OTHERWISE.  NO ORAL OR WRITTEN INFORMATION, REPRESENTATION OR ADVICE 
  234. GIVEN BY DBS OR AN AUTHORIZED REPRESENTATIVE OF DBS SHALL CREATE A WARRANTY.

  236. 7.  IN NO EVENT SHALL DBS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, 
  237. DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION, 
  238. DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, 
  239. OR OTHER PECUNIARY LOSS) ARISING OUT OF THE INSTALLATION, USE OR REMOVAL OF OR INABILITY TO 
  240. USE BS/1 PROFESSIONAL, EVEN IF DBS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  
  241.  
  242. 8. This License will terminate without notice to you upon your failure to comply with any 
  243. provision of this License or DBS's instructions regarding BS/1 PROFESSIONAL.  Upon 
  244. termination you must immediately cease using BS/1 PROFESSIONAL and delete all copies of 
  245. same from your computer.  The provisions of Sections 2, 6, and 7, will survive termination 
  246. of this Agreement.

  248. 9. This Agreement constitutes the entire Agreement between the Parties relating to the subject 
  249. matter hereof and supersedes all prior agreements, written or oral, between the Parties relating 
  250. to the subject matter hereof.  There are no other terms including without limitation any 
  251. representation and warranties other than those provided herein.  No waiver, amendment, addition 
  252. or deletion to this Agreement shall be binding unless approved in writing by DBS.
  253.  
  254. 10. This Agreement is governed by the laws of the Province of British Columbia.  Each of the 
  255. parties hereto irrevocably attorns to the jurisdiction of the courts of the Province of British 
  256. Columbia and further agrees to commence any litigation which may arise hereunder in the courts 
  257. of British Columbia.
