  1. Software License Agreement and Limited Warranty
  2.  
  3. ATTENTION: You MUST have administrator privileges in
  4. order to successfully install this product.  Do not
  5. proceed with the installation until you have verified
  6. that your current account has administrator privileges.
  7.  
  8. This is a legal agreement (this 'License') between you, 
  9. the end user, and Netopia Inc. ('Netopia'). 
  10. Opening the enclosed disk envelope or, if electronically 
  11. distributed, downloading and using the Software indicates 
  12. that you accept and agree to comply with these terms. 
  13. If you do not agree to these terms, (a) you may so notify 
  14. Netopia within thirty (30) days of downloading for a full 
  15. refund, or (b) you may write to Netopia with a request 
  16. to modify any term of this License. Please allow six 
  17. (6) weeks for a response.

  19. 1.  GRANT OF LICENSE. Netopia grants to you a non-exclusive, 
  20. personal license to use the Software as provided in this 
  21. License. Each permitted copy of the Software may be stored 
  22. in memory (either temporary or 'permanent'), on no more than 
  23. one computer at any one time.  However, you may install the 
  24. Software on a network server for the sole purpose of valid 
  25. distribution to other computers.

  27. 2.  COPYRIGHT. The Software is owned by Netopia or its 
  28. suppliers and is protected by United States copyright laws 
  29. and international treaty provisions. This means that you 
  30. must treat the Software like a book, musical recording or 
  31. any other copyrighted material.  Nevertheless, Netopia 
  32. gives you the right to (a) make two copies of the 
  33. Software solely for backup or archival purposes, or 
  34. (b) transfer the Software to a single hard disk, provided 
  35. you keep the original solely for backup or archival purposes. 
  36. You may not copy the written materials accompanying the 
  37. Software (called the 'Documentation').  You should be 
  38. aware that illegal copying or distribution of copyrighted 
  39. material is investigated by the FBI, and is punishable by 
  40. prison terms of up to 10 years.

  42. 3.  OTHER RESTRICTIONS. You may not rent or lease the 
  43. Software, but you may permanently transfer the Software 
  44. and Documentation provided you retain no copies and the 
  45. recipient agrees to the terms of this Agreement. You may 
  46. not modify, reverse engineer, decompile, disassemble, or 
  47. create derivative works from the Software or Documentation.

  49. 4.  TERM.  This License is effective until terminated.  
  50. You may terminate the license at any time by returning 
  51. the Software and all Documentation to Netopia and by 
  52. removing the Software from the memory of the computer 
  53. into which the Software has been transferred. This 
  54. License may be terminated by Netopia immediately and 
  55. without notice in the event that you fail to comply 
  56. with any term or condition hereof. Upon any termination, 
  57. you will return to Netopia, at your expense, the 
  58. Software and Documentation and any copies whether or not 
  59. the copying was authorized.

  61. 5.  GOVERNMENT LICENSEE. The Software and Documentation 
  62. are provided with Restricted Rights.  Use, duplication, 
  63. or disclosure by the U.S. Government is subject to 
  64. restrictions as set forth in the Rights in Technical 
  65. Data and Computer Software clause at DFARS 252.227-7013 
  66. and the Commercial Software-Restricted Rights Clause 
  67. at 48 CFR 52.227-19.  Manufacturer is Netopia, Inc.

  70. 6. EXPORT LAW ASSURANCES. You agree that neither the 
  71. Software nor any direct product thereof is being or 
  72. will be acquired, shipped, transferred, or reexported, 
  73. directly or indirectly, into any country prohibited 
  74. by the United States Export Administration Act and 
  75. the regulations thereunder or will be used for any 
  76. purpose prohibited by the same.

  78. 7.  SEVERABILITY. If for any reason, any provision 
  79. or partial provision of this License is held invalid, 
  80. such invalidity shall not affect the remainder of 
  81. such provision or this License, and this License 
  82. shall, to the full extent consistent with law, 
  83. continue in full force and effect.

  85. 8.  THIRD PARTY BENEFICIARIES. If any portion of the 
  86. Software has been licensed to Netopia by a third 
  87. party for redistribution, Licensee is hereby notified 
  88. that such third party is an intended third party 
  89. beneficiary of this License with full rights of 
  90. enforcement.

  92. 9.  GENERAL. The validity and performance of this 
  93. License shall be governed by California law, 
  94. except for that body of law dealing with conflict 
  95. of laws and except as to copyrights, which are 
  96. governed by United States laws and international 
  97. treaties. This License constitutes the entire 
  98. agreement between the parties concerning the 
  99. subject matter hereof. Any waiver or amendment 
  100. of any provision of this License shall be 
  101. effective only if in writing and signed by you 
  102. and an officer of Netopia. No distributor, 
  103. dealer, or employee (other than an officer) 
  104. of Netopia is authorized to change or amend 
  105. any terms of this License. In the event of any 
  106. conflict between the terms of this License and 
  107. the terms of any license bound into any manual 
  108. packaged with the Software, this License shall 
  109. govern.

  111. LIMITED WARRANTY
  112. Netopia warrants that for ninety (90) days 
  113. following delivery of the Software to you:  
  114. (1) the Software, unless modified by you, will 
  115. perform substantially the functions described in 
  116. the Documentation provided by Netopia; and 
  117. (2) the media on which the Software is furnished 
  118. will be free from defects in materials and 
  119. workmanship under normal use.
  120. Netopia does not 
  121. warrant that the Software will meet your 
  122. requirements or that operation of the Software 
  123. will be uninterrupted or error-free. Netopia 
  124. is not responsible for any problem, including 
  125. any problem which would otherwise be a breach 
  126. of warranty, caused by (i) changes in the 
  127. operating characteristics of computer hardware 
  128. or computer operating systems which are made 
  129. after the release of the Software, 
  130. (ii) interaction of the Software with non-Netopia 
  131. software or (iii) accident, abuse, or misapplication.

  133. THE ABOVE WARRANTIES ARE MADE BY NETOPIA 
  134. ALONE, AND THEY ARE THE ONLY WARRANTIES MADE 
  135. BY ANYONE REGARDING THE ENCLOSED SOFTWARE.  
  136. NETOPIA AND ITS LICENSOR(S) MAKE NO OTHER 
  137. WARRANTIES, EXPRESS OR IMPLIED, INCLUDING 
  138. WITHOUT LIMITATION THE IMPLIED WARRANTIES 
  139. OF MERCHANTABILITY AND FITNESS FOR A 
  140. PARTICULAR PURPOSE, REGARDING THE ENCLOSED 
  141. SOFTWARE. EXCEPT AS OTHERWISE EXPRESSLY 
  142. PROVIDED ABOVE, NETOPIA AND ITS LICENSOR(S) 
  143. DO NOT WARRANT, GUARANTEE OR MAKE ANY 
  144. REPRESENTATION REGARDING THE USE OR THE 
  145. RESULTS OF THE USE OF THE SOFTWARE IN TERMS 
  146. OF ITS CORRECTNESS, ACCURACY, RELIABILITY, 
  147. CURRENTNESS, OR OTHERWISE. THE ENTIRE RISK 
  148. AS TO THE RESULTS AND PERFORMANCE OF THE 
  149. SOFTWARE IS ASSUMED BY YOU. THE EXCLUSION 
  150. OF IMPLIED WARRANTIES IS NOT PERMITTED BY 
  151. SOME STATES OR JURISDICTIONS, SO THE ABOVE 
  152. EXCLUSION MAY NOT APPLY TO YOU. IN THAT 
  153. CASE, ANY IMPLIED WARRANTIES ARE LIMITED 
  154. IN DURATION TO NINETY (90) DAYS FROM THE 
  155. DATE OF DELIVERY OF THE SOFTWARE. THERE MAY 
  156. BE OTHER RIGHTS THAT YOU MAY HAVE WHICH VARY 
  157. FROM JURISDICTION TO JURISDICTION.

  159. LIMITATION OF REMEDIES
  160. Netopia's entire liability and your sole remedy under 
  161. the warranty during the ninety (90) day warranty period 
  162. is that Netopia shall, at its sole and exclusive 
  163. option, either replace the Software with a functionally 
  164. equivalent program at no charge to you or refund the 
  165. license fee of the Software. Any replacement Software 
  166. will be warranted for the remainder of the original 
  167. warranty period or thirty (30) days, whichever is 
  168. longer. These are your sole and exclusive remedies for 
  169. any breach of warranty during this ninety (90) day 
  170. period.

  172. REGARDLESS OF WHETHER OR NOT ANY REMEDY SET 
  173. FORTH HEREIN FAILS OF ITS ESSENTIAL PURPOSE, 
  174. IN NO EVENT WILL NETOPIA, ITS LICENSOR(S) 
  175. AND THE DIRECTORS, OFFICERS, EMPLOYEES OR 
  176. AGENTS OF ANY OF THEM BE LIABLE TO YOU FOR 
  177. ANY CONSEQUENTIAL, INCIDENTAL OR INDIRECT 
  178. DAMAGES (INCLUDING DAMAGES FOR LOSS OF 
  179. BUSINESS PROFITS, BUSINESS INTERRUPTION, 
  180. LOSS OF BUSINESS INFORMATION, AND THE LIKE) 
  181. ARISING OUT THE USE OR INABILITY TO USE 
  182. THE SOFTWARE EVEN IF NETOPIA OR ITS LICENSOR(S) 
  183. HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH 
  184. DAMAGES. BECAUSE SOME STATES OR JURISDICTIONS 
  185. DO NOT ALLOW THE EXCLUSION OR LIMITATION OF 
  186. LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL 
  187. DAMAGES, THE ABOVE LIMITATIONS MAY NOT APPLY 
  188. TO YOU. NETOPIA AND ITS LICENSOR(S) LIABILITY 
  189. TO YOU FOR ACTUAL DAMAGES FROM ANY CAUSE 
  190. WHATSOEVER, AND REGARDLESS OF THE FORM OF 
  191. THE ACTION (WHETHER IN CONTRACT, TORT [INCLUDING 
  192. NEGLIGENCE], PRODUCT LIABILITY OR OTHERWISE), 
  193. WILL BE LIMITED TO $50.
