  1. Chips and Technologies, Inc.
  2. SOFTWARE LICENSE AGREEMENT
  3. For End Users Only 
  4.  
  5. This is a legal agreement (the "Agreement") between Chips and
  6. Technologies, Inc. ("CHIPS") and you, the Licensee for the
  7. accompanying CHIPS software programs ("Licensee"). By downloading
  8. and using the software, Licensee agrees to be bound by the terms and
  9. conditions of this agreement.

  11. This Agreement does not cover manufacturers or vendors of PC systems
  12. or components thereof. In consideration of the promises and covenants
  13. hereafter set forth, including, without limitation, those rights granted
  14. herein by CHIPS that exceed the rights otherwise permitted under
  15. applicable copyright laws, Licensee and CHIPS agree as follows:

  17. 1. TERM OF AGREEMENT
  18.  
  19. This Agreement is effective until terminated. This Agreement will
  20. terminate immediately, without notice from CHIPS, if Licensee fails to
  21. comply with any provisions of this Agreement. Upon termination,
  22. Licensee will promptly destroy all copies of the software.

  24. 2. SCOPE OF RIGHTS
  25.  
  26. CHIPS hereby grants the Licensee a worldwide, nonexclusive,
  27. nontransferable license to use one copy of the software solely with a
  28. personal computer system that contains a CHIPS graphics controller
  29. product ("CHIPS Hardware"). This license does not include the right to
  30. sublicense any of these rights. Licensee may not disassemble or
  31. decompile the software.

  33. 3. NO WARRANTY
  34.  
  35. CHIPS PROVIDES THE PROGRAMS "AS IS". CHIPS DISCLAIMS ALL
  36. REPRESENTATIONS AND WARRANTIES, INCLUDING THE
  37. WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
  38. PURPOSE AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.
  39. CHIPS DOES NOT WARRANT THAT THE OPERATION OF THE
  40. PROGRAMS WILL BE WITHOUT INTERRUPTION OR ERROR FREE.

  42. 4. OWNERSHIP; COPYRIGHT NOTICE
  43.  
  44. The software is owned by CHIPS and is protected under United States
  45. and international copyright laws.
  46.  
  47. 5. LIMITATION OF LIABILITY
  48.  
  49. IN NO EVENT SHALL CHIPS BE LIABLE FOR ANY LOST PROFITS,
  50. OR INCIDENTAL, INDIRECT, CONSEQUENTIAL, SPECIAL OR
  51. PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES
  52. RESULTING FROM LOSS OF, DAMAGE TO OR INTERFERENCE
  53. WITH SYSTEMS, PROGRAMS OR DATA, EVEN IF CHIPS HAD BEEN
  54. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE
  55. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF
  56. LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE
  57. ABOVE LIMITATION MAY NOT APPLY TO LICENSEE.
