  1.                          SOFTWARE LICENSE AGREEMENT

  3. LICENSE:
  4. * This Limited Use Software License Agreement (the "Agreement") is a
  5.   legal agreement between you, the end-user ("Licensee"), and Ludus
  6.   Design ("Ludus").  By using this software or storing this program
  7.   ("Quadra") on a computer hard drive (or other media), you are
  8.   agreeing to be bound by the terms of this Agreement.

  10. * You may install this program to test and evaluate for 30 days;
  11.   after that time you must either register this program or delete it
  12.   from your computer hard drive.
  13.  
  14. * This software may be distributed freely on online services,
  15.   bulletin boards, or other electronic media as long as the files
  16.   are distributed in their entirety.  This software may not be
  17.   distributed on CD-ROM, disk, or other physical media for a fee
  18.   without the permission of Ludus Design.
  19.  
  20. * You may not rent or resell for profit this software, or create
  21.   derivative works based upon this software.  You may not publicize
  22.   or distribute any registration code algorithms, information, or
  23.   registration codes used by this software without permission of
  24.   Ludus Design.

  26. COPYRIGHT:
  27. * Quadra is Copyright Ludus Design.  You must treat the Software
  28.   like any other copyrighted material.

  30. THE SOFTWARE IS PROVIDED TO LICENSEE "AS IS". ALL EXPRESS OR
  31. IMPLIED CONDITIONS, REPRESENTATIONS, AND WARRANTIES, INCLUDING ANY
  32. IMPLIED WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS
  33. FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, ARE DISCLAIMED,
  34. EXCEPT TO THE EXTENT THAT SUCH DISCLAIMERS ARE HELD TO BE LEGALLY
  35. INVALID.

  37. TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, LUDUS DESIGN'S
  38. AGGREGATE LIABILITY TO LICENSEE OR TO ANY THIRD PARTY FOR CLAIMS
  39. RELATING TO THIS AGREEMENT, WHETHER FOR BREACH OR IN TORT, WILL BE
  40. LIMITED TO THE FEES PAID BY LICENSEE FOR SOFTWARE WHICH IS THE
  41. SUBJECT MATTER OF THE CLAIMS. IN NO EVENT WILL LUDUS DESIGN BE
  42. LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL OR
  43. CONSEQUENTIAL DAMAGE IN CONNECTION WITH OR ARISING OUT OF THIS
  44. AGREEMENT (INCLUDING LOSS OF BUSINESS, REVENUE, PROFITS, USE, DATA
  45. OR OTHER ECONOMIC ADVANTAGE), HOWEVER IT ARISES, WHETHER FOR
  46. BREACH OR IN TORT, EVEN IF LUDUS DESIGN HAS BEEN PREVIOUSLY
  47. ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. LIABILITY FOR DAMAGES
  48. WILL BE LIMITED AND EXCLUDED, EVEN IF ANY EXCLUSIVE REMEDY
  49. PROVIDED FOR IN THIS AGREEMENT FAILS OF ITS ESSENTIAL PURPOSE.
