  1. END-USER LICENSE AGREEMENT FOR TECHSMITH SOFTWARE -- NewsMonger(tm)

  3. IMPORTANT-READ CAREFULLY: This TechSmith Software License Agreement
  4. ("TSLA") is a legal agreement between you (either an individual or a
  5. single entity) and TechSmith Corporation for the TechSmith software
  6. product identified above, which includes computer software and associated
  7. media and printed materials, and may include "online" or electronic
  8. documentation ("SOFTWARE PRODUCT" or "SOFTWARE").  By installing, copying,
  9. or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the
  10. terms of this TSLA.  If you do not agree to the terms of this TSLA,
  11. promptly return the unused SOFTWARE PRODUCT to the place from which you
  12. obtained it for a full refund.
  13.  
  14. SOFTWARE PRODUCT LICENSE
  15.  
  16. The SOFTWARE PRODUCT is protected by copyright laws and international
  17. copyright treaties, as well as other intellectual property laws and
  18. treaties.  The SOFTWARE PRODUCT is licensed, not sold.
  19.  
  20. 1.    GRANT OF LICENSE
  21. This TSLA grants you the following rights:
  22.  
  23. Systems Software -
  24. You may install and use one copy of the SOFTWARE PRODUCT on a single
  25. computer at a time and only by one user at a time.
  26.  
  27. Storage/Network Use -
  28. You may also store or install a copy of the SOFTWARE PRODUCT on a storage
  29. device, such as a network server, used only to install or run the SOFTWARE
  30. PRODUCT on your other computers over an internal network; however, you
  31. must acquire and dedicate a license for each separate computer on which
  32. the SOFTWARE PRODUCT is installed or run from the storage device.
  33. A license for the SOFTWARE PRODUCT may not be used concurrently on
  34. different computers.
  35.  
  36. License Pack -
  37. If you have acquired this TSLA in a TechSmith Multi-User License Pack, you
  38. may make the number of additional copies of the computer software portion
  39. of the SOFTWARE PRODUCT authorized on the printed copy of this TSLA, and
  40. you may use each copy in the manner specified above.

  42. 2.    DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

  44. Limitations on Reverse Engineering, Decompilation, and Disassembly -
  45. You may not reverse engineer, decompile, or disassemble the SOFTWARE
  46. PRODUCT, except and only to the extent that such activity is expressly
  47. permitted by applicable law not withstanding this limitation.
  48.  
  49. Separation of Components -
  50. The SOFTWARE PRODUCT is licensed as a single product.  Its component parts
  51. may not be separated for use on more than one computer.
  52.  
  53. Rental -
  54. You may not rent or lease the SOFTWARE PRODUCT.
  55.  
  56. Software Transfer -
  57. You may permanently transfer all of your rights under this TSLA, provided
  58. you retain no copies, you transfer all of the SOFTWARE PRODUCT (including
  59. all component parts, the media and printed materials, any upgrades and
  60. this TSLA), and the recipient agrees to the terms of this TSLA.  If the
  61. SOFTWARE PRODUCT is an upgrade, any transfer must include all prior
  62. versions of the SOFTWARE PRODUCT.

  64. Termination -
  65. Without prejudice to any other rights, TechSmith may terminate this TSLA
  66. if you fail to comply with the terms and conditions of this TSLA.  In such
  67. event, you must destroy all copies of the SOFTWARE PRODUCT and all of its
  68. component parts.
  69.  
  70. 3.    UPGRADES
  71.  
  72. If the SOFTWARE PRODUCT is an upgrade from another product, whether from
  73. TechSmith or another supplier, you may use or transfer the SOFTWARE
  74. PRODUCT only in conjunction with that upgraded product, unless you destroy
  75. the upgraded product.  If the SOFTWARE PRODUCT is an upgrade of a
  76. TechSmith product, you now may use that upgraded product only in
  77. accordance with this TSLA.  If the SOFTWARE PRODUCT is an upgrade of a
  78. component of a package of software programs that you licensed as a single
  79. product, the SOFTWARE PRODUCT may be used and transferred only as part of
  80. that single product package and may not be separated for use on more than
  81. one computer.
  82.  
  83. 4.    COPYRIGHT
  84.  
  85. All title and copyrights in and to the SOFTWARE PRODUCT (including but not
  86. limited to any images, photographs, animations, video, audio, music, text,
  87. and "applets," incorporated into the SOFTWARE PRODUCT), the accompanying
  88. printed materials, and any copies of the SOFTWARE PRODUCT, are owned by
  89. TechSmith or its suppliers.  The SOFTWARE PRODUCT is protected by
  90. copyright laws and international treaty provisions.  Therefore, you must
  91. treat the SOFTWARE PRODUCT like any other copyrighted material except that
  92. you may either (a) make one copy of the SOFTWARE PRODUCT solely for backup
  93. or archival purposes, or (b) install the SOFTWARE PRODUCT on a single
  94. computer provided you keep the original solely for backup or archival
  95. purposes.  You may not copy the printed materials accompanying the
  96. SOFTWARE PRODUCT.

  98. 5.    DUAL-MEDIA SOFTWARE
  99.  
  100. You may receive the SOFTWARE PRODUCT in more than one medium.  Regardless
  101. of the type or size of medium you receive, you may use only one medium
  102. that is appropriate for your single computer.  You may not use or install
  103. the other medium on another computer.  You may not loan, rent, lease, or
  104. otherwise transfer the other medium to another user, except as part of the
  105. permanent transfer (as provided above) of the SOFTWARE PRODUCT.

  107. 6.    U.S. GOVERNMENT RESTRICTED RIGHTS
  108.  
  109. The SOFTWARE PRODUCT and documentation are provided with RESTRICTED
  110. RIGHTS.  Use, duplication, or disclosure by the Government is subject to
  111. restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in
  112. Technical Data and Computer Software clause at DFARS 252.227-7013 or
  113. subparagraphs (c)(1) and (2) of the Commercial Computer
  114. Software-Restricted Rights at 48 CFR 52.227-19, as applicable.

  118. MISCELLANEOUS
  119. If you acquired this product in the United States, this TSLA is governed
  120. by the laws of the State of Michigan.  If you acquired this product in
  121. Canada, this TSLA is governed by the laws of the Province of Ontario,
  122. Canada.  Each of the parties hereto irrevocably attorns to the
  123. jurisdiction of the courts of the Province of Ontario and further agrees
  124. to commence any litigation which may arise hereunder in the courts located
  125. in the Judicial District of York, Province of Ontario.  If this product
  126. was acquired outside the United States, then local law may apply.  Should
  127. you have any questions concerning this TSLA, or if you desire to contact
  128. TechSmith for any reason, please contact the TechSmith subsidiary serving
  129. your country, or write: TechSmith Corporation/3001 Coolidge Road, Suite
  130. 400, East Lansing, MI 48823-6320.

  132. LIMITED WARRANTY
  133. TechSmith warrants that (a) the SOFTWARE PRODUCT will perform
  134. substantially in accordance with the accompanying written materials for a
  135. period of ninety (90) days from the date of receipt, and (b) any hardware
  136. accompanying the SOFTWARE PRODUCT will be free from defects in materials
  137. and workmanship under normal use and service for a period of one (1) year
  138. from the date of receipt.  Some states and jurisdictions do not allow
  139. limitations on duration of an implied warranty, so the above limitation
  140. may not apply to you.  To the extent allowed by applicable law, implied
  141. warranties on the SOFTWARE PRODUCT and hardware, if any, are limited to
  142. ninety (90) days and one year, respectively.

  144. CUSTOMER REMEDIES
  145. TechSmith's and its suppliers' entire liability and your exclusive remedy
  146. shall be, at TechSmith's option, either (a) return of the price paid, or
  147. (b) repair or replacement of the SOFTWARE PRODUCT or hardware that does
  148. not meet TechSmith's Limited Warranty and which is returned to TechSmith
  149. with a copy of your receipt.  This Limited Warranty is void if failure of
  150. the SOFTWARE PRODUCT or hardware has resulted from accident, abuse, or
  151. misapplication.  Any replacement SOFTWARE PRODUCT or hardware will be
  152. warranted for the remainder of the original warranty period or thirty (30)
  153. days, whichever is longer. Outside the United States, neither these
  154. remedies nor any product support services offered by TechSmith are
  155. available without proof of purchase from an authorized international
  156. source.

  158. NO OTHER WARRANTIES
  159. To the maximum extent permitted by applicable law, TechSmith and it's
  160. suppliers disclaim all other warrantees, either express or implied,
  161. including, but not limited to, implied warrantees of merchantability and
  162. fitness for a particular purpose, with regard to the software product, and
  163. any accompanying hardware.  This limited warranty gives you specific legal
  164. rights.  You may have others, which vary from state/jurisdiction to
  165. state/jurisdiction.

  168. NO LIABILITY FOR CONSEQUENTIAL DAMAGES
  169. To the maximum extent permitted by applicable law, in no event shall
  170. TechSmith or it's suppliers be liable for any special, incidental,
  171. indirect, or consequential damages whatsoever (including, without
  172. limitation, damages for loss of business profits, business interruption,
  173. loss of business information, or any other pecuniary loss) arising out of
  174. the use of or inability to use the software product, even if TechSmith has
  175. been advised of the possibility of such damages.  Because some states and
  176. jurisdictions do not allow the exclusion or limitation of liability for
  177. consequential or incidental damages, the above limitation may not apply to
  178. you.
